CREALESTATECONTRACTTHISAGREEMENTismadeandenteredintothis________dayof_______________1986,byandbetweenESTESVALLEYMEMORIALGARDENS,INC.,aNon—profitCemeteryCorporation,(hereinafterknownas“FirstParty”)andtheTOWNOFESTEEPARK,COLORADO,aMunicipalCorporation,(hereinafterknownas“SecondParty”),uponthefollowingtermsandconditions.WITNESSETH1.LegalDescription:FirstPartyagreestopurchaseandSecondPartyagreestoselltherealpropertymorefullydescribedonExhibit“A”attachedheretoandbyreferencemadeaparthereof.2.PaymentofPurchasePrice:Thepartiesagreethattheaforementionedrealpropertyshallbesoldinsix(6)parcels.Theparcelsshallbesoldconsecutively(1through6)asshownonExhibit“B”attachedhereto.Thepurchasepriceoftheparcelsshallbeasfollows:Parcel1:$23,369.00Parcel2:$20,097.00Parcel3:$17,284.00Parcel4:$14,864.00Parcel5:$12,783.00Parcel6:$11,603.00Firstpartyshallhavearighttopurchaseanynumberofsuccessiveparcelsatanytime,solongassaidpurchaseismadewithintwo(2)yearsofthedateofthelastparcelpurchased.Eachparcelshallhepurchasedwithintwo(2)yearsofthepurchaseofthepreviousparcel.IntheeventthatFirstPartydoesnotpurchaseasuccessiveparcelwithintwo(2)yearsofitslastparcelpurchase,allofitsrightandinterestunderthetermsofthisagreementtopurchaseanyfurtherparcelsshallthentcrminate.FirstPartyagreestoescrowwithSecondPartyaQuitClaimDeedtoeachoftheparcelstobeusedbySecondPartytoterminateFirstParty’sinterestinanyparcelnotpurchasedunderthetermsofthisagreement. CCFirstPartyshallgiveSecondPartysixty(60)days’writtennoticeofanintenttopurchaseanysucceedingparcel.Thepurchasepriceofeachparcelshallbepayableincashorcertifiedfunds.IntheeventSecondPartypurchasesparcels1and2atthesametime,theoptiontopurchaseparcel3shallbeextendedtofour(4)yearsfromthedateofthepurchaseofparcels1and2.Inthatevent,theoptiontopurchaseparcels4,5and6shallremaintwo(2)yearperiodsasmorefullysetforthabove.3.MerchantableTitle:SecondPartyagreestoprovideFirstPartywithacurrentcommitmentforatitleinsurancepolicyinanamountequaltothepurchaseprice,showingtitletobemerchantableinFirstParty.SaidcommitmentshallhefurnishedtoFirstPartyatleastten(10)dayspriortoclosing.FirstPartyshallhavesaid10—dayperiodwithinwhichtoexaminethesameandmakeobjectionsthereto,ifany.Shouldtherebeobjections,SecondPartyshallhaveareasonabletimewithinwhichtoperfectthesame,includingsuchtimeasmightherequiredforaquiettitleaction.FirstPartyshallberesponsibleforpaymentofthepremiumforsaidpolicy.4.Survey:Uponexecutionofthisagreement,FirstPartyagreestohavetherealpropertysurveyed,includingasurveyofeachindividualparcel.FirstPartyshallprovideSecondPartywithsaidsurveypriortoclosingofthepurchaseofthefirstparcel.5.Closing:Closingshalltakeplacewithinthirty(30)daysofthefulfillingofallcontingenciessetforthinParagraph6ofthisagreement.6.Contingencies:ThisAgreementshallbecontingentuponthefollowing:.FirstPartyshallreceiveapprovalofsaidpremisesasasiteforacemeteryfromallpublicboardsandagencieshavingauthorityinsuchmatters.FirstPartyshallreceiveapprovalofthesubdivisionoftheentireparcelintosix(6)parcelsfromallpublicboardsandagencieshavingauthorityinsuchmatters.—2— CB.ThisAgreementshallreceiveapprovalbythevotersforthepurchaseofthesubjectpremisesundertheprovisionsofSection31—15—713(1)(a),CPS1973.IntheeventeitheroftheabovecontingenciesarenotfulfilledbyDecember31,1986,thisagreementshallbenullandvoidandofnofurtherforceandeffectunlesssaiddateisextendedbymutualagreementoftheparties.However,ifanypartyorentitycontestsincourttheapprovalofacemeteryand/orthesubdivisionoftheproperty,conteststheelection,and/orconteststheabilityofthepartiestoenterintothisagreement,orthecontentshereof,theclosingdateshallbeextendedtothirty(30)daysfollowingfinaldeterminationbythecourt,includinganyappellatecourts,ofsuchlitigation.7.Possession:PossessionofeachindividualparcelshallbedeliveredtoFirstPartyatclosingofeachindividualparcel.8.Conveyance:ConveyanceshallbebygoodandsufficientWarrantyDeed,conveyingthepropertyfreeandclearofallliensorencumbrances,SAVEANDEXCEPTforcurrenttaxes,ifany,easements,restrictions,reservationsandagreementsofrecord,andacovenantshallbeplaceduponthepropertybySecondPartyrestrictingtheuseofthepropertytothatofacemetery.9.Water:SecondPartyagreestoprovideFirstPartywithaneasementforawaterlineacrossanypropertyownedbySecondPartyforthepurposeofprovidingwatertothepremises,ifrequestedbyFirstParty.Ifsorequested,FirstPartyshallprovideSecondPartywithalegaldescriptionoftherequestedeasement.10.Default:TimeisoftheessenceofthisContract,andintheeventofanydefaultbyeitherpartyinthetermsandconditionshereto,thenon—defaultingpartyshallgivethedefaultingpartyten(10)days’noticeinwritingofsaiddefault.Ifsaiddefaultisnotcuredwithinsaid10—dayperiod,thisContractshallbedeemedtohavebeenterminatedforsaiddefaultandthenon—defaultingpartyshallbeentitledtoalldamagesincurredbyreasonofsaiddefault,includingallreasonableattorney’sfeesandcourtcosts.Intheevent,however,the—3— 0non—defaultingpartyelectstotreatthisContractasbeinginfullforceandeffect,thenon—defaultingpartyshallhavetherighttoanactionforspecificperfornanceanddamages.11.Assignment:ThisContractshallhebindinguponandinuretothebenefitofthepartieshereto,theirrespectiveheirs,successorsandassigns,andshallnotbeassignedbyeitherofthepartieswithoutthewrittenconsentoftheotherparty.12.Covenants,Warranties,Representations:ThisContractconstitutestheentireagreementbetweentheparties.Allcovenants,warrantiesandrepresentationshereinshallsurvivetheclosingofeachparcel.INWITNESSWHEREOF,thepartieshaveexecutedthisContractthedayandyearfirstabovewritten.ESTESVALLEYMEMORIALGARDENS,INC.,aNon-ProfitCemeteryCorporationATTEST:Secrt*t7TOWNOFESTESPAPK,COLORADO,aMunicipalCorporationBy_______Mayor7.TTEST:1’Y!ic-,ccuTownClerk—4— •1I4I‘Is‘41II.15I.,.1:41.1C,LiLi.4IiLi.4LixHLiHI ‘1I/‘7/•1i!’l/—’-1‘iltiflL/i/——..—.,,r.inr—--,,(7ill-k-n.———•I-a
