20-12URESOLUTIONNO.20-12APPROVINGALICENSEAGREEMENTFORUSEOFTHETOWN’SUTILITYPOLESWHEREAS,BajaBroadbandOperatingCompany,LLC(Baja”)isthecurrentFranchiseepursuanttothetermsandconditionsoftheCableTelevisionPermitAgreementdatedJuly27,1993,includingallamendments;andWHEREAS,BajaisasuccessortoElectronicEndeavor,Incorporated,alicenseeforuseofpolesownedbytheTownandlocatedwithintheTown’sLightandPowerservicearea;andWHEREAS,Bajadesirestoprovidecable,internet,telephone,andotherlawfulcommunicationserviceswithintheTown;andWHEREAS,theTownBoardhasapprovedaCableTelevisionAgreementgrantingBajathenon-exclusiverighttoprovidecableserviceswithintheTownforaperiodoftenyears;andWHEREAS,BajaandtheTownhavenegotiatedanewLicenseAgreementfortheuseofutilitypolesownedbytheTown;andWHEREAS,theTownBoardhasdeterminedtograntBajaanon-exclusivelicensetousetheTown’spolespursuanttothetermsandconditionssetforthintheLicenseAgreement.NOWTHEREFORE,BEITRESOLVEDBYTHEBOARDOFTRUSTEESOFTHETOWNOFESTESPARKasfollows:1.TheBoardofTrusteesherebyapprovestheLicenseAgreementfortheuseofutilitypolesbetweentheTownofEstesPark,ColoradoandBajaBroadbandOperatingCompany,LLCasmorefullysetforthonExhibitA,attachedheretoandincorporatedhereinbyreference.2.TheappropriateofficialsoftheTownofEstesParkareherebyauthorizedtoexecutetheLicenseAgreement.PASSEDANDADOPTEDataregularmeetingthisi(dayof(&t/Wi2Mayor%aClerk CLICENSEAGREEMENTCFORTHEUSEOFUTILITYPOLESBETWEENTHETOWNOFESTESPARK,COLORADOANDBAJABROADBANDOPERATINGCOMPANY,LLCThisLicenseAgreementfortheUseofUtilityPoles(“Agreement”)isenteredintothis11thdayofDecember,2012byandbetweentheTownofEstesPark(“Town”)andBajaBroadbandOperatingCompany,LLC(“Licensee”).WHEREAS,Licenseedesirestoprovidecable,internet,datatransmissionandotherlawffilcommunicationserviceswithinandoutsidetheTown;andWHEREAS,Licenseewillneedtoplaceandmaintaincables,equipmentandfacilitieswithinandoutsidetheTownanddesirestoplacesuchcables,equipmentandfacilitiesonvariousPolesandeasementsownedbytheTown;andVHEREAS,theTowniswillingtograntLicenseearevocable,non-exclusivelicensetousecertainPolesonthetermsandconditionssetforthinthisAgreementandsubjecttothetermsoftheTownCodeasitmaybeamendedfromtimetotime.NOW,THEREFORE,inconsiderationofthemutualcovenants,termsandconditionshereincontained,theTownandLicenseedoherebymutuallycovenantandagreeasfollows:ARTICLE1DEFINITIONSA.AnnualUsageChargemeanstherecurringchargethatLicenseeistopaytheTownannuallyunderthisAgreementfortheuseoftheTown’sPoleswithinandoutsidetheTown.TheAnnualUsageChargeisinadditiontoanyCostsandfilingfeesLicenseemayincurduringaContractYear.Totheextentlawfullypermitted,theAnnualUsageChargeforanyContractYearshallbethenumberofPolesshownontheTown’srecordstoexistasofDecember1oftheprecedingYearmultipliedbytheUsageRatefortheapplicableContractYear.UnlessotherwiseexpresslyprovidedinthisAgreement,AnnualUsageChargesarenotrefundable.B.ApplicationmeanstheTownprescribedapplicationsheet,togetherwithallrequiredprints,maps,proposedroutes,projectdescriptionsandproposedschedulesthatLicenseemustsubmit,infull,totheTowninordertorequestandbegrantedanAttachmentLicenseforaparticularPoleorgroupofPoles.C.Attachmentmeansanycableowned,controlledorusedbyLicensee,togetherwithanyassociatedmessengerstrand,guywires,anchorsandotherappurtenantandincidentalfacilitieswithin12inchesofthepointofattachmentandaffixeddirectlytoaPoleoranattachmentownedbyaThirdPartyUser,asthecasemaybe. 00-t:D.AttachmentLicensemeanstherevocable,non-exclusiverightofLicenseeto•‘makeanAttachmenttoaPoleunderthisAgreement,pursuanttotheTown’sapprovalofanApplicationandsubjecttoanymodifications,conditionsandspecificationsimposedbytheTownwhenapprovingtheApplicationandallDesignDocumentsissuedbytheTownwithrespecttotheAttachmentandPoleinquestion.AnAttachmentLicenseauthorizesAttachmentsforalllawfulcommunicationspurposes.E.Cablemeansaconductor,wireorfiberoraboundorsheathedassemblyofconductors,wiresorfibersusedasawirecommunicationsortransmissionmedium(abaremessengerisalsoaCable).F.CommunicationsSpacemeanstheareaonanygivenPole,belowandsufficientlyremotefromtheSupplySpacerequiredbytheNationalElectricalSafetyCode,withinwhichAttachmentsandPoleContactsmaybelocated.G.ContractYearmeansanycalendaryearduringwhichthisAgreementisineffect,beginningJanuary1andendingDecember31,exceptthatthefirstContractYearshallrunfromtheEffectiveDateuntilDecember31ofthatyearandthefinalContractYearshallrunfromJanuary1ofthatyearuntilthedateoftermination.H.Contractorincludessubcontractors.I.CostmeansthetotalreasonablecosttotheTownforanyparticulartaskunderthisAgreementthatisnototherwiserecoveredintheAnnualUsageCharge.Tasksinclude:reasonablelabor,material,equipmentusage,outsideContractorandvendorcharges,overheadandgeneralandadministrativeexpenses.Costsmayalsobeincurredforengineeringandengineeringreview,Make-Readyconstruction,inspectionsandoversight,auditingandotherservices.CostsshallbepaidbyLicenseeinaccordancewitheitherofthefollowing:I.MyadvanceestimateprovidedbytheTown,inwhicheventtheTownshallhavetherighttorefusetoincurtheCostsuntiltheestimateispaid;and/or2.MyfinalinvoicesubmittedbytheTown.IntheeventanadvanceestimatewaspaidbyLicenseeforCosts,thefinalinvoicewillreflectsuchpayment.Licenseeshallbereimbursedforpaymentofanyestimatedchargesthatexceedactualreasonablechargesincurred.J.DesignDocumentsmeanallspecifications,drawings,schematics,blueprints,engineeringdocumentsandwrittenrequirementsformaterials,equipment,design,constructionandworkmanshipissuedbytheTowntoLicenseewithrespecttoMake-ReadyandinstallationworkonaparticularAttachmentorPoleorgroupofAttachmentsorPoles.K.EffectiveDatemeansDecember11,2012.2 0C)L.ElectricalCodemeanstheNationalElectricalSafetyCode(NESC)andtheNationalElectricalCode(NEC).M.FilingFeemeansthenon-refundablefeechargedtoLicenseeforfilinganApplicationforanAttachmentLicense.FilingFeeswillbesetbyTownpolicy.TheFilingFeeissolelytocompensatetheTownforreviewingandprocessinganApplicationanddoesnotincludeoroffsetCostsorAnnualUsageCharges.N.Make-ReadymeansallworkreasonablyrequiredtoaccommodateLicensee’sAttachmentsonaPolewithrespecttotheTownandThirdPartyUserneedsandincompliancewiththeElectricalCode,generallyacceptedengineeringandconstructionpracticesandapplicablelaws.0.PolemeansanyelectricdistributionpoleownedbytheTownthatsupportselectriclines.UnlessotherwiseagreedbytheTownwithrespecttoaparticularpole,thetermPoledoesnotincludestreetlighting,trafficsignalornightwatchmanpoles;anystrucWreorfacilitywithinasubstation;oranystructurenotusedforelectricpowerdistribution.P.PoleContactmeansthepointorcontiguousareaonaPoleatwhichoneormoreofLicensee’sAttachmentsmakephysicalcontactwiththePoleoraThirdPartyuser’sAttachment.Q.SupplySpacemeanstheareaonanygivenPole,abovetheCommunicationsSpace,thatisreservedfortheplacementofelectricsupplylines,electricalequipmentandotherTownfacilities.LicenseemaynotplaceanyAttachmentsorPoleContactsintheSupplySpace.R.ThirdPartyUsermeansanythirdpartythathas,ormaybegranted,alicenseorotherrighttoattachwithrespecttoaPole.S.UnauthorizedAttachmentmeansanAttachmentoranyotheraffixingorplacingofLicensee’sfacilitiesontoTownpropertyforwhichLicenseedoesnothaveavalidAttachmentLicense.T.UsageRatemeans,foreachgivenContractYear.theamountLicenseemustpaytheTownforeachPole.ARTICLE2SCOPEANDTERMOFAGREEMENT2,1GeneralPurposeInaccordancewiththeprovisionsofthisAgreement,theTownmayissueAttachmentLicensestoLicenseeonthetermsandconditionssetforthherein.BeforeLicenseemakesanyAttachmenttoorbeginsanyworkonaPole,itshallfileanApplicationandawaittheTown’sissuanceofanAttachmentLicenseandDesignDocumentswithrespecttothatparticularAttachmentorPole.TheTownmayonlydenyanAttachmentLicensewithrespecttoanyparticularPoleforreasonsofcapacity,safety,reliabilityorgenerally-acceptedengineeringpurposes.3 002.2TermThetermofthisAgreementisten(10)years,beginningontheEffectiveDate,unlesssoonerterminated.Also,inadditiontotheforegoing,ifLicensee’scableFranchiseAgreementatanytimeisterminatedorexpiresunderapplicablelaw,thenthisAgreementshallconcurrentlyterminateorexpire.2.3ExistingFacilitiesOnlyTheTownisundernoobligationtoadd,build,keep,maintainorreplacePolesoranyotherfacilitiesfortheuseorconvenienceofLicensee.Themaintenance,replacement,removal,relocationoradditionofTownPolesandfacilitiesshallremainwithinthereasonablediscretionoftheTown.2.4PolesOnlyThisAgreementaddressesonlyAttachmentstoTownPoles.AttachingtoorusingotherTownpropertyandfacilities,includingwithoutlimitationconduits,buildingsandtowers,isprohibitedwithoutthitherwrittenagreementbytheTown.2.5TownRights-of-WayNothinginthisAgreementshallbeconstruedtograntLicenseeanyrightorauthorizationtouseoroccupythepublicstreetsorrights-of-wayoftheTown,exceptfortheplacementofAttachmentsonPolesorotherfacilitiescoveredbythisAgreementwhichmaybelocatedinthepublicstreetsorrights-of-way.2.6PrivateEasementsLicenseeunderstandsthatsomePolesmaybelocatedondedicatedeasementsoverprivatepropertythat,bytheirterms,restricttheuseoftheeasementtotheTownforthesolepurposeofelectricdistributionortransmission.NothinginthisAgreementshallcompeltheTowntoextendanypropertyrightsitdoesnothave.NothinginthisAgreementandnoactionbytheTownshallbeconstruedtooffer,grantorapproveanyrightorlicensetousesucheasementortoaffixanAttachmenttoaPolewithinsucheasementwithouttheconsentoftheownerofthepropertytowhichtheeasementisappurtenant.TheTownhasnoobligationtoexpandorobtainrightsinsucheasementonLicensee’sbehalf.ItisthesoleobligationofLicenseetoobtainthenecessaryconsentoradditionaleasementrights,ifany,atLicensee’sownexpense.2.7EminentDomainTheTownisundernoobligationtoexerciseanypowerofeminentdomainonLicensee’sbehalf.2.8NoPropertyRightsInPolesAllPolesshallremainthepropertyoftheTownandnopaymentmadebyLicenseeshallcreateorvestinLicenseeanyownershipright,title,orinterestinanyPole,butLicensee’sinterestshallremainabarelicense.TheexistenceofsuchalicenseshallnotinanywayalteroraffecttheTown’srighttouse,change,operate,maintainorremoveitsPolesandfacilitiesasitseesfit.IftheTown’suseofitsPolesmateriallyandadverselyaffectsLicensee’suseandoperationofanattachment,Licenseemay,bywrittennoticetotheTown,removeitsAttachmentsfromanyadverselyaffectedPole.SuchterminationshallbeimplementedbywrittennoticetotheTown.Foreachsuchtermination,Licenseeshallbeentitledtoapro-ratarefundofanypre-paidAnnualUsageChargeattributabletotheterminatedAttachment.4 0C2.9LicenseNotExclusiveLicenseeacknowledgesthattheTownhasenteredintobefore,andmayenterintointhefuture,similarorotheragreementsconcerningtheuseofPolesbythirdparties,includingLicensee’scompetitors.NothinginthisAgreementshallbeconstruedtolimitorinanywayaffecttheTown’srightorabilitytoenterintoorhonorotheragreements.ortograntanyrights,licensesoraccessconcerninganyPoleonacompetitively-neutralandnondiscriminatorybasis.2.10TownPriorityTheprimarypurposeofaPoleiselectricdistribution,andtheTownreservestoitselffirstpriorityintheuseofaPole.IntheeventofanyactualconflictbetweentheuseofaPolebytheTownandLicensee,theuseofaPoleforthedistributionofelectricpowertotheTowncustomersshallprevailandhavepriorityoverLicensee’suseofthePole.TheTownretainsandshallhaveexclusiveuseoftheSupplySpace.TheTownshallingoodfaithdiligentlypursueallreasonablemeasurestoaccommodateLicensee’sauthorizedattachments.2.11DiscretionoftheTownTheTownreservestherighttodenyanyApplication,reserveanyPoletoitsownuseormodifyanyPoleif.intheTown’sreasonablejudgment,therearecapacity,safety,reliabilityorengineeringreasonsforsuchadenial.2,12NoCostorExpensetotheTownTheengineering,construction,installation,use,operationandmaintenanceofLicensee’sAttachmentsshallbeatLicensee’ssoleexpense.Unlessotherwiseexpresslyprovided,nothinginthisAgreementshallbeconstruedtorequiretheTowntoexpendanyfundsortoincurorbearanyCostorexpense.2.13ElectricServiceRequirementsAllelectricservicerequiredbyLicenseewillbesuppliedbytheTown’sLightandPowerDepartment,andchargesthereforeshallbebasedonapplicablerates.Allelectricservicewillbemetered,andservicetotheLicenseewillbeextendedundertheprevailingrulesandregulationsoftheLightandPowerDepartment.ARTICLE3USAGERATESANDCHARGES3.1PaymentDueUponApprovalTheTown’sapprovalofanAttachmentLicenseshallbeconditionedonLicensee’spayment,within30daysofapproval,ofthethencurrentUsageRateforeachapprovedAttachment,proratedtoreflectthenumberofmonthsremainingintheContractYearaftertheTown’sinvoice,withanypartialmonthbeingconsideredtobeafullmonth.3.2UsageRateFor2012and2013,theUsageRateshallbe$3.00perPole.TheUsageRatefor2014shallbe$3.25perPole,andtheUsageRatefor2015shallbe$3.50perPole.ForthebalanceofthetermoftheAgreementstartingin2016,theUsageRateshallbe$4.00perPole.TheTownmaynotchargeaUsageRateinexcessofwhatispermittedbyapplicablelaw.3.3AnnualUsageChargesTheTownhasinvoicedLicenseeforone-halfoftheAnnualUsageChargefor2012andwillinvoiceLicenseeforthebalanceinJanuary2013.Also,5 00inJanuaryofeachContractYear(startingin2013)andcontinuingthereafteruntiltheexpirationorterminationofthisAgreement,theTownwillinvoicefor,andLicenseeshallpay,within45daysafterreceiptoftheinvoice,theAnnualUsageChargeforthenewContractYear.3.4InvoiceDisputesIfLicenseebelievesingoodfaiththataPolecountcontainedinanAnnualUsageChargeinvoiceisincorrect,itmaypaytheinvoiceunderprotest.Toprotestaninvoice,LicenseemustgivetheTownwrittennoticeofthenatureofitsprotestnolaterthantheduedateforpaymentoftheinvoice.ThepartiesshallpromptlymeettoresolvethediscrepanciesintheirrecordstodeterminethecorrectPolecount.Ifthepartiesareunabletoresolveadiscrepancyastothecorrectcount,thepartiesshalljointlyconductaphysicalinventoryofastatisticallysignificantnumberofgeographicalgridsorothermutuallyagreeablecensustodeterminethecorrectcount.3.5AdjustmentsIf,uponresolutionofadisputebetweenthepartiesunderparagraph3.4,arefundisduetoLicensee,theTownshallrefundtheamountoftheoverchargetogetherwithinterestattheratespecifiedinparagraph16.5fromthedateoftheTown’sreceiptoftheprotestedAnnualUsageChargepayment.IfLicenseeowesadditionalmoney,acorrectedinvoiceshallbeissuedbytheTownfortheadditionalAnnualUsageChargedue,plusaccruedinterestattheratespecifiedinparagraph16.5fromtheduedateoftheoriginalinvoice.3.6NoAllowancesUnlessotherwiseexpresslystatedinthisAgreement,thereshallbenooffsetsagainstanysumsdueunderthisAgreement,oranyotherallowances,forsystemimprovement,materialsorlaborsupplied,upgrading,lifeextensionorotherdirectorincidentalbenefitsconferredbyLicenseeupontheTown.AllsuchimprovementsandbenefitsbelongsolelytotheTown,andthefactthatsuchimprovementsorbenefitsmayaccrueshallinnowayalteroraffectLicensee’sobligationsunderthisAgreement.ARTICLE4ATTACHMENTLICENSES4.1AttachmentLicenseRequiredBeforeLicenseemaymakeanycontactorAttachmentorperformanyworkonaPoleotherthaninspectionsnecessaryforpreparinganAttachmentApplication,andbeforeLicenseemayplaceanyAttachmentorotherfacilityontheTownpropertyoreasements,LicenseemustfirstobtainandacceptanAttachmentLicense.LicenseemusthaveanAttachmentLicenseforeachPoletowhichLicensee’sAttachmentsaretobeaffixedandforeachseparateAttachmenttothePole.Theforegoingnotwithstanding,innoeventshallLicenseeberequiredtosubmitanApplicationorreceiveapprovalfromtheTownpriortoinstallingaservicedroponanyPoleonwhichLicenseemaintainsanauthorizedAttachment,providedthattheservicedropinstallationconformstoanyapplicabletechnicalrequirementsandspecificationssetforthinArticle5herein,andprovidedfurtherthattheLicenseesubmitsanApplicationforsuchservicedropwithinareasonabletimethereafter.4.2OverlashinaLicenseeneednotobtainanadditionalandseparateAttachmentlicensetooverlashtoanexistingLicenseeAttachmentorPoleContact,norshalltheTownconsidersuchanoverlashedAttachmentasaseparateAttachmentforthepurposesofassessingtheAnnualUsageCharge.LicenseemaynotallowathirdpartytooverlashtoLicensee’s6 00attachmentorPoleContactwithoutsuchpartyfirsthavinganagreementwithandAttachmentLicensefromtheTown.PolesarethesolepropertyoftheTown.4.3ApplicationProcessTheApplicationmustbesubmittedinthethen-approvedTownformat.TheApplicationform,andallrequiredsupportingdocumentationandotherprocedures,arewithinthediscretionoftheTownandmaychangefromtimetotimewithoutpriornotice.ApplicationsmadeonamultiplepoleorprojectbasisaresubjecttofurtherTownpoliciesandproceduresthatmaychangefromtimetotimewithoutpriornotice.TheTownmayrejectentirelyanincompleteApplication,oritmayrequestadditionalinformationtosupporttheApplication,inwhicheventtherequestedinformationshallbepromptlyfurnished.4.4FilingFeeTheFilingFeeshallbepaidatthetimetheApplicationissubmitted.NoApplicationwillbeconsideredbeforepaymentoftheFilingFee.4.5ApprovalTheTownmayonlydenyormodifyanyAttachmentApplicationif,intheTown’sreasonablejudgment,suchdenialormodificationisnecessaryforreasonsoflackofcapacity,safety,reliabilityorengineeringstandards.Thedenial,approvalormodificationofanAttachmentLicenseshallbegovernedbythetermsofthisAgreementandapplicablelaw.However,LicenseemayrequesttheTowntoreconsideradenialormodificationofanAttachmentApplication.TheTownmayapproveanApplicationassubmitted,approveitonamodifiedorconditionalbasis,ormaydenytheApplicationinaccordancewiththepoliciesadoptedbytheTown.TheTownmayalsorefusetoissueanAttachmentLicensewhen,basedonitsreasonablejudgment,itdeterminesthatthespaceonaPoleisrequiredforitsownexclusiveuseorthatPolemaynotreasonablybearrangedorreplacedtoaccommodateLicensde’sproposedAttachment.Bywayofexampleonlyandnotbylimitation,anApplicationmaybedeniedif,accordingtotheTown’sreasonablejudgment,theproposedAttachment:A.isofexcessivesizeorweightorwouldotherwisesubjectaTownPoletounacceptablelevelsofstressandcannotbereplacedwithataller/strongerpole;B.wouldjeopardizethereliabilityorintegrityoftheelectricsystemorofindividualPoles;C.wouldpresentasafetyhazardtoTownemployeesorthepublic;D.wouldimpairtheTown’sabilitytooperateormaintainaPolethatcannotbereplacedwithatallerand/orstrongerpole;E.wouldrequireanunacceptablechangeoradditiontoaPole;orF.wouldexposetheTown,itsratepayersorotheruserstoincreasedliabilityorfinancialrisk.4.6OrderofApprovalApplicationsconcerningaparticularPolewillbeconsideredandacteduponbytheTownintheorderinwhichtheyarefiled.ForpurposesofevaluatinganApplicationwithrespecttoPolecapacityandexistingThirdPartyUserAttachments,theTown7 00willconsidernotonlyallexistingattachmentsbutalsoallvalidAttachmentLicensesandreservedTownspaceforfutureuses.4.7EngineeringWhenprocessinganApplication,theTownshallhavetherighttoperform,orhaveafirmretainedbytheTownperform,itsownengineeringandfieldevaluation,irrespectiveofwhetherLicenseehasperformedsuchservicesforitsownbenefit.ReasonableengineeringandfieldevaluationexpensesshallbepaidbyLicensee.TheTown’sengineeringrequirementsanddeterminationsshallbewithinitsreasonablediscretion.TheTownmayconsiderbutisnotboundbyLicensee’sownengineeringdeterminations.WithrespecttoaparticularPole,theTown’sengineeringshalltakeintoaccountandallowspaceforallAttachmentLicenseswhicharevalidforthatPole.IngrantinganAttachmentLicense,theTownshallissuetoLicenseetheDesignDocumentsgoverningtheapprovedAttachment(s).4.8AftachmentLicenseExpirationAllAttachmentLicensesandDesignDocumentsandanyrightsconferredthereundershallexpirewithin45daysofissuance(orsuchlongerperiodasthepartiesmayagreetoinwriting),unlessallMake-ReadyandinstallationworkhasoccurredinaccordancewiththeDesignDocumentsbeforetheendofsuchperiod.IfanAttachmentLicenseforaPoleexpires,Licenseeshallre-applyforanAttachmentLicensebeforeworkingonormakinganAttachmenttothatPole.ARTICLE5GENERALREQUIREMENTS5.1WorkSiteSafetyInperforminganyworkonornearPolessupportingenergizedelectriclines,Licensee,anditsContractors,agentsandemployeesshallcomplywithallfederal,stateandlocallaws,rulesandregulationsgoverningworkinproximitytoenergizedelectriclines,includingwithoutlimitation,thosepromulgatedbytheOccupationalSafetyandHealthAdministration.5.2ElectricalCodeLicensee,anditsContractors,agentsandemployees,andallwork,contactsandAttachmentsonaPoleshallatalltimescomplywiththencurrentElectricalCode.5.3DesignDocumentsAllMake-Ready,installation,andotherworkperformedbyLicenseeonaPoleorAttachmentshallatalltimescomplywiththeDesignDocumentsandTownrequirements.5.4ServiceInterruptionsLicenseeshallnotcauseanyinterruptionoftheTownorThirdPartyUserserviceswithoutfirstobtainingtheTown’sexpresswrittenconsent.IfitisnecessaryfortheTowntode-energizeanyequipmentorlinesforLicensee’sbenefit,LicenseeshallreimbursetheTowninfullforallCosts.IntheeventLicenseedamagesanyoftheTown’sequipmentorlinesorcausesanyserviceinterruption,Licensee,atitssoleexpense,shallimmediatelydoallthingsreasonabletoavoidinjuryandfurtherdamage,directandincidental,resultingtherefromandshallnotifytheTownassoonaspracticableunderthecircumstances.8 Cl0.5.5TownOversi2htTheTownshallhavetherighttoconducton-sitefieldoversightandinspectionsofLicensee’sAttachments,workandoperationsonPolesandintheTowneasements.TheTownshallatalltimeshaveunrestrictedaccesstoPolesandtoallworksitesofLicenseeandLicensee’scontractors.BoththeTownandtheTown’srepresentativeatanyPolesiteshallhavecompleteandfinalauthoritytoordertheimmediatesuspensionofLicensee’sconstructionorinstallationactivitiesiftheTownortheTown’srepresentative,initsreasonablejudgment,determinestheactiontobenecessaryforreasonsofsafety,reliability,engineering,orapropertyownercomplaint.Intheeventofanoralsuspensionorder,theTownshallsendwrittennoticetoLicenseewithinthreebusinessdaysaftersuchsuspension,identiingtheallegedviolation.SuchsuspensionshallbeineffectuntilsuchtimeastheLicenseecures,atLicensee’ssoleCost,theallegedviolation.InnoeventshalltheTownberesponsibleforanydamages,lossesorCostsincurredbyLicenseeasaresultofsuchworkstoppage.Licensee’sfailuretoobeyasuspensionordershallconstituteamaterialbreachofthisAgreement.5.6LawsTotheextentthatfederalorstatelawortheTownCoderequiresLicenseetopossessavalidfranchiseorconstructionpermitbeforeengaginginaparticularact,LicenseemustcomplywithsuchrequirementbeforebeginningMake-ReadyconstructionorinstallingAttachments.NothinginthisAgreementshallbeconstruedaswaivingotherTownrequirementsorpermittingtheconstructionoffacilitiesotherthanAttachments.Attachmentsmustconformtolocal,stateandfederallaw.Licensee’suseofanyPoleandLicensee’sAttachmentsshallatalltimesconformtotherequirementsoftheTownCodeandthepoliciespromulgatedbytheTownpursuantthereto.5.7OtherPermitsLicenseeshallapplyforandobtainalllicenses,permitsorotherauthorizationsrequiredtoprovideitsserviceortouse,operateormaintainitsAttachments.5.8TaxesandLiensLicenseeshallpayalltaxesandassessmentslawthllyleviedonLicensee’sAttachmentsandanytax,assessments,fee,orchargeleviedonPolessolelybecauseoftheirusebyLicensee.InnoeventshallLicenseepermitanylientobefiledortoexistuponanyPolesortheTownpropertyasaresultofanyclaimagainstLicensee.LicenseeshallpromptlypayuponreceiptofwrittennoticefromtheTownallsuchlienstogetherwithallfeesandCostsnecessarytodischargesame,orshallbondaroundsuchliensinthemannerprovidedbylaw.5.9ElectricalCodeConflictsIntheeventofadifference,conflictordiscrepancybetweenoramongtherequirementsorpracticesofanyElectricalCodeorsafetyregulations,lawsorindustrystandards,thefollowingrulesshallapply:(A)ifonespecificationorpracticeismorestringentthantheother,themorestringentshallapply;(B)ifoneisnotmorestringentthantheother,theNESCshallgoverntotheextentpermittedbylaw;(C)ifthefirsttworulesareinsufficienttoresolvetheconflictinaclearandunambiguousmanner,theTownshalldeterminewhichstandardshallapply,givinghighestprioritytosafetyconsiderations.5.10DesignDocumentConflictsIntheeventLicenseebelievesaDesignDocumentisinconsistentwiththeElectricalCodeorapplicablelaw,LicenseeshallreferthemattertotheTownforitsreasonablereview.9 0ARTICLE6MAKE-READYCONSTRUCTIONPARTA-GENERALPROVISIONS6.1PerformanceofMake-ReadyWorkTheTownshallbeundernoobligationtochange,modifyorreplaceanyPoletoaccommodateLicensee.If,however,theTownelects,initsreasonablediscretion,tochange,modifyorreplaceaPoleoranyexistingattachmentstoaccommodateaproposedAttachment,allMake-ReadyCostsnecessarytoaccommodatetheattachmentshallbebornesolelybyLicensee,includingwithoutlimitation,Costsofplanning,engineering,constructionandPolereplacement.TheTownmayinitssolediscretion:A.opttoperformthenecessaryMake-Readyworkitself,inwhichcasePartBofthisArticle6shallapply,thoughinnoeventshallthisAgreementbeconstruedtorequiretheTowntoundertakeMake-Readyconstruction,orB.opttoauthorizeLicenseeoranotherapplicanttoperformthenecessaryMake-Readywork,inwhichcasePartCofthisArticle6shallapply.6.2ThirdPartyFacilitiesMake-ReadyCoststhataretobepaidbyLicenseeincludeallCostsandexpensestorelocateoraltertheattachmentsorfacilitiesofanypreexistingThirdPartyUserasmaybenecessarytoaccommodateLicensee’sAttachment,but,ifaThird-PartyUserbenefitsfromtheMake-Readywork,Licenseemaychargethethird-partyapro-rataportionofthemake-readycosts.Licenseeshallprovideatleast30daysnoticetoeachThirdPartyUserofitsintenttorelocateoraltertheirfacilitiesandmakeallothernecessaryarrangementsdirectlywiththeaffectedThirdPartyUser.PARTB-CONSTRUCTIONBYTHETOWN6.3ScopeThisPartBofArticle6shallapplyonlyintheeventtheTownhasoptedtoperformtheMake-ReadyworkonaPo’e.6.4ConstructionIfLicensee’sproposedAttachmentnecessitateschangesinoradditionstoaPoleortherelocationormodificationoftheTownorThirdPartyUserfacilitiesonaPole,andtheTownoptsinitsreasonablediscretiontoperformthenecessaryMake-Readywork,theTownshall,withinfourteen(14)daysaftercompletingthepolesurvey,submittoLicenseeanestimateoftheCostforsuchMake-Readyworkandanestimatedcompletiondate.Licenseeshallhavefourteen(14)daystoacceptthetenderedestimate.UponreceiptofLicensee’sapprovaloftheCostestimate,theTownshallmakeagoodfaithefforttoproceedwiththeworkinsubstantialcompliancewiththeproposedschedule.Innoevent,however,shalltheTownbeliabletoLicenseeoranyotherpersonforfailuretocompletetheworkinaccordancewiththeproposedschedule,butifitcannotperformtheworkonorwithin45daysofnotifyingLicenseeofitsintenttoperformthework,Licenseemayperformthemake-readyworkpursuanttoArticle6.1.B.10 0C6.5CostAllocationforMultipleApplicationsNotwithstandinganyotherprovisionofthisAgreement,ifanotherentityfilesanApplicationconcerningthesamePolewithin30daysbeforeorafterLicensee’sApplication,theTownshallequitablydividetheengineeringandMake-ReadyandPolereplacementCostsincurredtoaccommodatea]lapprovedAttachments,takingintoaccounttheorderinwhichtheApplicationswerefiledandtheCostsoccasionedbyeachapplicant.PARTC-CONSTRUCTIONBYLICENSEE6.6ScopeThisPartCofArticle6shallapplyonlyintheeventLicenseehasbeengivenapprovalbytheTowntoperformMake-ReadyworkonaPole.6.7ConstructionAllworkperformedbyoronbehalfofLicenseepursuanttoanAttachmentLicenseshallbedoneinagoodandworkmanlikemanner.Licensee’sacceptanceofanAttachmentLicenseconstitutesLicensee’sagreementtobeboundbyitstermsandconditions.AllAttachments,contacts,Make-ReadyworkandotherworkperformedormaintainedbyLicenseeonaPoleshallcomplywithElectricalCode,theDesignDocumentsandotherlawsandstandardsasprovidedinthisAgreement.AnydeviationshallconstituteamaterialdefaultunderthisAgreementwhichLicenseewillbeaffordedareasonableopportunitytocure.IfLicenseedoesnotcurethedefaultwithinareasonabletimetheTownmaypursueotherremediesavailabletoit.6.8PoleReplacementTheTownretainsreasonablediscretiontodeterminewhenitisreasonablynecessarytoreplaceaPoleandtodeterminethemaximumheightaPolemayreach.PolereplacementCostsshallbebornebyLicenseeif,becauseofinadequatecapacity,approvalofLicensee’sAttachmentcausestheneedforthereplacement.6.9CoordinationofConstructionEffortsIntheeventmultipleentitieshavebeengrantedAttachmentLicensesforthesamePoleandadisagreementarisesbetweenthemastoconstructionandinstallationschedules,theTownshallhavetherighttorequirearepresentativeofLicenseewhohasauthoritytoagreeontheseissuestoattendameetingcalledbytheTowntodiscussandagreeontheseissues.TheTown’sdecisiononthismattershallbefinalandbinding.6.10RequiredAuthoriWtoProceedAnAttachmentLicenseisnotanauthoritytoproceedwithMake-ReadyworkonaPole.BeforebeginningMake-ReadyworkonaPole,LicenseeshallgivetheTownnotlessthan14dayswrittennoticeofthePolelocation,theproposeddateonwhichworkwillcommenceandwhetheranyelectricalserviceinterruptionsorde-energizationswillberequired.IftheTowndoesnotapproveofsuchdate,thepartiesshallmutuallyagreeonadateforconstructiontotakeplaceandshallmakeallnecessaryarrangementsandschedulesforlineandequipmentde-energization.LicenseeshallnotbeginMake-ReadyworkwithoutauthoritytoproceedfromtheTown,andshallmakeagoodfaithefforttocomplywiththeagreeduponconstructionandde-energizationschedule.LicenseeshallberesponsibleforcoordinatingitseffortswiththeTownfieldinspectionpersonnelandforanyactionsornotificationsrequiredbytheLightandPowerDepartment.11 006.11ScrviceInterruptionsIntheeventLicensee’sMake-ReadyconstructioneffortsrequireascheduledinterruptionintheTownorThirdPartyUserservicesorotherwiserequirede-energizationoftheTownlines,timeshallbeoftheessence.IfLicenseefailstomakeagoodfaithefforttocomplywiththeconstructionscheduleasagreeduponpursuanttotheprecedingparagraph,theTownmayopttoimmediatelyrevokeLicensee’sAttachmentLicense(s)forthePolesinquestionandrestoretheinterruptedpowerandservicesatLicensee’sreasonableCost.6.12ContractorsAllworkthatinvolvesmovingtheelectricplantperformedbyoronbehalfofLicenseepursuanttoanAttachmentLicenseshallbedonebyaContractorselectedbyLicensee.ForallotherworkpeffonnedbyoronbehalfofLicensee,LicenseemayuseitsownworkersandwillensurethatitsworkersareproperlytrainedtoworkintheCommunicationSpace.Onlyorderlyandcompetentworkersshallbeused.NeitherLicensee’sworkersnorthoseofitsContractorsmaypossessanyweapon,oruse,possessorbeundertheinfluenceofanyalcoholicorotherintoxicatingbeverage,drugorcontrolledsubstancewhileperforminganyworkonoraroundaPole.IftheTownfindsanyLicenseeorcontractworkertobeincompetent,disorderly,inthepossessionofanyweapon,inthepossessionoforundertheinfluenceofalcoholordrugs,LicenseeshallpromptlyremovesuchworkerfromallworkonoraroundPoles,andmaynotagainusesuchworkeronworkonoraroundPoles.6.13MaterialsLicenseeshallftmishallnecessarymaterialsandhardware,ifapplicable,includingbutnotlimitedto:poles,crossarms,mountinghardware,guys,anchors,insulators,conductorsandanyassociatedMiscellaneoushardware.AllmaterialsusedbyLicenseeforMake-ReadyworkonPolesshallbenewandofgoodqualityandfreefrommaterialdefects.TheuseofattachmentarmsisprohibitedwithouttheTown’spriorwrittenconsent.6.14LicenseetoBearCostsAllCostsandexpensestocompletetheMake-Readyconstruction,includingthetransferoftheTownfacilitiesandThirdPartyUserAttachments,shallbeborneentirelybyLicensee.6.15TownPropertyNotwithstandingparagraphs6.13and6.14,allPoles,materialsandequipmentinstalledintheMake-ReadyprocessshallbecomeandremaintheTown’ssoleproperty,regardlessofwhichentityprocuredorpaidforit.LicenseeshallexecuteanydocumentsreasonablyrequestedbytheTowntoevidencethetransferoftitletosuchpoles,materialsandequipmenttotheTown.Licensee’sperformanceofMake-ReadyworkorpaymentofanyCosts(A)shallinnowaycreateorvestinLicenseeanyownershipright,titleorinterestinanyPoleorelectricalfacilities,(B)shallnotentitleLicenseetoanyoffsets,credits,paymentsorincomefromtheTown’soperationofthePoleorfacilities,or(C)alteroraffecttheTown’srightsunderthisAgreement,or(D)restricttheTown’sabilitytoallowaccesstoaPolebyThirdPartyUsers.Licensee’sinterestshallatalltimesremainarevocablelicensethatissubjecttothetermsofthisAgreement.6.16TreeTrimmingLicenseeshallberesponsibleforalltreetrimmingwhichinLicensee’sjudgmentisnecessaryforthesafeandreliableinstallation,useandmaintenanceofitsAttachments,andtoavoidstressonPolescausedbycontactbetweentreelimbsandLicensee’sAttachments.AlltreetrimmingshallbeperformedinaccordancewiththencurrentTowntreetrimmingpolicies,includingwithoutlimitation,thoserelatingtoownernotificationandconsent.12 ©0Wheretreetrimmingaffectsoneormoreotherentitiesattachingtothepoles,thecostoftreetrimming,includedassociatedadministrativecosts,shallbesharedequallybytheTown,Licenseeandanyotherentityattachingtothepole.6.17AnchorsandGuvin2LicenseeshallprovideallanchorsandguyingnecessarytoaccommodatetheadditionalstressandloadplaceduponaPolebyitsAttachments.AnchorsshallnotbeplacedoutsideoftheeasementinwhichaPolestands.6.18NewThirdPartyUsersMake-ReadyCostsaretobepaidbyanewThirdPartyUsertotheTown,LicenseeandanyexistingThirdPartyUser,includingallCostsandexpensestorelocateoraltertheAttachmentsorfacilitiesoftheTown,LicenseeoranyexistingThirdPartyUserasmaybenecessarytoaccommodatethenewThirdPartyUser’sAttachment.However,ifanyentitybenefitsfromtheMake-ReadyworkbesidesthenewThirdPartyUser,thenewThirdPartyUsermaychargethebenefitedpartyitspro-rataportionofthemake-readycosts.ARTICLE7INSTALLATIONANDMAINTENANCEOFATTACHMENTS7.1InstallationUpon(A)theTown’sacceptanceofthecompletedMake-Readywork,and(B)theTown’sreceiptofftillpaymentofallsumsowingtotheTownforengineering,Make-ReadyandotherCosts,LicenseemayaffixitsAttachmentstothePoleassetforthintheAttachmentLicenseandDesignDocuments.7.2CommunicationSpaceAllLicenseeAttachmentsandContactsonaPolemustremainintheCommunicationsSpace,exceptforattachmentsforpowersupplies.LicenseeoperationsintheSupplySpaceorinthespaceseparatingtheCommunicationsandSupplySpaceareprohibited.7.3MaintenanceLicenseeshall,atitssoleexpense,makeandmaintainitsAttachmentsinasafeconditionandingoodrepair,andinsuchamannerastonotinterferewithorinterrupttheTown’slines,facilitiesandservicesorwithThirdPartyUserattachments,facilitiesandservices.7.4NoDama2eLicenseeshallnotcausedamagetoTownorThirdPartyUserfacilitiesoroperations.IfLicensee,itsContractors,agents,employeesorAttachmentscausedamagetofacilitiesoroperations,LicenseeshalleitherrepairorpromptlyreimbursetheTownortheThirdPartyUserforalllossandexpensecausedbysuchdamage.IftheTowncausesdamagetoothersfacilities,theTownshallpaytheactualcostforthatdamage.BothLicenseeandtheTownshallimmedialelyinformtheotherpartyandallThirdPartyUsersofanydamagelotheirfacilities.7.5SapandSpanClearancesLicenseeshallleavepropersaginitslinesandcablesandshallobservetheestablishedsagofpowerlineconductorsandothercablessothatduringthelifeoftheAttachmentminimumclearancesare(A)achievedatPoleslocatedonbothsidesofthespanand(B)maintainedthroughoutthespan.Aminimumclearancebetweensurfacesmustbe13 00maintainedbetweenLicensee’sandothersCablesatmid-spanandbetweenLicensee’sandothersAttachmentsandPoleContactsonthePoles.7.6Climbin2SpaceAnunobstructedclimbingspacemustbemaintainedatalltimesonthefaceofallPolesasrequiredbyElectricalCode,aswellasadequategroundaccesstoPoles.MIAttachmentsmustbeplacedastoallowandmaintainaclearandproperclimbingspace.LicenseeshallplaceitsAttachmentsonthesamesideofthePoleasthemajorityofexistingLicenseeorotherattachments.7.7Ta%gingEachnewAttachmentshallbeidentifiedatalltimesbyanidentifyingmarkerapprovedbytheTownthat,ataminimum,(A)ispermanentindurationandnotdegradablebyrainorsunlightand(B)hascoloringandnumberingorletteringuniquetoLicensee.ARTICLE8MODIFICATIONOFATTACHMENTS8.1NoUnauthorizedModificationsExceptforoverlashingofanexistingAttachmentorroutinemodificationsasprovidedinSection8.2,Licenseeshallnotchangethetype,natureorlocationofanyAttachmentoralteritsuseofaPolewithoutpriorwrittenconsentoftheTown.LicenseeshallnotconstructanyotheroradditionalAttachments,exceptLicenseemayoverlashtoitsexistingAttachmentwithoutnotifyingtheTownorobtainingaseparateAttachmentLicense.AnyAttachmentchangedoraddedinviolationofthissectionshallbedeemedtobeanunauthorizedAttachment.8.2RoutineModificationsLicenseedoesnotneedTownconsentfororprovideitnoticeofchangesincidenttoroutinemaintenanceandrepairorinstallationsofservicedrops.8.3TownMandatedModificationsWithin45days,orsuchothertimeperiodasprescribedbyfederallaw,ofwrittenrequestbytheTown,LicenseeshallmoveorrearrangeitsAttachmentsinordertomaximizetheusableavailablePolespaceand/ortoaccommodateTownfacilities.Licenseeshalldosoatitssolecostandrisk.IfLicenseefailsorrefusestocomplywiththedirectionsoftheTowntochange,alter,improve,move,removeorrearrangeanyofitsAttachments,theTownmayopttochange,alter,improve,move,removeorrearrangesuchAttachmentswithoutincurringanyliabilitytoLicenseeandatLicensee’ssolecost,ortheTownmayproceedunderArticle10ofthisAgreement.8.4EmernenciesIncaseofasituationthattheTownreasonablydeterminestobeanemergency,theTownmaymove,rearrangeortransferLicensee’sAttachmentswithoutnoticeandwithoutliabilitytoLicenseeortoanyotherperson,inwhicheventLicenseeshallalsoberesponsibleforallCosts.8.5DestroyedPolesIfanyPoleonwhichLicenseehasanAttachmentissubstantiallydestroyedordamagedbyfire,storm,accidentorotherwise,theTownshallbeundernoobligationtorebuildorreplacesuchPole,butmayelecttoterminateLicensee’sAttachmentLicenseforsuchPolewithoutanyliabilitytoLicensee.TheTownshallnotify14 CCLicenseeinwritingofaterminationunderthisparagraph,andLicenseeshallbeentitledtoaproratarefirndofanyprepaidbutunearnedUsageRateattributabletotheAttachmentsonsuchdamagedordestroyedPole.NothinghereinshallprohibitLicenseefromrepairingorreplacingsuchdamagedordestroyedPolesatLicensee’ssolecostandexpenseif:(A)theTownelectsnottorepairorreplacesame,and(B)LicenseeispermittedtodosoundertheTownCodeandanyapplicableeasements.8.6TransfersofAttachmentsIftheTownreplacesanexistingPolesupportinganAttachmentwithanewPole,theTownwilltransfer,ifreasonablyfeasible,theAttachmenttothereplacementPolewhentheTowntransfersitsownlinesandfacilities,unless(A)LicenseenotifiestheTowninwritingthatitdoesnotdesiretooccupythenewPole,or(B)othertransferarrangementssatisfactorytotheTownaremadeinadvance.ExceptincircumstancesthattheTownreasonablydeterminestobeanemergency,theTownshallgiveLicenseereasonableadvancenoticeofPolereplacements.FailureofLicenseetotimelyrespondtotheTown’snoticeshallbedeemedanelectiontooccupythenewPole.Licenseeshallpayallapplicabletransferfeesandcostsforitsfacilities.IfLicenseeoptsnottooccupythenewPole,Licensee’sAttachmentLicensetothereplacedPoleshallterminateasofthedateofreplacement.LicenseeshallnotbeentitledtoarefundofanyUsageRateasaresult.8.7UndertroundConversionUponwrittennotice,theTownmayremoveitsfacilitiesfromaPoleandre-routethroughundergroundconduits.LicenseeshallberesponsibleforreimbursingtheTownforitsproratashareofinstallingandpayingfortheundergroundconduit.MIofLicensee’scostsassociatedwithsuchrelocationundergroundshallbeLicensee’sresponsibility.TheLicenseemustplaceitsfacilitiesundergroundwithinsix(6)monthsorsooneruponrequestoftheTown.Insuchevent,theTownshallbeundernoobligationtomaintainanyPolesthatnolongersupporttheTownsupplylines.ARTICLE9INVENTORYANDINSPECTIONS9.1RighttoInspectTheTownmayinspectLicensee’sworkandAttachmentsatanytime,exceptthatitshallnotundertakeasystem-widesafetyinspectionmorethanonceeverytwoyears.TheTownmayconducttheseinspectionsforanypurposerelatingtothisAgreement,includingwithoutlimitation:(A)determiningcompliancewiththeDesignDocumentsorotherdesignandinstallationrequirements;(B)determiningcompliancewiththeElectricalCode;or(3)auditingandinventorying.TotheextentthattheTowndesignatesanindependentcontractortoperformsuchinventory,theTownmustconsultwithLicensee.TheTownshallprovidetheLicenseewithawritteninvoice,andLicenseeshallpayitsproratashare,providedthatLicenseehasapprovedsuchexpensesinadvance.ThemakingofaninspectionbytheTownshallnotoperateinanywaytorelieveLicenseeorLicensee’sinsurersofanyresponsibility,duty,obligationorliabilityunderthisAgreementorotherwise,nordoestheTown’sabilitytomakeinspectionsrelieveLicenseefromitsobligationstoexerciseduecareintheinstallationandoperationofitsAttachments.9.2ComplianceIntheeventanyinspectionofanexistingAttachmentrevealsthatcorrectionsorotheractionsarerequiredofLicenseeunderthisAgreement,includingwithout15 00limitationthoserequiredforreasonsofsafetyorstructuralintegrity,LicenseeshallmakesuchcorrectionsortaketherequestedactionswithinareasonabletimeafterthedatetheTownsendsLicenseeawrittennoticeinformingLicenseeofthecorrectionstobemade.TheTownmayalsoperformsuchworkwithoutnotice,atLicensee’ssoleCostandrisk,iftheTowndeterminesinitsreasonablejudgmentthatanemergencyinvolvingpublicwelfareorsafetyconsiderationsdonotpermitadvancewrittennoticetoLicensee.IfLicenseefailsorreftmestocomplywiththedirectionsoftheTown,theTownmayopttochange,alter,improve,move,removeorrearrangesuchAttachmentswithoutincurringanyliabilitytoLicensee,andatLicensee’sreasonableCostandrisk,orproceedunderArticle10ofthisAgreement.9.3System-wideInventoryNotmorethanonceinaContractYear,theTownmay,butisundernoobligationto,conductasystem-wideinventoryofallLicenseeandThird-PartyUserAttachmentsonitsPoles,forwhichLicenseeandThird-PartyUsersshallbeartheirproportionateshareofCosts.TheTownwillnotifyLicenseeandThird-PartyUsersofthetimesandplacesofsuchinventoryatleastthreemonthsinadvance,andLicenseeandThird-PartyUsersmayhaverepresentativesaccompanytheTownontheinventory.TotheextentthattheTowndesignatesanindependentcontractortoperformsuchinventory,theTownmustconsultwithLicenseeandThird-PartyUsers.TheTownshallprovidetheLicenseeandThird-PartyUserswithwritteninvoices,andLicenseeandThird-PartyUsersshallpaytheirproratashare.TheTownmayusetheresultsoftheinventoryforpurposesofcalculatingtheAnnualUsageCharge,butmayalsorelyuponastatisticallysignificantnumberofgeographicalgridsorothermutuallyagreeablecensustodeterminethecorrectcount.Toestablishabaselinepolecount,Licenseeshallconductaninventorywithin6monthsafterexecutionofthisAgreement,excepttotheextentthatsuchdateoccursaftersnowfall,andinsuchcase,duringthefirstmonththereafterwhensuchinventoryispracticable.ARTICLE10UNAUTHORIZEDATTACHMENTS10.1UnauthorizedAftachmentsLicenseeshallnotplaceanyAttachmentsonaPoleorotherTowninfrastructureexceptasauthorizedbyanAttachmentLicense.IfoneormoreUnauthorizedAttachmentsarediscovered,LicenseeshallcomplywiththisArticle10ortheTownmay,butshallnotberequiredto,removetheUnauthorizedAttachmentwithoutincurringanyliabilitytoLicenseeandatLicensee’sreasonableCost.WithrespecttoanyUnauthorizedAttachment,theTownmayrequirethatLicenseesubmitanApplicationforeachsuchUnauthorizedAttachment,togetherwiththethen-currentFilingFeeandUsageRaterelatingbacktotheinstallationoftheAttachment,thelastattachmentinventory,orbackthreeyears,whicheverismore.IfsuchApplicationandchargesarenotreceivedbytheTownwithin15daysofnoticeoftheUnauthorizedAttachment,theTownmayrequirethatLicenseeremovesuchUnauthorizedAttachmentupondemandor,ifLicenseefailstodosouponreasonablenotice,removesuchAttachmentatLicensee’ssoleCostandrisk.10.2NoRatificationofUnauthorizedUseNoactorfailuretoactbytheTownwithrespecttoanUnauthorizedAttachmentoranyotherunauthorizeduseoftheTownPolesorpropertyshallbeconsideredtobearatification,licensingorpermittingoftheunauthorizeduse,irrespectiveofanyotherwiseapplicabledoctrineofwaiverorlaches.16 00ARTICLE11CUSTOMERINTERACTION11.1PurposeLicenseeacknowledgesthatthescopeofitsproposedprojectandtheamountofMake-ReadyconstructionandAttachmentinstallationitintendstoundertakeunderthisAeementmayrequireLicenseetomakeextensiveandrepeatedintrusionsontotheprivatepropertyofTowncustomersinordertoaccessPoles.ThepurposeofthisArticleistoestablishminimumstandardsofconductwithrespecttopropertyownersandTowncustomers.11.2OwnerConsentBeforeenteringontoprivatepropertytoaccessaPole,Licenseeshallobtaintheowner’sconsent.11.3LicenseeConductBeforeengaginginMake-ReadyorinstallationworkonthepropertyofaTowncustomer,Licenseeshall,atminimum:A.Placehangersorfliers,explainingingeneralthenature,extentandpurposeoftheworktobedoneandlistingLicensee’stelephonenumbersandwebsitewhereadditionalinformationcanbefound,onthefrontdoorofeachcustomerwhosepropertyistobeentereduponatleast48hourspriortoentry;B.Requireallfieldcrews,andthoseofitsContractors,tocarryanddistributeuponrequestinformationpacketsexplainingindetailthenature,extentandpurposeoftheworkbeingdoneandlistingthetelephonenumberandwebsitewhereadditionalinformationcanbefound;C.Establishandmaintainalocalcall-centertelephonenumberduringallhoursduringwhichfieldworkisbeingdonethatisstaffedbyknowledgeablepersonnelwhocananswerandresolvecustomerquestionsandcomplaintsconcerningtheworkbeingdoneontheirpremises;D.RequireallfieldcrewstowearIDbadgesanduniformsidentif’ingthemselvesasemployeesorContractorsofLicensee;E.HaveallvehiclesusedinfieldworkbearLicensee’slogo;F.Requireallfieldcrewstoseekpermissionofthepremisesownerbeforeenteringintoabackyard;and0.Havereadilyavailable,duringallhoursinwhichfieldworkisbeingdone,oneormoreknowledgeablepersonnelwhocancommunicatewithandassisttheTownAdministrator’sOfficeandTownBoardmembersregardingpropertyownercomplaints,andalsohaveavailablequalifiedpersonneltoconducton-siteresolutionofpropertyownercomplaints.11.4NoTownAffiliationLicensee,anditsemployees.Contractorsandagentsshallnotatanytimerepresentthemselvestothepublic,anyTowncustomeroranyresidentasbeing17 00associatedwith,havingthepermissionoforhavingbeenrequestedbytheTowntobeonprivateproperty.11.5ElectricalServiceInterruptionsLicenseeshallprovidewrittennoticetoTowncustomersofanyplannedelectricalserviceinterruptionsthatwillaffectthemnotlessthan48hoursinadvanceofsuchinterruption.Suchnoticeshallcontainthespecificdatesandtimesforsuchinterruptionsandthereasonstherefor.ARTECLE12TERMINATION12.1TerminationofAttachmentLicensesAttachmentLicensesforspecificAttachmentsshallterminateuponanyofthefollowingeventsorconditions:A.LicenseehasnotcompletedallnecessaryMake-ReadyworkandAttachmentinstallationwithin45daysofissuanceoftheAttachmentLicense,unlessLicenseeandtheTownagreeinwritingtoalongerperiod.B.LicenseeremovestheAttachmentotherthaninthecourseofroutinemaintenanceorreplacement.C.Licenseeceasestoofferservices,orprovidesservicesunlawffilly,throughtheAttachment.IiLicenseefailstocomplywithanyapplicableprovisionofthisAgreement.E.Licensee’sCableFranchiseintheTownisterminated.12.2RightofSuspensionIfLicenseefailseithertomakeanypaymentrequiredunderthisAgreement,includingtimelypaymentstoContractorsforMake-Readywork,ortoperformtimelyanymaterialobligationunderthisAgreement,andsuchdefaultcontinuesfor30daysafterthedatethepaymentorperformanceisdue,then,inadditiontoanyotheravailablerightorremedy,theTownmay,uponwrittennoticetoLicensee,immediatelysuspendallAttachmentLicensesofLicenseehereunderuntilsuchtimeasthedefaultiscured.Thepaymentunderprotestofadisputedamountinordertoavoid,orJill,suspensionofAttachmentLicensesshallnotprejudicetherightsofLicenseetocontinuethepaymentdispute.LicenseeshallnotinstallanyneworadditionalAttachmentsormakeanychangestoexistingAttachments(exceptforremovalorroutinerepairormaintenancenecessarytocontinuetoprovideservicestothenexistingLicenseecustomers)duringtheperiodofsuspension.12.3TerminationofAgreementbytheTownIfLicenseefailseithertopayanypaymentrequiredunderthisAgreement,includingtimelypaymentstoContractorsforMake-ReadyWork,ortimelyperformanymaterialobligationunderthisAgreement,andifsuchdefaulthasnotbeencuredwithin30daysofLicensee’sreceiptofwrittennoticeofdefault,theTownmayterminatethisAgreementandallAttachmentLicensesuponwrittennoticetoLicensee.Uponreceiptofanoticeoftennination,Licenseeshallpromptlybegintheprocessof18 00removingallAttachmentsfromPoles.AllsuchAttachmentsshallberemovedwithin45daysafterthedateofthenoticeoftermination,orwithinsuchothertimeastheTownmayagree.UntilallofLicensee’sAttachmentsareremoved,LicenseeshallcontinuetocomplywithallofthetermsofthisAgreementandperformallofitsdutiesandobligationshereunder,includingwithoutlimitationtheobligationtopayAnnualUsageChargesforitsAttachments.SuchpaymentbyLicenseeoracceptancebytheTownofAnnualUsageChargesshallnotacttocurethedefaultthattriggeredtheterminationnorshallitreinstatethisAgreementorLicensee’sAttachmentLicenseshereunder.12.4FailuretoRemoveAttachmentsIfLicenseehasnotremovedallitsAttachmentswithintheperiodoftimespecifiedintheprecedingparagraph,orsuchadditionalperiodoftimegrantedbytheTowninwriting,thentheTownmayremoveLicensee’sAttachmentsatLicensee’ssoleCostandrisk.12.5TerminationofAilreementbyLicenseeLicenseemayterminatethisAgreementupon60dayswrittennoticetotheTown,inwhicheventallAttachmentsshallberemovedwithin180daysafterthedateofthenoticeofterminationorwithinsuchothertimeastheTownagrees.UntilallofLicensee’sAttachmentsareremoved,LicenseeshallcontinuetocomplywithallofthetermsofthisAgreementandperformallofitsdutiesandobligationshereunder,includingwithoutlimitationtheobligationtopayAnnualUsageChargesforitsAttachments.TerminationbyLicenseeduringaContractYearshallnotrelieveLicenseefrompaymentforproratedAnnualUsageChargesforthatContractYearoranyothersumsowingtheTown.ARTICLE13ASSIGNMENTS13.1PermissibleAssi2nmentsLicenseemaynotassignorotherwisetransferthisAgreementoranyAttachmentLicenseswithouttheTown’spriorwrittenconsent,whichconsentshallnotbeunreasonablywithheldordelayed,exceptthatLicenseemaywithoutconsent:A.transferorassignthisAgreementtoanaffiliateorsubsidiaryofLicenseetowhomLicenseehasbeendulyauthorizedbytheTowntotransferorassignLicensee’sCableFranchise.Licensee’srightsandobligationshereundershallpasstosuchtransfereeorassigneeonlyuponreceiptbytheTownofwrittennoticeofsuchtransferorassignmentoftheCableFranchise;orB.mortgageanyorallofitsproperty,rightsorprivilegesinthisAgreement.13.2DocumentsfortheTownIntheeventofatransferorassignmentofthisAgreement,LicenseeshallprovidetheTownwithtrueandcompletecopiesofthetransferorassignmentdocuments;documentsshowingtheownershipoftheassigneeanditsrelationshiptoLicensee,ifany;acopyoftheassignee’smostcurrentauditedannualfinancialstatement;acopyoftheassignee’sCableFranchisewiththeTown,ifany;copiesofallinsurancepoliciesrequiredbythisAgreement;andsuchotherdocumentsorbondsastheTownmayreasonablyrequest.19 0013.3OtherAssignmentsVoidApurportedassignmentortransfermadeinviolationoftheprovisionsofthisArticle13shallnotbebindingupontheTownandshallbedeemedtobeamaterialdefaultofthisAgreement.13.4PartialAssignmentsIfLicenseesells,conveysortransferssome,butnotall,ofLicensee’sAttachments,andsuchassignmentcomplieswiththisArticle13,theassigneemustnonethelessobtainaseparateagreementfromtheTownfortheassignee’sAttachmentsinaccordancewithTownpolicies,rulesandregulationsineffectatthattime.Untiltheassigneeexecutesaseparateagreement,theassignmentisnotbindingupontheTownandtheassignee’sAttachmentsshallcontinuetobedeemedtobetheAttachmentsofLicenseeforallpurposeshereunder,includingbillingandpaymentofAnnualUsageCharges.ARTICLE14LIABILITYANDINDEMNITY14.1LimitationonLiabilityNEITHERPARTYSHALLBELIABLETOTHEOTHERPARTYFORANYSPECIAL,INDIRECT,ORCONSEQUENTIALDAMAGESARISINGINCONNECTIONWITHTHEUSEOFORDAMAGETOEITHERPARTY’SFACILITIES.14.2NoWarrantiesbytheTownLicenseeisexpectedtoinspectthePolesonwhichitsAttachmentswillbeplacedandshallrelysolelyonsuchinspectiontodeterminethesuitabilityofthePolesforitspurposes.THETOWNDOESNOTMAKE,ANDHEREBYEXPRESSLYDISCLAIMS,ANYEXPRESSORIMPLIEDWARRANTIESCONCERNINGANYPOLE,INCLUDINGWITHOUTLIMITATIONTHEWARRANTIESOFMERCHANTABILITYORFITNESSFORAPARTICULARPURPOSE.LICENSEEACCEPTSTHEUSEOFALLPOLESASIS,WHEREISANDWITHALLFAULTS.14.3UnsafePolesLicenseeacknowledgesandagreesthattheTowndoesnotwarranttheconditionorsafetyoftheTown’sPoles,orthepremisessurroundingthePoles,andLICENSEEHEREBYASSUMESALLRISKSOFANYDAMAGE,INJURYORLOSSOFANYNATUREWHATSOEVER,COSTSANDATTORNEYS’FEES,CAUSEDBYORINCONNECTIONWITHLICENSEE’SORLICENSEE’SCONTRACTORS’USEOFTHEPOLESANDASSOCIATEDFACILITIESANDEQUIPMENTON,WITHINORSURROUNDINGTHEPOLES.LicenseeexpresslyagreesthatitwillundertakeresponsibilityforinspectingandevaluatingtheconditionofanyPolebeforeallowinganyworkers,whetherthoseofLicenseeorLicensee’sContractors,toclimborotherwiseworkonsuchPole.IfLicenseediscoversanyPolesthatarerottenorotherwiseunsafeforclimbingorAttachmentinstallation,LicenseeshallimmediatelyreportsuchunsafeconditiontotheTown.LicenseefurtheracknowledgesthattheTowndoesnotwarrantthatallPolesareproperlylabeled,andagreesthattheTownisnotliableforanyinjuriesordamagescausedbyorinconnectionwithmissinglabelsorotherwiseimproperlylabeledPole.LicenseefurtheragreestoimmediatelynotifytheTowniflabelsortagsaremissingorotherwiseimproper.20 0014.4DangerousNatureoftheWorkLicenseeacknowledgesthatinperformingtheworkcontemplatedbythisAgreement,Licenseeanditsagents,employeesandContractorswillworknearelectricallyenergizedlines,transformersandotherelectricalequipment,anditistheintentionthatthepowerflowingthroughsuchfacilitieswillnotbeinterruptedexceptbytheTown.Licenseeshallensurethatitsemployees,agentsandContractorshavethenecessaryqualifications,skill,knowledge.trainingandexperiencetoprotectthemselves,theirfellowemployees,employeesoftheTownandthegeneralpublicfromharmorinjurywhileperformingworkpermittedbythisAgreement.Inaddition,Licenseeshallfurnishitsemployees,andshallrequireitsagentsandContractorstofurnishtheiremployees,withcompetentsupervisionandsufficientandadequatetoolsandequipmentfortheirworktobeperformedinasafemanner.Licenseethitherwarrantsthatitisapprisedof,consciousofandunderstandstheimminentdangers(INCLUDINGSERIOUSBODILYINJURYORDEATHFROMELECTROCUTION)inherentintheworknecessarytomakeinstallationsontheTown’sPolesbyLicensee’semployees,agentsandContractors,andacceptsitasitsdutyandsoleresponsibilitytonotifyandinformLicensee’semployees,andtorequireitsagentsandContractorstoinformtheiremployeesofsuchdangers,andtokeeptheminformedregardingsame.14.5IndemnificationofTownLicenseeshalldefend,indemni&andholdharmlesstheTown,anditsTownBoard,officials,officers,departments,agencies,representatives,employees,agentsandContractorsagainstanyandallliability,claims,costs,damages,fines,taxes,specialchargesbyothers,penalties,expenses,demands,injurytoordeathofanypersons,lawsuitsordisputes(includingattorneys’feesandallothercostsandexpensesoflitigation)arisingfromorrelatedtoLicensee’sAttachments,allacts,omissionsornegligenceofLicenseeorLicensee’sagents,ContractorsoremployeesunderthisAgreement.14.6GovernmentalImmunityNoprovisionofthisAgreementisintended,orshallbeconstrued,tobeawaiverforanypurposebytheTownofanyimmunityorlawlimitingmunicipalliability.ARTICLE15INSURANCE15.1InsuranceRequirementsA.GeneralRequirement.TheLicenseeshallatitsownexpensepurchaseandmaintaintheminimuminsurancerequiredhereinwithcompaniesdulyfranchisedorlicensedtodobusinessintheStateofColorado.SaidinsuranceshallpossessacurrentA.M.Best,Inc.ratingofA-VTorbetter.SaidinsuranceshallbemaintainedinfullforceandeffectuntilallworkrequiredtobeperformedunderthetermsofthisAgreementissatisfactorilycompleted.Licenseesolelyshallberesponsiblefordeductiblesand/orself-insuredretention.21 00B.MinimumInsuranceLimits.LicenseemustmaintainduringtheAgreementterminsuranceineffectinaccordancewiththeminimuminsurancelimitshereinsetforthbytheTown.TheLicenseeshallprovideacertificateofinsuranceforthefollowingMinimuminsurancelimits:I.CommercialGeneralLiability:OneMillionDollarswithTwoMillionDollars($2,000,000)aggregatelimitperoccurrenceforbodilyinjury,personalinjuryandpropertydamageandTwomilliondollars($2,000,000)productsandcompletedoperations;2.AutomobileLiability:Onemilliondollars($1,000,000)combinedsinglelimitperaccidentforbodilyinjuryandpropertydamage;and3.Employer’sLiability:Onehundredthousanddollars($100,000).4.WorkersCompensationInsuranceinaccordancewithStatelawrequirements.5.UmbrellaLiabilityInsurance:Threemilliondollars(S3,000,000).6.Licenseeshallberesponsibleforjudgments,settlements,damages,costs,attorneys’feesandexpensesthatexceedlimitsofLicensee’sinsurancecoverage.Endorsements.Allpoliciesshallcontain,orshallbeendorsedsothattheTownshallbedesignatedasanadditionalinsuredexceptundertheEmployer’sLiabilityandWorker’sCompensation.TheinsuranceshallprovidethattheinsuranceshallnotbecancelledormateriallyalteredsoastobeoutofcompliancewiththerequirementsofthisSectionwithoutthirty(30)dayswrittennoticefirstbeinggiventotheTown.ARTICLE16MISCELLANEOUSPROVISIONS16.1EntireAgreementThisAgreementconstitutestheentireunderstandingofthepartiesrelatingtotheuseofUtilityPoleshereunder,andthereshallbenomodificationhereofexceptinwriting,signedbytheparties.Allpreviousagreements,correspondence,statementsandnegotiationsconcerningthesubjectmatterhereofaresupersededbythisAgreement.16.2NoWaiverThefailureofeitherpartytoenforceorinsistuponcompliancewithanyofthetermsorconditionsofthisAgreementshallnotconstituteageneralwaiverorrelinquishmentofanysuchtermsorconditions,butthesameshallbeandremainatalltimesinfullforceandeffect.16.3ApplicableLawThepartiesheretoagreeandintendthatalldisputesthatmayarisefrom,outof,underorrespectingthetermsandconditionsofthisAgreement,orconcerningtherightsorobligationsofthepartieshereunder,orrespectinganyperformanceorfailureofperformancebyeitherpartyhereunder,shallbegovernedbythelawsoftheStateofColorado22
