00ThisCableTelevisionAgreementisenteredintoinEstesPark,Colorado,this11thidayofDecember,2012,byandbetweentheTownofEstesPark,Colorado,hereinafter(“Grantor”orthe“Town”)andBajaBroadbandOperatingCompany,LLChereinafterknownas“Grantee”.GrantorandGranteearesometimesreferredtohereinaftercollectivelyasthe“parties.”WHEREAS,theGrantorhasreviewedGrantee’sperformanceunderthepriorCableTelevisionPermitAgreementdatedJuly27,1993,asamended(hereinafterthe“Permit”)andthequalityofserviceduringthepriorPennitterm,hasidentifiedthefuturecable-relatedneedsandinterestsoftheGrantoranditscitizens,hasconsideredthefinancial,technicalandlegalqualificationsofGrantee,andhasdeterminedthatGrantee’splansforconstructing,operatingandmaintainingitsSystemareadequate,inapublicproceedingaffordingdueprocesstoallparties;andWHEREAS,thepublichashadadequatenoticeandopportunitytocommentonGrantee’sproposaltoprovidecabletelevisionservicewithintheTown;andWHEREAS,theGrantorhasalegitimateandnecessaryregulatoryroleinensuringtheavailabilityofcablecommunicationsservice,technicalcapabilityandreliabilityofSystemsinitsjurisdiction,theavailabilityoflocalprogramming(includingGovernmentalAccessprogramming)andqualityCustomerservice;andWHEREAS,diversityinCableServiceandlocalandnon-localprogrammingisanimportantpolicygoalandtheGrantee’sSystemshouldofferawiderangeofprogrammingservices;andWHEREAS,flexibilitytorespondtochangesintechnology,SubscriberinterestsandcompetitivefactorswithintheCableServicemarketshouldbeanessentialcharacteristicofthisAgreement;andWHEREAS,theTownisauthorizedbyapplicablelawtograntoneormorenonexciusiveagreementstoconstruct,operateandmaintaincabletelevisionSystemswithintheboundariesoftheTown.NOW,THEREFORE,inconsiderationofthemutualpromisesmadeherein,andothergoodandvaluableconsiderationasprovidedherein,thereceiptandadequacyofwhichareherebyacknowledged,GrantorandGranteedoherebyagreeasfollows:SECTION1.DEFINITIONSForthepurposesofthisAgreementandallExhibitsattachedheretothefollowingterms,phrases,wordsandtheirderivationsshallhavethemeaningsgivenherein.Whennotinconsistentwiththecontext,wordsusedinthepresenttenseincludethefuture,wordsinthepluralincludethesingular,andwordsinthesingularincludetheplural.Wordsnotdefinedshallbegiventheircommonandordinarymeaning.Theword“shall”isalwaysmandatoryandnotmerelydirectory.“Access”or“AccessProgramming”meanstheavailabilityforNoncommercialuseby2 00variousgovernmentalandeducationalagencies,institutionsandorganizations,inthecommunity,includingGrantoranditsdesignees,ofChannelsontheSystemdesignatedforsuchuse(butnotforpublicaccess)aspermittedunderapplicablelaw:(A)“EducationalAccess”meansAccesswhereSchoolsaretheprimaryusershavingeditorialcontroloverprogrammingandservices.(B)“GovernmentalAccess”meansAccesswheregovernmentalinstitutionsortheirdesigneesaretheprimaryusershavingeditorialcontroloverprogrammingandservices.“AccessChannel”meansanyChannel,orportionthereof,designatedforNoncommercialAccesspurposesorotherwisemadeavailabletofacilitateortransmitAccessprogramming.Channel12iscurrentlytheAccessChannelonGrantee’sCableSystem.“AccessFees”meansthepaymentstobepaidtotheGrantorbytheGranteeinaccordancewithsection9.7.“Activation”or“Activated”meansthestatusofanycapacityonorpartoftheSystemwhereintheuseofthatcapacityorpartthereofmaybemadeavailablewithoutfirtherinstallationofSystemequipmentotherthanSubscriberpremiseequipment,whetherhardwareorsoftware.“AffiliatedEntity”or“Affiliate”whenusedinconnectionwithGranteemeansanyPersonwhoownsorcontrols,isownedorcontrolledby,orisundercommonownershiporcontrolwithGrantee.“Agreement”meansthedocumentinwhichthisdefinitionappears,thatisexecutedbetweenGrantorandGrantee,containingthespecificprovisionsoftheauthorizationgrantedandthecontractualandregulatoryagreementcreatedhereby.“AgreementArea”meanstheincorporatedareawithinthejurisdictionalboundariesoftheGrantor,includinganyareasannexedbyGrantorduringthetermofthisAgreement.“AgreementFee”includesanytax,feeorassessmentofanykindimposedbytheGrantorontheGranteeorSubscribers,orbothsolelybecauseoftheirstatusassuch.ThetermAgreementFeedoesnotinclude:(A)Anytax,feeorassessmentofgeneralapplicability(includinganysuchtax,fee,orassessmentonbothutilitiesandCableOperatorsortheirservices,butnotincludingatax,fee,orassessmentthatisundulydiscriminatoryagainstCableOperatorsorcableSubscribers);(B)RequirementsorchargesincidentaltotheawardingorenforcingoftheAgreement,includingbutnotlimitedto,paymentsforbonds,lettersofcredit,insurance,indemnification,penaltiesorliquidateddamages;or3 00(C)AnyfeeimposedunderTitle17,UnitedStatesCode.AllAgreementFeesmaybepassedthroughtoSubscribersasprovidedbyFederalLaw.ForpurposesofapplicableFederallawandFCCregulations,GranteeandTownacknowledgethatAgreementFeesare“FranchiseFees”asdefinedin47USCSection542.“BadDebt”meansamountslawfiillyowedbyaSubscriberandaccruedasrevenuesonthebooksofGrantee,butnotcollectedafterreasonableeffortsbyGrantee.“BasicService”meansanyCableServiceTierthatincludes,ataminimum,theretransmissionoflocaltelevisionBroadcastSignalsandAccessprogramming.“BroadcastSignal”meansatelevisionorradiosignaltransmittedovertheairtoawidegeographicaudience,andreceivedbyaSystemoff-the-airbyantenna,microwave,satellitedishesoranyothermeans.“CableAct”meanstheCableCommunicationsPolicyActof1984,asamendedbytheCableTelevisionConsumerProtectionandCompetitionActof1992,andasamendedbytheTelecommunicationsActof1996,andanyamendmentsthereto.“CableOperator”meansanyPersonorgroupofPersons,includingGrantee,whoprovidesCableServiceovertheSystemanddirectlyorthroughoneormoreAffiliatesownsasignificantinterestinsuchSystemorwhootherwisecontrol(s)oris(are)responsiblefor,throughanyarrangement,themanagementandoperationoftheSystem.“CableService”meanstheone-waytransmissiontoSubscribersofVideoProgramming,orotherprogrammingserviceandSubscriberinteraction,ifany,whichisrequiredfortheselectionoruseofsuchVideoProgrammingorotherprogrammingservice.“Channel”meansaportionoftheelectromagneticfrequencyspectrumthatisusedinaCableSystemandthatiscapableofdeliveringorcarryingatelevisionchannel(astelevisionchannelisdefinedbytheFCCRegulationsorasdescribedasVideoProgrammingServices).“Town”or“Grantor”meanstheTownofEstesPark,Colorado.“DesignatedAccessProvider”meanstheentityorentitiesdesignatedbytheGrantortomanageorco-manageEducationalorGovernmentalAccessChannelsandfacilities.TheGrantormaybeaDesignatedAccessProvider.“DownstreamChannel”meansaChannelcapableofcarryingatransmissionfromtheHeadendtoremotepointsontheSystemortoInterconnectionpointsontheSystem.“DwellingUnit”meansanybuildingorportionthereofthathasindependentlivingfacilities,includingprovisionsforcooking,sanitationandsleeping,andthatisdesigned4 00forresidentialoccupancy.“ExpandedBasicService”meansthelevelofcableprogrammingservicesreceivedbymostSubscribersaboveBasicServiceanddoesnotincludepremium,orpay-per-viewservices.“FCC”meanstheFederalConmmnicationsCommissionoritslawfhlsuccessor.“FiberOptic”meansatransmissionmediumofopticalfibercablebymeansofelectriclightwavepulses.“GAAP”meansgenerallyacceptedaccountingprinciples.“GenerallyApplicable”meanswhenreferencedtoordinances,lawsorregulations,legalobligationsthatareappliedgenerallyandnotsolelylimitedtoGrantee.“GrossRevenues”meansanyandallrevenuederiveddirectlyorindirectlybyGrantee,orbyGrantee’sAffiliatesorbyanyotherentitythatisaCableOperatoroftheCableSystemincludingGrantee’sAffiliatesasdeterminedinaccordancewithGAAP,fromtheoperationoftheGrantee’sCableSystemtoprovideCableServicesintheAgreementArea.GrossRevenuesinclude,bywayofillustrationandnotlimitation,monthlyandotherfeeschargedSubscribersforCableServicesincludingBasicService,ExpandedBasicService,anyexpandedTiersofCableService,otherTiersofCableService,optionalPremiumService,pay-per-viewandper-programChannels,CableServiceinstallation,disconnection,reconnectionandchange-in-servicefees,LeasedAccessChannelfees,digitalrevenues,remotecontrolrentalfees,allCableServiceleasepaymentsfromtheCableSystem,latefeesandadministrativefees,fees,payments.considerationreceivedbytheGranteefromprogrammersforcarriageofCableServicesontheCableSystemandrecognizedasrevenueundergenerallyacceptedaccountingprinciples(GAAP),revenuesfromrentalsofconvertersorotherCableSystemequipment,netadvertisingsalesrevenues(includinglocal,regionalandaproratashareofnationaladvertisingcardedontheCableSystemintheAgreementArea),thefairmarketvalueofconsiderationreceivedbytheGranteeforuseoftheCableSystemtoprovideCableServiceandaccountedforasrevenueunderGAAP,revenuesfromprogramguides,additionaloutletfees,AgreementFees,revenuefromthesaleorcarriageofotherCableServices,andrevenuesfromhomeshopping.GrossRevenuesshallincluderevenuereceivedbyanyentityotherthantheGranteewherenecessarytopreventevasionoravoidanceoftheobligationunderthisAgreementtopaytheAgreementFees.GrossRevenuesshallnotinclude(i)BadDebt,provided,however,thatallorpartofanysuchBadDebtthatiswrittenoffbutsubsequentlycollectedshallbeincludedinGrossRevenuesintheperiodcollected;or(ii)anytaxesonservicesfiJmishedbytheGranteethatareimposeddirectlyonanySubscriberoruserbytheSlate,TownorothergovernmentalunitandthatarecollectedbytheGranteeonbehalfofsaidgovernmentalunitincludingtheFCCUserFee.TheAgreementFeesarenotatax,andarethereforeincludedinGrossRevenues,SubjecttoFederallaw,allAgreementFeesmaybepassedthroughtoSubscribers.“Headend”or“Hub”meansanyFacilityforsignalreceptionanddisseminationonthe5 00System,includingcable,antennas,wires,satellitedishes,monitors,switchers,modulators,processorsforBroadcastSignalsorothersignals,andotherrelatedequipmentandfacilitiesfortheInterconnectionoftheSystemwithadjacentSystemsandInterconnectionofanynetworksthatarepartoftheSystem,andallotherrelatedequipmentandFacilities.“Interconnect”or“Interconnection”meansthelinkingofAccessChannelswithAccessChannelscarriedonageographicallycontiguousCableSystem,includingtechnical,engineering,physical,financialandothernecessarycomponentstoaccomplish,completeandadequatelymaintainsuchlinking,inamannertopermitthetransmissionandreceivingofelectronicoropticalsignalsbetweentheSystemandotherSystems;ortopermitthenecessarycomponentstoaccomplish,completeandadequatelymaintainpathwaysthatpermitthetransmissionandreceivingofelectronicoropticalsignalsbetweenlocationsconnectedtoportionsoftheSystemoutsidetheAgreementAreaandthoseportionsoftheSysteminsidetheAgreementArea.“LeasedAccessChannel”meansanyChannelorportionofaChannelcommerciallyavailableforprogramminginaccordancewithSection612oftheCableAct.“LocallyScheduledOriginalProgramming”meansGovernmentAccessorEducationalAccessprogrammingthatiscreatedbytheTownoranySchool,FireDistrict,LibraryDistrictorLocalMarketingDistrictincludingeditedcoverageofliveprogramming.SuchLocallyScheduledOriginalProgrammingshallnotbeconsideredasqualiringassuchafterthree(3)cablecasts(initial,firstrepeatandsecondrepeat).AutomatedVideoProgrammingfiller,suchascablecastsofhighwaysandroads,doesnotconstituteLocallyScheduledOriginalProgrammingthatqualifiesherein.“Noncommercial”meansthoseproductsandservicesthatarenotpromotedorsold.ThistermshallnotbeinterpretedtoprohibitanAccessChanneloperatororprogrammerfromsolicitingandreceivingfinancialsupporttoproduceandtransmitVideoProgrammingonanAccessChannel,orfromacknowledgingacontribution,inthemanneroftheCorporationforPublicBroadcastingorsomesimilarmanner,subjecttoapplicablelaw.“NormalBusinessHours”meansthosehoursduringwhichmostsimilarbusinessesinthecommunityareopentoserveCustomers.“NormalOperatingConditions”meansthoseserviceconditionsthatarewithinthecontroloftheGrantee.ThoseconditionsthatarenotwithinthecontroloftheGranteeinclude,butarenotlimitedto,naturaldisasters,civildisturbances,poweroutages,telephonenetworkoutages,andsevereorunusualweatherconditions.ThoseconditionsthatareordinarilywithinthecontroloftheGranteeinclude,butarenotlimitedto,specialpromotions,pay-per-viewevents,rateincreases,regularpeakorseasonaldemandperiodsandmaintenanceorupgradeoftheSystem.“PayService”or“PremiumService”meansVideoProgrammingorotherprogrammingservicechoices(suchasmovieChannelsorpay-per-viewprograms)offeredtoSubscribersonaper-Channel,per-programorper-eventbasis.6 CC“Person”meansanynaturalperson,soleproprietorship,partnership,jointventure,association,orlimitedliabilityentityorcorporation,oranyotherformofentityororganization.“ResidentialSubscriber”meansanyPersonwholawfiullyreceivesCableSet-vicedeliveredtoDwellingUnitsormultipleDwellingUnits,excludingsuchmultipleDwellingUnitsbilledonabulkbillingbasis.“Rights-of-Way”meanslandacquiredordedicatedtothepublicorarehereafteracquiredordedicatedtothepublicandmaintainedunderpublicauthorityorbyothers,includingbutnotlimitedtopublicstreetsorroads,highways,avenues,lanes,alleys,bridges,sidewalksandareasbehindsidewalks,easements,washparcels,drillsites,dedicatedutilitystripsandsimilarpublicpropertyorotherpropertydedicatedforcompatibleusesnoworhereafterheldbytheGrantorwithintheAgreementAreawhichshallentitletheGranteetotheusethereofforthepurposeofinstalling,operating,repairingandmaintainingtheCableSystem.“School”meansanyStateaccreditedK-12publicandprivateeducationalinstitutionsexcludinghomeschools.“ServiceInterruption”meansthelossofpictureorsoundononeormorecableChannels.“State”meanstheStateofColorado.“Subscriber”or“Customer”meansanyPersonwholawfullyreceivesCableServicesprovidedbyGranteebymeansoftheSystemwithGrantee’sexpresspermission.“System”or“CableSystem”meansafacility,consistingofasetofclosedtransmissionpathsandassociatedsignalgeneration,receptionandcontrolequipmentthatisdesignedtoprovideCableServicethatincludesVideoProgrammingandthatisprovidedtomultipleSubscriberswithinacommunity,butsuchtermdoesnotinclude(1)afacilitythatservesonlytoretransmitthetelevisionsignalsofoneormoretelevisionbroadcaststations;(2)afacilitythatservesSubscriberswithoutusinganypublicright-of-way;(3)afacilityofacommoncarrierthatissubject,inwholeorinpart,totheprovisionsofTitleIIofthefederalCommunicationsAct(47U.S.C.Section201etseq.),exceptthatsuchfacilityshallbeconsideredacablesystem(otherthanforpurposesofSection621(c)(47U.S.C.Section541(c))totheextentsuchfacilityisusedinthetransmissionofVideoProgrammingdirectlytoSubscribers,unlesstheextentofsuchuseissolelytoprovideinteractiveon-demandservices;(4)anopenvideosystemthatcomplieswith47U.S.C.,Section573oftheCableAct;or(5)anyfacilitiesofanyelectricutilityusedsolelyforoperatingitselectricutilitysystems.Whenusedherein,theterm“CableSystem”or“System”shallmeanGrantee’sCableSystemintheAgreementAreaunlessthecontextindicatesothenvise.“Tier”meansacategoryofCableServicesprovidedbytheGranteeforwhichaseparaterateischarged.“VideoProgramming”meansprogrammingprovidedby,orgenerallyconsidered7 00comparabletoprogrammingprovidedby,atelevisionbroadcaststation.SECTION2.GRANTOFAGREEMENT2.1Grant(A)GrantorherebygrantstoGranteeanonexciusiveauthorizationtomakereasonableandlawfuluseoftheRights-of-WaywithintheAgreementAreatoconstruct,operate,maintain,reconstruct,repairandupgradeaSystemforthepurposeofprovidingCableServices,subjecttothetermsandconditionssetforthinthisAgreementandapplicablelaw.ThisAgreementshallconstitutearight,consistentwithSection13.1toprovidetheCableServicesrequiredby,andtofulfilltheobligationssetforthin,theprovisionsofthisAgreement.(B)TheGrantee,throughthisAgreement,isgrantedtherighttooperateitsSystemusingtheGrantor’sRights-of-WaywithintheAgreementAreaincompliancewithalllawfullyenactedGenerallyApplicableconstructioncodesandregulations.TheGranteespecificallyagreestocomplywiththelawfulprovisionsofGenerallyApplicableTownordinancesprovidedthatintheeventofaconflictbetweentheprovisionsofordinancesandtheAgreement,theexpressprovisionsoftheAgreementshallgovern.SubjecttofederalandStatepreemption,theexpressprovisionsofthisAgreementconstituteavalidandenforceablecontractbetweentheparties.ThisAgreementmaynotbeunilaterallyalteredbytheGrantorthroughsubsequentamendmenttoanyordinance,rule,regulation.resolution,orotherenactmentofGrantor,exceptinthelawfulexerciseofGrantor’spolicepower.Granteereservestherighttochallengeprovisionsofanyordinance,rule,regulation,resolutionorotherenactmentoftheGrantorthatconflictswithitscontractualtightsunderthisAgreement,eithernoworinthefuture.(C)ThisAgreementshallnotbeinterpretedtopreventtheGrantorfromimposingotherconditions,totheextentpermittedbylaw,includingadditionalcompensationconditionsforuseoftheRights-of-Way,shouldGranteeprovideserviceotherthanCableService.(D)NotightsshallpasstoGranteebyimplication.Withoutlimitingtheforegoing,bywayofexampleandnotlimitation,thisAgreementshallnotincludeorbeasubstitutefor:(I)MyotherpermitorauthorizationofGeneralApplicabilityrequiredfortheprivilegeoftransactingandcarryingonabusinesswithintheTownthatmayberequiredbytheordinancesandlawsoftheTown.GranteeshallpaypermitfeesandinspectionfeesasrequiredbytheTownfrombusinessesintheregularcourseofbusiness.(2)Mypermit,agreementorauthorizationofGeneralApplicabilityrequiredbytheTownforRights-of-WayusersinconnectionwithoperationsonorinRights-of-Wayorpublicpropertyincluding,bywayofexampleandnotlimitation,streetcutpermits;or(3)MypermitsoragreementsofGeneralApplicabilityforoccupying8 00anyotherpropertyoftheTownorprivateentitiestowhichaccessisnotspecificallygrantedbythisAgreementincluding,withoutlimitation,permitsandagreementsforplacingdevicesonpoles,inconduitsorinoronotherstructures.(E)ThisAgreementisintendedtoconveylimitedrightsandinterestsonlyastothoseRights-of-WaysinwhichtheGrantorhasanactualinterest.ItisnotawarrantyoftitleorinterestinanyRights-of-Way;itdoesnotprovidetheGranteewithanyinterestinanyparticularlocationwithintheRights-of-Way;anditdoesnotconferrightsotherthanasexpresslyprovidedinthegranthereof.(F)ThisAgreementisanexpressauthorizationtoprovideCableServicesonlyanddoesnotauthorize,prohibitorconditionGrantee’sprovisionofnon-CableServices,telecommunicationsservicesorinformationservicesintheAgreementArea.ThisAgreementisnotabartotheimpositionofanylawfulconditionsonGranteewithrespecttonon-CableServices,telecommunicationsservicesorinformationservices,whethersimilar,differentorthesameastheconditionspecifyherein.ThisAgreementdoesnotrelieveGranteeofanyobligationitmayhavetoobtainfromtheTownanauthorizationtoprovidenon-CableServices,telecommunicationsservicesorinformationservicesorrelieveGranteeofitsobligationtocomplywithanysuchauthorization(s)thatmaybelawfullyrequired.However,thisAgreementshallnotbereadasaconcessionbyGranteethatitneedsauthoritytoprovidenon-CableServices,telecommunicationsservicesorinformationservices.2.2UseofRights-of-Way(A)Granteemayerect,install,construct,repair,replace,reconstruct,andretainin,on,over,under,upon,across,through,belowandalongtheRights-of-WaywithintheAgreementArea,suchwires,cables(bothcoaxialandFiberOptic),conductors,ducts,conduit,vaults,manholes,amplifiers,appliances,pedestals,attachmentsandotherpropertyandequipmentasarenecessaryandappurtenanttotheoperationofaSystemfortheprovisionofCableServiceswithintheAgreementArea.(B)GranteemustinstallSystemfacilitiesinamannerthatminimizesinterferencewiththeuseoftheRights-of-Waybyothersincludingothersthatmaybeinstallingcommunicationsfacilities.GranteeshallcomplywithallGenerallyAppJicableconstructioncodes,laws,ordinances,regulationsandproceduresandmustobtainanyandallnecessarypermitsfromtheTownpriortocommencinganyconstructionactivities.2.3DurationThetermofthisAgreementandallrights,privileges,obligationsandrestrictionspertainingtheretoshallcommenceupontheeffectivedatehereofandshallexpireonDecember10,2022unlesslawfullyterminatedsoonerashereinafterprovided.2.4EffectiveDate(A)ThisAgreementandtherights,privileges,andauthoritygrantedhereunderandthecontractualrelationshipestablishedherebyshalltakeeffectandbeinforcefromandaftertheeffectivedateofthisAgreementasspecifiedinthisSection.(B)TheeffectivedateofthisAgreementshallbethreebusinessdaysafterits9 00adoption.(C)ThegrantofthisAgreementshallhavenoeffectontheGrantee’sdutyunderthePermitoranyordinanceineffectpriortotheeffectivedateofthisAgreementtoindemni,orinsuretheGrantoragainstactsandomissionsoccurringduringtheperiodthatthepriorPermitwasineffect,norshallithaveanyaffectuponliabilitytopayallAgreementFees(foranyprioryears)thatweredueandowedunderapriorPermit.2.5AgreementNonexciusiveThisAgreementshallbenonexclusive,andsubjecttoallpriorrights,interests,easements,oragreementsgrantedbyGrantororitspredecessorstoanyPersontouseanyproperty,Right-of-Way,easement,right,interestforanypurposewhatsoever,includingtherightofGrantortousesameforanypurposeitdeemsfit,includingthesameorsimilarpurposesallowedGranteehereunder.GrantormayatanytimegrantauthorizationtousetheRights-of-WayforanypurposenotincompatiblewithGrantee’sauthorityunderthisAgreementandforsuchadditionalAgreementsforCableSystemsasGrantordeemsappropriatesubjecttoSection2.6below.2.6GrantofOtherAgreementsIntheeventGrantorentersintoanagreement,permit,,authorizationorotheragreementofanykindwithanyotherPersonorentityotherthantheGrantee,includingitself,toenterintotheGrantor’sstreetsorRights-of-WayforthepurposeofconstructingoroperatingawirelineSystemorprovidingwirelineCableServicetotheAgreementAreainwhichtheGranteeisprovidingCableServiceunderthetermsandconditionsofthisAgreementorisrequiredtoextendCableServiceundertheprovisionsofthisAgreementandifanothercableoperatoroffersCableServiceintheAgreementAreaservedbyGranteethenatGrantee’srequest,GrantorshallagreetoamendthisAgreement,onagoing-forwardbasisonly,forthelimitedpurposeofensuringthatthematerialtermsandconditionsherein(unlessprohibitedbyoperationoflaw.regulationorFCCOrder)shallbereasonablycomparableandshallbeneithermorefavorablenorlessburdensomethanthosegoverningtheothercableoperator,inorderthatonewirelinecableoperatornotbegrantedanunfaircompetitiveadvantageoveranother.2.7FamiliaritywithAgreementTheGranteeacknowledgesandwarrantsbyacceptanceoftherights,privilegesandagreementgrantedherein,thatithascarefullyreadandfullycomprehendsthetermsandconditionsofthisAgreementandiswillingtoanddoesacceptallreasonablerisksofthemeaningoftheprovisions,termsandconditionsherein.2.8EffectofAcceptanceByacceptingtheAgreement,theGrantee:(1)acknowledgesandacceptstheGrantor’slegalrighttoissueandenforcetheAgreement;(2)acceptsandagreestocomplywitheachandeveryprovisionofthisAgreementsubjecttoapplicablelaw;and(3)agreesthattheAgreementwasgrantedpursuanttoprocessesandproceduresconsistentwithapplicablelaw,andthatitwillnotraiseanyclaimtothecontrary.2.9PolicePowersGrantee’srightshereunderaresubjecttothelawfulpolicepowersofGrantortoadoptand10 00enforceordinancesnecessarytothesafety,healthandwelfareofthepublic,andGranteeagreestocomplywithallGenerallyApplicablelaws,ordinancesandregulationslawfullyenactedpursuanttothepolicepowersofGrantor,orhereafterenactedinaccordancetherewith,byGrantororanyotherlegallyconstitutedgovernmentalunithavinglawfuljurisdictionoverthesubjectmatterhereof.TheTownreservestherighttoexerciseitslawfulpolicepowers,notwithstandinganythinginthisAgreementtothecontrary.Granteereservestherighttochallengeprovisionsofanyordinance,rule,regulation,resolutionorotherenactmentoftheGrantorthatconflictswithitscontractualrightseithernoworinthefuture.SECTION3.AGREEMENTFEEANDFINANCIALCONTROLS3.1AgreementFeeAscompensationfortheuseofGrantor’sRights-of-Way,GranteeshallpayasanAgreementFeetoGrantor,throughoutthedurationofthisAgreement,anamountequaltofivepercent(5%)ofGrantee’sGrossRevenues.AccrualofsuchAgreementFeeshallcommenceasoftheeffectivedateofthisAgreement,butshallnotbepaidtotheTownuntilthenextrequiredfiling.3.2PaymentsGrantee’sAgreementFeepaymentstoGrantorshallbecomputedquarterlyfortheprecedingcalendarquarterendingMarch31,June30,September30,andDecember31.Eachquarterlypaymentshallbedueandpayablenolaterthanforty-five(45)daysaftersaiddates.3.3AcceptanceofPaymentNoacceptanceofanypaymentshallbeconstruedasanaccordbyGrantorthattheamountpaidis,infact,thecorrectamount,norshallanyacceptanceofpaymentsbeconstruedasareleaseofanyclaimGrantormayhaveforfurtheroradditionalsumspayableorfortheperformanceofanyotherobligationofGrantee.TheperiodoflimitationforrecoveryofAgreementFeespayablehereundershallbethree(3)yearsfromthedateonwhichpaymentbytheGranteewasdue.3.4QuarterlyAgreementFeeReportsEachpaymentshallbeaccompaniedbyawrittenreporttoGrantorverifiedbyanauthorizedrepresentativeofGrantee,containinganaccuratestatementinsummarizedform,aswellasindetail,ofGrantee’sGrossRevenuesandthecomputationofthepaymentamount.SuchreportsshalldetailallGrossRevenuesoftheSystemandshallbedraftedinaccordancewithGAAP.TheGranteeshallfileannuallywiththeTownanauditedfinancialreportincludinganincomestatementapplicabletoGrantee’stotalCableSystemoperationsforthepreceding12monthperiodandabalancesheet.ThisshallbesubmittedalongwithsuchotherreasonableinformationastheTownmayreasonablyrequestwithrespecttoGrantee’srevenuesandexpensesrelatedtoitsCableSystemoperationswithintheTown.3.5AuditsOnamaximumannualbasis,uponthirty(30)days’priorwrittennotice,GrantorshallhavetherighttoconductanindependentauditofGrantee’srecordsregardingGrossRevenuesreasonablyrelatedtotheenforcementofthisAgreementandtocalculateany11 00amountsdeterminedtobepayableunderthisAgreement.ProvidedGranteecooperatesinmakingallrelevantrecordsavailableuponreasonableadvancewrittenrequest,Grantorwillingoodfaithattempttocompleteeachauditwithinsix(6)months,andtheauditperiodshallnotbeanygreaterthanthepreviousthree(3)years.AnyadditionalamountsduetotheGrantorasaresultoftheauditshallbepaidwithinninety(90)daysfollowingwrittennoticetotheGranteebytheGrantor,whichnoticeshallincludeacopyoftheauditfindings,andGrantee’sagreementthattheauditfindingsarecorrect.IfanundisputedAgreementFeeunderpaymentisdiscoveredastheresultofanaudit,Granteeshallpay,inadditiontotheamountdue,interestattherateofoneandone-halfpercent(I‘A%)permonthcalculatedfromthedatetheunderpaymentwasoriginallydueuntilthedatetheTownreceivesthepayment.IftheauditshowsthatAgreementFeeshavebeenunderpaid,byfivepercent(5%)ormoreinacalendaryear,Granteeshallpaythereasonablecostoftheauditsuchcostfortheentireauditnottoexceed$2,500.3.6FinancialRecordsGranteeagreestomeetwitharepresentativeoftheGrantoruponrequesttoreviewGrantee’smethodologyofrecord-keeping,financialreporting,thecomputingofAgreementFeeobligationsandotherprocedures,theunderstandingofwhichtheGrantordeemsnecessaryforreviewingreportsandrecordsthatarerelevanttotheenforcementofthisAgreement.Thepartiesshallusebesteffortstoconductsuchmeetingstelephonically.3.7InterestonLatePaymentsIntheeventanypaymentisnotreceivedwithinfortyfive(45)daysfromtheendofthecalendarquarter,Granteeshallpay,inadditiontothepaymentorsumdue,interestontheamountdueattherateofoneandone-halfpercent(1½%)permonthonthedatethepaymentwasdue,calculatedfromthedatethepaymentwasoriginallydueuntilthedatetheTownreceivesthepayment.3.8AdditionalCommitmentsNotAgreementFeesNotennorconditioninthisAgreementshallinanywaymodi&oraffectGrantee’sobligationtopayAgreementFees.AlthoughthetotalsumofAgreementFeepaymentsandadditionalcommitmentssetforthelsewhereinthisAgreementmaytotalmorethanfivepercent(5%)ofGrantee’sGrossRevenuesinany12-monthperiod,GranteeagreesthattheadditionalcommitmentsregardingPEGfindingandAccessChannelsareexcludedfromthedefinitionofAgreementFeeshereinandarenotAgreementFees,noraretheytobeoffsetorcreditedagainstanyAgreementFeepaymentsduetoGrantor,nordotheyrepresentanincreaseinAgreementFeestobepassedthroughtoSubscriberspursuanttoanyfederallaw.AccessFeesarenottobeoffsetagainstandarenotAgreementFeessolongasandtotheextentthattheAccessFeesareusedforPEGAccessCapitalSupportorasotherwisepermittedunderSection9.7.TheGranteeagreesnottoassertorothenviseclaimatanytimebeforeanycourtofcompetentjurisdictionoranyadministrativeagencythat,asoftheeffectivedateofthisAgreement,thatsuchPEGfindingandAccessChannelsareAgreementFeesasdefinedunderfederalorStatelaworregulationssoastoformthebasisforoffsetorcreditagainstanyandorallAgreementFeepaymentspaidorduetotheTown.Furthermore,GrantorandGranteeagreethatanyutilitytax,businessandoccupationtax12 00orsimilartaxofGeneralApplicabilityshallbeinadditiontoanyAgreementFeesrequiredhereinandthereshallbenooffsetagainstAgreementFeesforanyutilitytax,businessandoccupationtaxorsimilartax,subjecttoapplicablelaw.3.9PaymentonTerminationIfthisAgreementterminatesforanyreason,theGranteeshallfilewiththeGrantorwithinonehundredtwenty(120)calendardaysofthedateofthetermination,afinancialstatement,certifiedbyanindependentcertifiedpublicaccountant,showingtheGrossRevenuesreceivedbytheGranteesincetheendofthepreviousfiscalyear.Withinfortyfive(45)daysofthefilingofthecertifiedstatementwiththeGrantor,Granteeshallpayanyunpaidamountsasindicated.IftheGranteefailstosatis&itsremainingfinancialobligationsasrequiredinthisAgreement,theGrantormaydosobyutilizingtheffindsavailableinaLetterofCreditorothersecurityprovidedbytheGrantee.3.10BundlingGrantoracknowledgesthat,duringthetermofthisAgreement,GranteemayoffertoitsSubscribers,atadiscountedrate,abundledorcombinedpackageofservicesconsistingofCableServices,whicharesubjecttotheAgreementFeereferencedaboveinsection3.1,andotherservicesthatarenotsubjecttothatAgreementFee.TotheextentdiscountsreducerevenuesincludableforpurposesofcalculatingAgreementFees,theGranteemaynotunfairlyorunlawfullyallocatediscountsforbundledservicesforthepurposeofevadingpaymentofAgreementFeestotheTown.Ifadisputearisesbetweenthepartiesregardingthismatter,GrantorandGranteewillmeetwithinten(10)daysnoticeanddiscusssuchmattersingoodfaithinanattempttoreachareasonablecompromisethereof.3.11TaxLiabilityTheAgreementFeesshallbeinadditiontoanyandalltaxesorotherleviesorassessmentswhicharenoworhereafterrequiredtobepaidbybusinessesingeneralbyanylawoftheTown,theStateortheUnitedStatesincluding,withoutlimitation,sales,use,utilityandothertaxes,businesslicensefeesorotherpayments.PaymentoftheAgreementFeesunderthisAgreementshallnotexemptGranteefromthepaymentofanyotherlicensefee,permitfee,taxorchargeonthebusiness,occupation,propertyorincomeofGranteethatmaybelawfullyimposedbytheTown.Anyotherlicensefees,taxesorchargesshallbeofGeneralApplicabilityinnatureandshallnotbeleviedagainstGranteesolelybecauseofitsstatusasaGranteeoragainstSubscriberssolelybecauseoftheirstatusassuch.SECTION4.ADMINISTRATIONANDREGULATIONGrantorshallbevestedwiththepowerandrighttoadministerandenforcetherequirementsofthisAgreementandtheregulationsandrequirementsofapplicablelaw,includingtheCableAct,ortodelegatethatpowerandrightofadministration,oranypanthereof,totheextentpermittedunderfederal,Stateandlocallaw,toanyagentinthesolediscretionoftheTownprovided,however,thatGranteeshallhavetherighttoappealtotheTownBoardanyadversedeterminationmadebyadelegateoftheTown.4.1NoRateDiscrimination13 00MiGranteeratesandchargesshallbepublished(intheformofapublicly-availableratecard),andshallbenon-discriminatoryastoallPersonsofsimilarclasses,undersimilarcircumstancesandconditions.Granteeshallapplyitsratesinaccordancewithgoverninglaw.Nothinghereinshallbeconstruedtoprohibit:(A)Thetemporaryreductionorwaivingofratesorchargesinconjunctionwithpromotionalcampaigns;(B)TheofferingofreasonablediscountsincludinginresponsetocompetitionwithintheAgreementAreatosimilarlysituatedPersons;(C)TheofferingofratediscountsforeitherCableServicegenerally;or(D)TheofferingofbulkdiscountsforMultipleDwellingUnits.4.2FilingofRatesandCharges(A)ThroughoutthetermofthisAgreement,Granteeshall,ifrequestedbyGrantorandifnototherwiseavailabletoGrantorviatheInternet,maintainonfilewithGrantoracompletescheduleofapplicableratesandchargesforCableServicesprovidedunderthisAgreement.NothinginthissubsectionshallbeconstruedtorequireGranteetofileratesandchargesundertemporaryreductionsorwaiversofratesandchargesinconjunctionwithpromotionalcampaigns.Asusedinthissubsection,norateorchargeshallbeconsideredtemporaryifSubscribershavetheabilityoveraperiodgreaterthantwelve(12)consecutivemonths(orsuchotherperiodasmaybeapprovedbyGrantor)topurchaseCableServicesatsuchrateorcharge.4.3PerformanceEvaluation(A)SpecialevaluationsessionsmaybeheldbyGrantorduringthetermofthisAgreementwithinthirty(30)daysoftheGrantor’swrittenrequesttoGrantee,butnomoreoflenthanonceeverytwoyears.(B)AllevaluationsessionsshallbeopentothepublicandannouncedatleastoneweekinadvanceinanewspaperofgeneralcirculationintheAgreementArea.(C)Topicsthatmaybediscussedatanyevaluationsessionmayinclude,butarenotlimitedto,CableServicerates;AgreementFees;liquidateddamages;freeordiscountedCableServices;applicationofnewtechnologies;Systemperformance;CableServicesprovided;programmingoffered;Customercomplaints;privacy;amendmentstothisAgreement;judicialandFCCrulings;lineextensionpolicies;andGrantor’sorGrantee’srules;providedthatnothinginthissubsectionshallbeconstruedasrequiringtherenegotiationofthisAgreementoranytermorprovisiontherein.4.4LeasedAccessChannelRatesGranteeshallofferLeasedAccessChannelcapacityonsuchtermsandconditionsandratesasmaybenegotiatedwitheachlesseesubjecttotherequirementsofSection612oftheCableAct.4.5LateFees14 C)0(A)Forpurposesofthissubsection,anyassessment,charge,cost,feeorsum,however,characterized,thattheGranteeimposesuponaSubscribersolelyforlatepaymentofabillisalatefeeandshallbeappliedinaccordancewithapplicablelocal,Stateandfederallaws.(B)TheGrantee’slatefeeanddisconnectionpoliciesandpracticesshallbenondiscriminatory,andsuchpoliciesandpractices,andanyfeesimposedpursuanttothissubsection,shallapplyequallyinallpartsoftheAgreementAreawithoutregardtotheneighborhoodorincomelevelofthesubscribers.(C)Nothinginthissubsectionshallbedeemedtocreate,limitorotherwiseaffecttheabilityoftheGranteetoimposeotherassessments,charges,feesorsumsfortheGrantee’sotherservicesoractivitiesitperformsincompliancewithapplicablelawincludingFCClaw,ruleorregulation.SECTIONS.FINANCIALANDINSURANCEREQUIREMENTS5.1Indemnification(A)GeneralIndemnification.Granteeshallindemnif’,defendandholdGrantor,itsofficers,officials,boards,commissions,authorizedagentsandemployees,andself-insurancepoolharmlessfromanyactionorclaimforinjury,damage,loss,liability,costorexpense,includingcourtandappealcostsandattorneys’feesandexpenses,arisingfromanycasualtyoraccidenttoPersonorproperty,including,withoutlimitation,copyrightinfringement,defamation,andallotherdamagesinanywayarisingoutof,orbyreasonof,anyconstruction,excavation,operation,maintenance,reconstruction,oranyotheractdoneunderthisAgreement,byorforGrantee,itsauthorizedagents,oritsemployees;providedhoweverGranteeshallnotbeobligatedtoindemni&ordefendanyclaimoractionarisingfromorrelatedtothenegligenceorwiliflulmisconductofindemnifiedpartiesorarisingfromorrelatedtotheoperationoruseoftheAccessChannelsbyGovernmentalorEducationalpersonnel.GranteeshallconsultandcooperatewiththeGrantorwhileconductingitsdefenseoftheGrantor.(B)IndemnificationforRelocation.Subjecttoapplicablelaw,Granteeshallindemni&Grantorforanydamages,claims,additionalcosisorexpensesassessedagainst,orpayableby,Grantorrelatedto,arisingsolelyoutof,orresultingsolelyfromGrantee’sfailuretoremove,adjustorrelocateanyofitsfacilitiesinthestreetsinatimelymannerinaccordancewithanyrelocationrequiredbyGrantortotheextentthatGranteeislawfullyrequiredtopayrelocationcosts.(C)Exceptions.Granteewillnotberequiredtoindemni&theindemnifiedpartiesoranythirdpartyforanyclaimsarisingoutoftheuseofAccessChannelsbytheGrantorand/oritsDesignatedAccessProvidersorusebytheGrantoroftheEmergencyAlertSystem.(D)AdditionalCircumstances.Granteeshallalsoindemni&,defendandholdGrantorharmlessforanyclaimforinjury,damage,loss,liability,costandexpense,includingcourtandappealcostsandattomeys’feesandexpensesinanywayarisingoutofanyfailurebyGranteetosecureconsentsfromtheowners,authorizeddistributorsorfranchisees/licensorsofprogramstobedeliveredbytheSystem.15 00(E)ProceduresandDefense.Ifaclaimoractionarises,GrantororanyotherindemnifiedpartyshallpromptlytenderthedefenseoftheclaimoractiontoGrantee,whichdefenseshallbeatGrantee’sexpense.Grantormayparticipateinthedefenseofaclaimatitsownexpenseand,inanyevent,GranteemaynotagreetoanysettlementofclaimsfinanciallyaffectingGrantorwithoutGrantor’swrittenapprovalthatshallnotbeunreasonablywithheld.(F)DutyofDefense.ThefactthatGranteecarriesoutanyactivitiesunderthisAgreementthroughindependentcontractorsshallnotconstituteanavoidanceofordefensetoGrantee’sdutyofdefenseandindemnificationunderthisSection.(G)DutytoGiveNotice.TheGrantorshallgivetheGranteetimelywrittennoticeofanyclaimorofthecommencementofanyaction,suitorotherproceedingcoveredbytheindemnityinthisSection.Intheeventanysuchclaimarises,theGrantororanyotherindemnifiedpartyshalltenderthedefensethereoftotheGrantee,andtheGranteeshallhavetheobligationanddutytodefendanyclaimsarisingthereunderandtheGrantorshallcooperatethilytherein.(H)SeparateRepresentation.Ifseparaterepresentationtofillyprotecttheinterestsofbothpartiesisnecessary,suchasaconflictofinterestbetweentheGrantorandthecounselselectedbyGranteetorepresenttheGrantor,Grantormayparticipateatitsownexpense.Granteeshallpayattorneys’feesandexpensesincurredbytheGrantorindefendingitselfwithregardtoanyaction,suitorproceedingindemnifiedbyGrantee.TheGrantor’sfeesandexpensesshallincludeallreasonableout-of-pocketexpenses,suchasoutsidecounselfees,andshallalsoincludethereasonablevalueofanyservicesrenderedbytheTownAttorneyorhis/herassistantsoranyemployeesoftheGrantororitsagentsbutshallnotincludeoutsideattorneys’feesorconsultantfeesforservicesthatareunnecessarilyduplicativeofservicesprovidedtheGrantorbyGrantee.(1)DuringtheperiodwhileGranteeownedtheSystem,thegrantofthisAgreementshallhavenoeffectontheGrantee’sdutyunderthePermittoindemnifyorinsuretheTownagainstactsandomissionsinvolvingthirdpartiesoccurringduringtheperiodthatthePermitwasineffect,norshallithaveanyeffectuponGrantee’sliabilitytopayallAgreementFeeswhichweredueandowedunderthePermit.(J)ColoradoGovernmentImmunity.ThepartiesherebyagreeandaffinrithatnothinginthisAgreementshallbedeemedawaiverofthedefensesandlimitationsoftheColoradoGovernmentalImmunityAct,Section24-10-101C.R.S.,etseq.oranyimmunities,limitationsordefensesotherwiseprovidedtotheTownunderfederalorstatelawandshallnotbedeemedtoconferanybenefitstoanyPersonorentitynotapartytothisAgreement.5.2InsuranceRequirements(A)GeneralRequirement.GranteeshallatitsownexpensepurchaseandmaintaintheminimuminsurancerequiredhereinwithcompaniesdulyfranchisedorlicensedtodobusinessintheStateofColorado.Saidinsuranceshallpossessacurrent16 00A.M.Best,Inc.ratingofA-VIorbetter.SaidinsuranceshallbemaintainedinhillforceandeffectuntilallworkrequiredtobeperformedunderthetermsofthisAgreementissatisfactorilycompleted.Granteesolelyshallberesponsiblefordeductiblesand/orself-insuredretention.(B)MinimumInsuranceLimits.GranteemustmaintainduringtheAgreementterminsuranceineffectinaccordancewiththeminimuminsurancelimitshereinsetforthbytheGrantor.TheGranteeshallprovideacertificateofinsuranceforthefollowingMinimuminsurancelimits:(1)CommercialGeneralLiability:OneMillionDollarswithTwoMillionDollars($2,000,000)aggregatelimitperoccurrenceforbodilyinjury,personalinjuryandpropertydamageandTwomilliondollars($2,000,000)productsandcompletedoperations;(2)AutomobileLiability:Onemilliondollars($1,000,000)combinedsinglelimitperaccidentforbodilyinjuryandpropertydamage;and(3)Employer’sLiability:Onehundredthousanddollars($100,000).(4)UmbrellaLiabilityInsuranceintheamountofThreeMillionDollars($3,000,000).(5)WorkersCompensationInsuranceinaccordancewithStatelawrequirements.(6)Granteeshallberesponsibleforjudgments,settlements,damages,costs,attorneys’feesandexpensesthatexceedlimitsofGrantee’sinsurancecoverage.Endorsements.(1)Allpoliciesshallcontain,orshallbeendorsedsothat:(a)TheGrantorshallbedesignatedasadditionalinsuredexceptundertheEmployer’sLiabilityandWorker’sCompensation.(2)TheinsuranceshallprovidethattheinsuranceshallnotbecancelledormateriallyalteredsoastobeoutofcompliancewiththerequirementsofthisSectionwithoutthirty(30)dayswrittennoticefirstbeinggiventoGrantor.5.3Security(A)Granteeshallprovide,subjecttotherequirementofSubsection5.3(B)belowaPerformanceBondintheamountoffivethousanddollars($5,000)toensurethefaithfrlperformanceofitsresponsibilitiesunderthisAgreementandapplicablelaw,17 00including,bywayofexampleandnotlimitation,itsobligationstorelocateandremoveitsfacilitiesandtorestoreTownRights-of-Wayandotherproperty.Granteemayberequiredtoobtainadditionalbonds,suchasgenerallyapplicableConstructionBonds,inaccordancewiththeTown’sordinarypractices.TheConstructionBondandPerformanceBondshallbeinaformreasonablyacceptabletotheTown’sRiskManager.Granteeshallpayallpremiumsorcostsassociatedwithmaintainingthebond(s),andshallkeepthesameinMIforceandeffectatalltimes.Exceptasexpresslyprovidedherein,theGranteeshallnotberequiredtoobtainormaintainotherbondsasaconditionofbeingawardedtheAgreementorcontinuingitsexistence.Granteemaysubstitutetheperformancebondwithaletterofcreditorsimilarinstrumentintheamountof$5,000.00.(B)IfthereisanuncuredbreachofamaterialprovisionofthisAgreementorpatternofrepeatedviolationsofanyprovision(s)ofthisAgreement,thentheTownmayrequestandGranteeshallestablishandprovide,withinthirty(30)daysfromreceivingnoticefromtheTown,totheTownassecurityforthefaithfulperformancebyGranteeofalloftheprovisionsofthisAgreement,aletterofcreditfromafinancialinstitutionsatisfactorytotheTownoraPerformanceBondintheamountoffivethousanddollars($5,000).(C)AfterthegivingofnoticebytheTowntoGrantee,andexpirationofanyapplicablecureperiod,theletterofcreditorperformancebondmaybedrawnuponbytheTownforpurposesthatinclude,butarenotlimitedtothefollowing:(1)FailureofGranteetopaytheTownsumsdueunderthetermsofthisAgreement;(2)ReimbursementofcostsbornebytheTowntocorrectAgreementviolationsnotcorrectedbyGrantee;and(3)MonetaryremediesordamagesassessedagainstGranteeasprovidedinthisAgreement.(0)TheTownshallgiveGranteewrittennoticeofanywithdrawalunderthissubsectionuponsuchwithdrawal.AnysuchwithdrawalmustbeafterandsubjecttothecureprovisionsprovidedinthisAgreement.Withinfifteen(15)daysfollowingreceiptofsuchnotice,GranteeshallrestoretheletterofcredittotheamountrequiredunderthisAgreement.Grantee’smaintenanceoftheletterofcreditorperformancebondshallnotbeconstruedtoexcuseunfaithfulperformancebyGranteeorlimittheliabilityofGranteetotheamountoftheletterofcreditorperformancebondorotherwiselimittheTown’srecoursetoanyotherremedyavailableatlaworinequity.(F)TheletterofcreditandbondsshallprovidethattheletterofcreditandbondsshallnotbecancelledormateriallyalteredsoastobeoutofcompliancewiththerequirementsofthisSectionwithoutthirty(30)dayswrittennoticefirstbeinggiventoGrantor.IftheletterofcreditandbondsarecancelledormateriallyalteredsoastobeoutofcompliancewiththerequirementsofthisSectionwithinorbeyondthetermofthisAgreement,Granteeshallprovideareplacementletterofcreditandbonds.Granteeagreestomaintaincontinuousuninterruptedletterofcreditandbondsintheamountsrequiredas18 00specifiedinthisAgreement.(F)GranteeshallhavetherighttoappealtotheTownBoardforreimbursementintheeventGranteebelievesthattheletterofcreditwasdrawnuponimproperly.AfteradeterminationbytheTownBoard,GranteeshallalsohavetherightofjudicialappealifGranteebelievestheletterofcredithasnotbeenproperlydrawnuponinaccordancewiththisAgreement.AnyfUndstheTownerroneouslyorwrongfUllywithdrawsfromtheletterofcreditshallbereturnedtoGranteewithinterest,fromthedateofwithdrawalatarateequaloneandone-halfpercent(I½%)permonth.SECTION6.CUSTOMERSERVICE6.1CustomerServiceStandardsGranteeshallcomplywithCustomerServiceStandardsasprovidedinFCCStandards47C.F.R.Sections76.309,76.1602,76.1603and76.1619,andastheymaybeamended.Additionally,GranteeshallprovideitsserviceunderNormalOperatingConditionsandcomplywithCustomerServiceStandardsastheyexistonthedateofadoptionofthisAgreement,andasarecurrentlycontainedinExhibitIattachedheretoandmadeaparthereof.GranteereservestherighttochallengeanyCustomerServiceStandardthatitbelievesisinconsistentwithitsrightsunderthisAgreement.6.2SubscriberPrivacyGranteeshallcomplywithprivacyrightsofSubscribersinaccordancewithapplicablefederalandStatelaws.6.3CustomerServiceLocation(s)ThroughouttheAgreementterm,theGranteemustmaintainalocalofficeintheTownwhereCustomersmaypaybills,pickupanddropoffequipmentandobtaininformationrelatedtoservicesandproductsandspeakwithaCustomerServiceRepresentative.TheofficeshallbeopenduringNormalBusinessHours,havingalistedtelephonenumberandbesooperatedthatcomplaintsandrequestsforrepair,service,oradjustmentsmaybereceivedatanytime.GranteeisencouragedbutnotrequiredtoprovideawebsitewherebySubscriberscanrequestservicecreditandserviceinformation.6.4CustomerServiceAgreementandManual(A)GranteeshallprovidetoSubscribersanaccurate,comprehensiveserviceagreement(currentlycalledtheworkorder)andCustomerinstallationpacket(currentlycalledtheInstallPacket)foruseinestablishingSubscriberserviceconsistentwithGrantee’sstandardoperatingpractices.(B)AcopyoftheinstallationpacketshallbeavailableattheCustomerservicelocationasprovidedinthisAgreementandshallbeprovidedtoeachSubscriberatthetimeofinitialinstallationorCableServiceupgraderequiringahomevisitbytheGrantee(excludingreconnectionstothesameSubscriberwithintwelve(12)months),andatanytimethepacketisrequestedbytheSubscriber.Withinthirty(30)daysfollowingmaterialpolicychanges,informationregardingthechangeswillbeprovidedtoSubscribers.SECTION7.REPORTSANDRECORDS19 007.1RecordsUponthirty(30)dayspriorwrittennotice,Grantorshallhaveaccessto,andtherighttoinspect,anybooksandrecordsofGranteeanditsAffiliatesthatarereasonablyrelatedtotheenforcementofthetermsofthisAgreement.SuchreviewshallbeattheGrantee’sbusinessofficeduringNormalBusinessHoursandonanondisruptivebasis.SuchnoticeshallspecificallyreferencethesectionoftheAgreementthatisunderreviewsothattheGranteemayorganizethenecessarybooksandrecordsforeasyaccessbytheGrantor.Granteeshallnotbeobligatedtomaintainanybooksorrecordsforaperiodlongerthanthree(3)years,andinthecaseofSubscribercomplaints,foraperiodofone(1)year,andGranteeshallnotdenyGrantoraccesstoanyofGrantee’srecordsonthebasisthatGrantee’srecordsareunderthecontrolofanyparentcorporation,AffiliatedEntityorathirdparty.Grantormay,inwriting,requestcopiesofanysuchrecordsorbooks,andGranteeshallprovidesuchcopieswithinthirty(30)daysofthereceiptofsuchrequest.OnecopyofallreportsandrecordsrequiredunderthisoranyotherSectionshallbefUrnishedtoGrantoratthesoleexpenseofGrantee.Iftherequestedbooksandrecordsaretoovoluminous,orforsecurityreasonscannotbecopiedorremoved,thenGranteemayrequest,inwritingwithinten(10)daysofreceiptofsuchrequest,thatGrantorinspectthematGrantee’slocaloffices.IfanybooksorrecordsofGranteearenotkeptinalocalofficeandnotmadeavailableincopiestoGrantoruponwrittenrequestassetforthabove,andifGrantordeterminesthatanexaminationofsuchrecordsisnecessaryfortheenforcementofthisAgreement,thenallreasonabletravelexpensesincurredinmakingsuchexaminationshallbepaidbyGrantee.7.2ConfidentialityNotwithstandinganythingtothecontrarysetforthinthisAgreement,theGranteeshallnotberequiredtodiscloseinformationwhichitreasonablydeemstobeproprietaryorconfidentialinnature.GranteeshallnotberequiredtoprovideCustomerinformationinviolationofSection631oftheCableActoranyotherapplicablefederalorstateprivacylaw.ForpurposesofthisSection,theterms“proprietaryorconfidential”include,butarenotlimitedto,informationrelatingtotheCableSystemdesign,customerlists,marketingplans,financialinformationunrelatedtothecalculationofAgreementFees,orratespursuanttoFCCrulesorotherinformationthatisreasonablydeterminedbytheGranteetobecompetitivelysensitive,GranteemaymakeproprietaryorconfidentialinformationavailableforinspectionbutnotcopyingorremovalbytheGrantor’srepresentative.7.3RecordsRequired(A)ConsistentwithSection7.1,Granteeshallatalltimesmaintain:(I)AfUllandcompletesetofplans,recordsand“route”mapsshowingthelocationofallSystemequipmentinstalledorinuseintheRights-of-Way,thataregeneratedinGrantee’snormalcourseofbusiness;(2)AcopyofallFCCfilingsonbehalfofGrantee,itsparentcorporationsorAffiliatesthatrelatetotheoperationoftheSystemintheAgreementAreaincludinganysuchfilingthatshowstheCableSystemorGranteenottobeincompliancewithFCCStandardsorrequirements;(3)AlistofGrantee’sCableServices,ratesandChannelline-ups;20 00(4)AcompilationofSubscribercomplaints,actionstakenandresolution,andalogofservicecalls.7.4CopiesofFederalandStateReportsUponreasonablewrittenrequest,GranteeshallsubmittoGrantorcopiesofanypleading,applications,notifications,communicationsanddocumentsofanykind,submittedbyGranteeoritsAffiliatestoanyfederal,Stateorlocalcourts,regulatoryagenciesandothergovernmentbodiesifsuchdocumentsdirectlyrelatetotheoperationsofGrantee’sSystemwithintheAgreementArea.GranteeshallsubmitsuchdocumentstoGrantornolaterthanthirty(30)daysafterreceiptofGrantor’srequest.Granteeshallnotclaimconfidential,privilegedorproprietaryrightstosuchdocumentsunlessunderfederal,State,orlocallawsuchdocumentshavebeendeterminedtobeconfidentialbyacourtofcompetentjurisdiction,orafederalorStateagency.Withrespecttoallotherreports,documentsandnotificationsprovidedtoanyfederal,StateorlocalregulatoryagencyasaroutinematterintheduecourseofoperatingGrantee’sSystemwithintheAgreementArea,GranteeshallmakesuchdocumentsavailabletoGrantoruponGrantor’swrittenrequest.7.5ComplaintFileandReportsConsistentwithSection7.1herein,GranteeshallkeepanaccurateandcomprehensivecompilationofanyandallescalatedwrittenCustomercomplaintsreceivedfromGrantorandGrantee’sactionsinresponsetothosecomplaints,inamannerconsistentwiththeprivacyrightsofSubscribers.Uponreasonablewrittenrequestofatleastthirty’(30)dayswrittennotice,thisfileshallbemadeavailabletotheGrantorduringNormalBusinessHours.Uponwrittenrequest,butnomoreoftenthanonceannually,GranteeshallprovideanexecutivesummaryreporttotheTownwithinthirty(30)daysofGrantor’swrittenrequestthatshallincludethenatureandtypeofescalatedCustomercomplaintsreferredinwritingbytheGrantortoGrantee.7.6InspectionofFacilitiesandAnnualMeetingGrantormayinspectanyofGrantee’sfacilitiesandequipmentlocatedintheRights-of-Wayoronotherpublicpropertyatanyreasonabletimeduringbusinesshoursuponatleastthree(3)daysnotice,or,incaseofemergency,upondemandwithoutpriornotice.7.7FalseStatementsAnyintentionalfalseormisleadingstatementorrepresentationinanyreportrequiredbythisAgreementshallbeamaterialbreachofthisAgreementandmaysubjectGranteetoallremedies,legalorequitable,thatareavailabletoGrantorunderthisAgreementorotherwise.SECTION8.PROGRAMMING8.1BroadProgrammingCategoriesGranteeshallprovideatleastthefollowinginitialbroadcategoriesofprogrammingtotheextentsuchcategoriesarereasonablyavailable.(A)Educationalprogramming;21 00(B)News,weatherandinformation;(C)Sports;(D)Generalentertainmentincludingmovies;(B)Children,familyoriented;(F)Arts,cultureandperformingarts;(G)Foreignlanguageprogramming;and(N)Science/documentary.8.2DeletionofBroadProgranuningCategoriesConsistentwithapplicablelaw,GranteeshallnotdeleteorsolimitastoeffectivelydeleteanybroadcategoryofprogrammingwithinitscontrolwithoutpriorwrittennoticetotheTown.8.3ObscenityGranteeshallcomplywithapplicablelawsrelatedtoobscenity.8.4ServicesfortheDisabledGranteeshallcomplywiththeAmericansWithDisabilitiesActandanyamendmentsorsuccessorlegislationthereto.8.5ParentalControlDeviceUponrequestbyanySubscriber,Granteeshallmakeavailableatitsregularandnondiscriminatorychargeaparentalcontrolorlockoutdevice,trapsorfilterstoenableaSubscribertoprohibitviewingofaparticularcableserviceduringperiodsselectedbytheSubscriber.GranteeshallinformitsSubscribersoftheavailabilityofthelockoutdeviceatthetimeoftheirinitialsubscriptionandperiodicallythereafter.8.6ComplementaryCableServiceTheGrantee,uponrequest,shallprovidewithoutcharge,aStandardInstallationandoneoutletofBasicServiceandExpandedBasicServicetothoseTownbuildingsnowexistingorhereafterconstructedwithintheAgreementAreaprovidedthatthebuildingsareeitherownedandoccupiedorleasedandoccupiedbytheGrantor,foranyofitsservicesorprograms,firestation(s),policeandsheriffstation(s),librariesandSchool(s)andincludingbutnotlimitedto,TownHall,FireDepartment,LibraryDistrict,LocalMarketingDistrict(AdministrativeOffice),SeniorCenter,StanleyPark(AdministrativeBuilding),Light&PowerShop,FleetBuildingandWaterShop,VisitorCenter,TownMuseumandMultiplePurposeEventsCenterandprovidedfurtherthattheyarealreadyservedorpassedbytheGrantee’sCableSystemandarewithin125aerialfeetorsixty(60)undergroundfeet(providedthatthisdoesnotrequireextensiveboringortheuseofcostlyconstructionequipment)(aStandardInstallation)ofitsCableSystem,excludingthosebuildingsorportionsofbuildingsthathouseoroccupyprison/jailpopulations.GranteeshallmaintaincomplementaryBasicandExpandedBasicCableServicetooneoutletforeachconferenceroomthatis22 00currentlyservedandthoseoutletscurrentlyprovidedinTownbuildings.TheCableServicedescribedhereinisavoluntaryinitiativeofGrantee,andshallbeprovidedthroughoutthetermofthisAgreementsolongasthebuildingsmeettheaboverequirementsandunlessoruntilGrantorrequeststhatservicebediscontinued.TheCableServiceprovidedshallnotbedistributedbeyondtheoriginallyinstalledoutletwithoutauthorizationfromGrantee.SuchinstallationshallnotinterferewiththeoperationofGrantee’sCableSystem.InthecaseofleasedfacilitiesleasedbytheTownforadministrativefunctions,therecipientofserviceisresponsibleforsecuringapprovalforappropriaterightofentrysuitabletotheGranteeinitsreasonablediscretion.TheCableServiceprovidedshallonlybeusedforlawfulpurposes,shallnotbeusedforcommercialpurposesortoentertainpublicorprivategroupsandshallnotbelocatedinpublicwaitingareas.TheintentoftheprecedingprovisionistoensureaccesstoCableServicesforthebenefitoftheGrantorandeducationalinstitutions.TheGrantorshalltakereasonableprecautionstopreventanyuseoftheGrantee’sCableSysteminanymannerthatresultsintheinappropriateusethereoforanylossordamagetotheCableSystem.TotheextentnotinconsistentwithotherprovisionsinthisAgreement,theGrantorshallholdtheGranteeharmlessfromanyandallliabilityorclaimsarisingoutoftheuseofCableServiceatTownfacilitiesandeducationalfacilitiesrequiredbythisSection.Fornewhookups,theGranteeshallnotberequiredtoprovideanoutlettosuchbuildingswhereanon-StandardInstallationisrequired,unlesstheGrantororbuildingowner/occupantagreestopaytheincrementalcostofanynecessaryCableSystemextensionandnonStandardInstallation.IfadditionaloutletsofCableServiceareprovidedtosuchbuildingsbeyondthoserequiredherein,thebuildingowner/occupantshallpaytheusualinstallationandservicefeesassociatedtherewith.Grantorshallnoti&GranteeiftheTownceasestooccupyanyfacilityorbuildingwherecomplimentaryCableServiceisprovided.SECTION9.EDUCATIONALANDGOVERNMENTALACCESS9.1AccessChannelsGranteeshallcontinueatalltimesduringthetermofthisAgreementtomakeavailable,aspartoftheBasicServicepackage,atnoadditionalcharge,oneChannelforAccessChannelProgrammingtobecarriedontheCableSystemandsharedwithLarimerCounty.PermittednoncommercialusesoftheAccessChannelmayinclude:(i)theidentificationoffinancialsupporterssimilartowhatisprovidedonpublicbroadcastingstations;or(ii)thesolicitationoffinancialsupportfortheprovisionofAccessProgrammingforcharitable,educationalorgovernmentalaccesspurposes;or(iii)programmingofferedbyaccredited,non-profit,educationalinstitutionswhichmayoffertelecoursesoveranaccesschannel;or(iv)otherpermittednoncommercialusesallowedbyfederalorStatelaw.Additionally,Granteeshallmalceavailableatnochargeone(1)additionalChanneltobetriggeredforPEGprogramminginaccordancewithSection9.2herein.IntheeventGranteemakesanychangeintheSystemandrelatedequipmentandfacilitiesorinsignaldeliverytechnology,whichchangedirectlyorindirectlyaffectsthesignalqualityortransmissionofanyAccessChannelprogrammingorservices,theGranteeshall,atitsownexpense,takenecessarytechnicalsteps,acquirenewequipment,andinaddition,providethenecessaryassistanceandforegoingequipmentsothattheAccess23 00facilitiesandequipmentmaybeusedasintendedtoensurethatdeliveryofAccessVideoProgrammingsignalsisnotdiminishedoradverselyaffected,including,amongotherthings,sothatliveandtapedprogrammingcanbecablecastwithasgoodorbettersignalqualitythanexistedpriortosuchchange.Forexample,theseprovisionsshallapplyifBasicServiceontheCableSystemisconvertedfromananalogtoadigitalformat,sothatAccessChannelssuppliedtoGranteeinanalogformatmaybecontinuedtobereceivedbySubscribers.9.2TriggersforAdditionalAccessChannelsPursuanttoSection9.1(AccessChannels),theTownmayrequireGranteetomakeavailableone(I)additionalactivatedDownstreamChannelwhentheAccessChannelrequiredbySection9.1isusedforLocallyScheduledOriginalProgramming(excludingcharactergeneratedandfillerprogramming,e.g.NASA,AMJFMRadioProgramming)duringfiftypercent(50%)ofthehoursbetween10:00A.M.and10:00P.M.,MondaythroughFridayduringanyconsecutiveeight(8)weekperiod,Granteeshallmakeavailable,uponwrittenrequestwithinsix(6)monthsoneadditionalAccessChannelforAccessProgrammingpurposes.Therefore,anaverageofsix(6)hoursofLocallyScheduledOriginalProgrammingperdayonafivedayperweekbasisforaneight(8)consecutiveweekperiodisrequiredtotriggeruseofanadditionalAccessChannel.TheprogrammingofanadditionalAccessChannelrequiredhereinmustcontaindistinctandnon-repetitiveprogrammingoftheotherAccessChannel.93ManagementandControlofAccessChannels(A)GrantormayauthorizeDesignatedAccessProviderstocontrol,operate,andmanagetheuseofanyandallAccessfacilitiesincluding,withoutlimitation,theprogrammingofAccessChannels.TheGrantororitsdesigneemayformulaterulesfortheoperationoftheAccessChannels,consistentwiththisAgreement.NothinghereinshallprohibittheGrantorfromauthorizingitselftobeaDesignatedAccessProviderorfromassigningseveralDesignatedAccessProviderswithsimilartypesofGovernmentalorEducationalprogrammingtoshareAccessChannelspaceconsistentwithlocal,StateandFederallaw.9.4UnderutilizedAccessChannelsGranteeandtheGrantoragreethatitistheirmutualgoaltofullyandefficientlyusetheChannelcapacityoftheCableSystem,whichmayincludeallowingtheGranteetouseunderutilizedtimeonAccessChannels.IfGranteebelievesthatanyAccessChannelhasunderutilizedtime,GranteemayfilearequestwiththeGrantortousethattime.TheGrantorshallrenderadecisionregardingthematterwithinsixty(60)daysofreceivingtherequest.ShouldtheGrantorfindthattheAccessChannelorportionoftheAccessChannelmaybeusedbytheGrantee,thenGranteemaybeginusingsuchtimeninety(90)daysafterreceiptofthedecision.IfGrantorwantsthetimebackontheChannelandhasaplantouseit,Granteeshall,withinsixty(60)days’noticeofreceivingtherequest,returnthetimebacktoGrantor.9.5AccessChannelIdentification/Location/RelocationGranteewillusecommerciallyreasonableeffortstominimizethemovementofAccessChannelassignments.GranteeshallprovidetotheGrantoraminimumofsixty(60)daysnotice,andusecommerciallyreasonableeffortstoprovideninety(90)daysnotice,prior24 CCtoanyrelocationofitsAccessChannels,unlessthechangeisrequiredbyfederallaw,inwhichcaseGranteeshallgivetheGrantorthemaximumnoticepossible.IfthechangeisnotrequiredbyFederalLaw,Granteeshallplacenoticeofthechangeonitsregularmonthlyschedule.IfaPEGChannelisgoingtoberelocatedormoved,itmustbelocatedorrelocatedwithinthesamechannelgroupingasbroadcastchannels.Inaddition,GranteeshallprovideGrantorwithatotalnottoexceedonehundred(100)thirtysecond(:30)promotionalspots(“Spots”)ontheSystemservingtheAgreementAreaduringathirty(30)dayperiodpriortothedateofthechangeinthelocationoftheAccessChannels.ThenumberofSpotstobeprovidedunderthisSectionshallbeproratedwithrespecttoanypartialperiodlessthanthirty(30)days.GrantororitsdesigneeshallhavesoleresponsibilitytoproduceanddelivertheSpotstoGranteeonatimelybasisandinacablecast-readystate.SuchSpotsshallpromotetheAccessChannelsandtheChannelrelocationsonlyforthesolepurposeofnotiiñngSubscribersofthechangeinChanneldesignations,andshallnotincludeanymentionofthirdpartyorothersponsors.PlacementoftheSpotsshallbemadebytheGranteeonamn-ofschedulebasis.AllSpotsaresubjecttoGrantee’sapproval;suchapprovalnottobeunreasonablywithheldordelayed.AnynewChanneldesignationsfortheAccessChannelsprovidedpursuanttothisAgreementshallbeinftllcompliancewithFCCsignalqualityandproof-of-performancestandards.9.6AccessInterconnections(A)TheAccessChannelsrequiredbythisAgreementshallbeInterconnectedwiththeAccessChannelsofgeographicallyadjacentCableSystemsthatareownedandoperatedbyGranteeoranAffiliateofGranteebutnotwiththenonadjacentcablesystemsofGrantee.GranteeshalltakeallnecessarytechnicalstepstoensurethatdownstreamtransmissionsprovideanadequatesignalqualityinaccordancewithFCCregulations.(B)NothinginthissectionaltersGrantee’sChannelobligationsforAccessprogrammingdeliveredtoSubscriberswithintheAgreementArea.UnlesstheGrantordirectsotherwise,oranaffectedjurisdictionobjects,anyInterconnectionshallallowAccessChannelstooperatewithoutdisruptionordelayacrossandwithintheAgreementAreaboundaries,(C)ItisnottheGrantee’sresponsibilitytoensurethatthesignalsprovidedtotheInterconnectionbyunaffiliatedInterconnectingSystemmeetindustrystandards.(D)IfanyequipmentandconstructioncostsarebornebyGranteeinconnectionwiththeobligationtoprovideforAccessChannelInterconnectiontheproratashareofsameshallbeconsideredacapitalcost.Grantoragreesthatsuchcostisan“externalcost”assuchtermisusedin47C.F.R.Section76.922(f)onthedateofthisAgreement,andassuch,thecostispermittedunderfederallawandregulationtobepassedthroughtoSubscribers,totheextentandinamannerprovidedforinfederalregulationsgoverningthesame.9.7SupportforCoverageofGovernmentalandEducationalProgranuningGrantorandGranteeacknowledgethatinordertocoverlocalGovernmentaland25 00EducationalProgrammingwhichwillbeshownontheAccessChanneloneitheraliveortapedreplaybasis,Grantorshalluseitsownpersonnelorcontractwiththirdpartiestoprovidetheoperationalsupporttobroadcastsuchprogramming.Therefore,throughoutthetermofthisAgreement,duringyears1through5,GranteeshallreimburseGrantorattherateof$25.00/hour,foruptofivehourspermonth,forthecoverageofTownBoardMeetings,PlanningCommissionMeetings,EducationalorsimilarsuchMeetings.Duringyears6through10ofthisAgreement,GranteeshallreimburseGrantorattherateof$30.00dollarsperhourforupto5hourspermonthforsuchcoverage.PaymentshallberemittedbyGranteetoGrantorwithinthirty(30)daysofreceiptofinvoicesbyGrantee.9.8AccessChannelsOnLowestTierAllAccessChannelsprovidedtoSubscribersunderthisAgreementshallbeincludedbyGrantee,withoutlimitation,onthelowestTierofCableServiceofferedbyGranteeonitsSystem.9.9TechnicalQualityTheGranteeshallmaintainallAccesschannelsandInterconnectionsasrequiredbyFCCstandardsandconsistentwiththequalityandlevelwithGrantee’sotherBasicServiceChannelstotheextentitiswithinthecontroloftheGrantee.TheGranteeshallprovideroutinemaintenanceandshallrepairandreplace,ifnecessary,anyofGrantee’sequipmentrequiredtocarryaqualitysignalfromtheAccessfacilitiesprovidedunderthisAgreementtoSubscribers.9.10ReturnLines(A)Granteeshallcontinuetomaintainafiber-opticreturnlinefromtheTowntoGrantee’sHubsothattherecanbedeliveryofAccessprogrammingtoSubscribers.Allotherreturnlineconstructioncosts(otherthanmaintainingthereturnlinewhichiscurrentlyinplace)shallbepaidbytheGrantoratacostmutuallyagreedtobetweentheGrantorandGranteeandshallbecompletedwithinsix(6)monthsofrequest.Granteemayrequirethatareasonabledepositoftheestimatedprojectcostbepaidinadvance.(B)AftersatisfactorycompletionofworkrequestedbytheGrantorforwhichtheGrantoristoreimbursetheGranteeanduponsubmissionbyGrantee,insuchformasmayberequestedbytheGrantor,ofaproperinvoiceforpaymentofthecostreasonablyincurredandaccompaniedbysuchevidenceinsupportthereofasmaybereasonablyrequiredbytheGrantor,theGrantoragreestomakepaymentforthecostreasonablyincurreduptotheestimatedcostforthework;provided,however,thatallpaymentsshallbesubjecttoadjustmentforanyamountfounduponauditorotherwisetohavebeenimproperlyinvoiced.Allworkshallbeperformedinacost-effectivemannertominimizethecoststotheGrantor.SECTION10.GENERALRIGHT-OF-WAYUSEANDCONSTRUCTION10.1Construction(A)SubjecttoGenerallyApplicablelaws,regulationsandordinancesofGrantorandtheprovisionsofthisAgreement,Granteeshallperformallmaintenance,construction,repair,upgradeandreconstructionnecessaryintheRights-of-WayfortheoperationofitsSystem.AllconstructionandmaintenanceofanyandallofGrantee’s26 00facilitieswithinRights-of-Wayshall,regardlessofwhoperformstheconstruction,beandremainGrantee’sresponsibility.Granteeshallapplyfor,andobtain,allpermitsnecessaryforconstructionorinstallationofanyfacilitiesandforexcavatingandlayinganyfacilitieswithintheRights-of-Way.GranteeshallpayallGenerallyApplicablefeesuponissuanceoftherequisiteconstructionpermitsbyGrantortoGrantee.(B)Priortobeginninganyconstruction,GranteeshallprovideGrantorwithplansandaconstructionscheduleforworkintheRights-of-WaysasrequiredbyGrantor’spermittingregulations.(C)GranteemaymakeexcavationsinRights-of-WayforanyfacilityneededforthemaintenanceorextensionofGrantee’sSystem.Priortodoingsuchwork,Granteeshallapplyfor,andobtain,appropriatepermitsfromGrantor,andgiveappropriatenoticestoGrantor.Asaconditionofanypermitssoissued,GrantormayimposesuchGenerallyApplicablereasonableconditionsandregulationsasarenecessaryforthepurposeofprotectinganystmcmresinsuchRights-of-Way,properrestorationofsuchRights-of-Wayandstructures,protectionofthepublicandthecontinuityofpedestrianorvehiculartraffic.Wheneveritispossibleandreasonablypracticabletojointtrenchorshareboresorcuts,Granteeshallworkwithotherproviders,andpermitteessoastoreducesofaraspossiblethenumberofRights-of-WaycutswithintheAgreementArea.(U)Intheeventthatemergencyrepairsarenecessary,Granteeshallimmediatelynotify’Grantoroftheneedforsuchrepairsaftersuchrepairsareundertaken.Granteemayinitiatesuchemergencyrepairs,andshallapplyforappropriatepermitswithinforty-eight(48)hoursafterdiscovery’oftheemergency.10.2LocationofFacilitiesWithinthree(3)businessdays,unlessotherwisespecifiedinfederal,Stateorlocalregulations,aftertheGrantororanyprovider,orpermitteeoftheGrantornotifiesGranteeofaproposedRight-of-Wayexcavation,Granteeshall,atGrantee’sexpense:(A)Markonthesurfaceallofitslocatedundergroundfacilitieswithintheareaoftheproposedexcavation;(B)Notify’theexcavatorofanyunlocatedundergroundfacilitiesintheareaoftheproposedexcavation;or(C)Notify’theexcavatorthatGranteedoesnothaveanyundergroundfacilitiesinthevicinityoftheproposedexcavation.103RestorationofRights-of-Way(A)WheneverGranteedisturbsthesurfaceofanyRights-of-Wayforanypurpose,GranteeshallpromptlyrestoretheRights-of-WaytoaconditionreasonablycomparabletotheconditionoftheRights-of-Wayimmediatelypriortosuchdisturbancenormalwearandtearexcepted.WhenanyopeningismadebyGranteeinahardsurfacepavementinanyRights-of-Way,Granteeshallpromptlyrefilltheopeningandrestorethesurfaceasrequiredbyitsconstructionpermit.27 00(B)IfGranteeexcavatesthesurfaceofanyRights-of-Way,GranteeshallberesponsibleforrestorationinaccordancewithapplicableregulationsregardingtheRights-of-Wayanditssurfacewithintheareaaffectedbytheexcavation.Grantormay,afterprovidingreasonablenoticetoGranteeandgivingGranteesufficientopportunitytofixthesurfaceitself,refillorrepaveanyopeningmadebyGranteeintheRights-of-Way,andthereasonableexpensethereofshallbepaidbyGrantee.Grantormay,afterprovidingreasonablenoticetoGrantee,andgivingGranteesufficientopportunitytofixthework,removeandrepairanyworkdonebyGranteethat,inthedeterminationofGrantor,doesnotconformtoapplicablecode.Thereasonablecostthereof,includingthecostsofinspectionandsupervisionshallbepaidbyGrantee.MIexcavationsmadebyGranteeinRights-of-Wayshallbeproperlysafeguardedforthepreventionofaccidents.MIofGrantee’sworkunderthisAgreement,andthisSectioninparticular,shallbedoneincompliancewithallrules,regulationsandordinancesofGrantor.10.4MaintenanceandWorkmanship(A)Grantee’sSystemshallbeconstructedandmaintainedinsuchmannerasnottointerferewithsewers,SewerDistricts,waterpipesoranyotherpropertyofGrantor,orwithanyotherpipes,wires,conduits,pedestals,structuresorotherfacilitiesthatmayhavebeenlaidinRights-of-Wayby,orunder,Grantor’sauthority.(B)GranteeshallprovideanduseanyequipmentandappliancesnecessarytocontrolandcarryGrantee’ssignalssoastopreventdamagetoGrantor’spropertyorpropertybelongingtoanyPerson.Grantee,atitsownexpense,shallrepair,renew,changeandimproveitsfacilitiestokeepthemingoodrepairandsafeandpresentablecondition.(C)TheGrantee’stransmissionanddistributionSystem,wiresandappurtenancesshallbelocated,erectedandmaintainedsoasnottoendangerorinterferewiththelivesofPersons,ortounnecessarilyhinderorobstructthefreeuseofRights-of-Way,alleys,bridgesorotherpublicproperty.(D)GranteewillmaintainmembershipingoodstandingwiththeUtilityNotificationCenterofColorado,orothersimilarorsuccessororganizationdesignatedtocoordinateundergroundequipmentlocationsandinstallations.GranteeshallabidebyColoradoState’s“UndergroundUtilities”statutesandwillfiwthercomplywithandadheretolocalprocedures,customsandpracticesrelatingtotheonecalllocatorserviceprogram.(E)GranteeshallgivereasonablenoticetoprivatepropertyownersofconstructionworkinadjacentRights-of-Way.10.5AcquisitionofFacilitiesUponGrantee’sacquisitionoffacilitiesinanyRights-of-Way,orupontheadditionorannexationtotheTownofanyareainwhichGranteeownsoroperatesanyfacility,Granteeshall,atGrantor’swrittenrequest,submittoGrantorastatementdescribingallfacilitiesinvolved,whetherauthorizedbyagreement,permit,orotherpriorright,andspecifyingthelocationofallsuchfacilitiestotheextentGranteehaspossessionofsuchinformation.SuchfacilitiesshallimmediatelybesubjecttothetermsofthisAgreement28 CCtotheextentthatsuchfacilitiesareconsistentwiththetermsofthisAgreementorcanbemadeconsistentwithinareasonabletime.10.6ReservationofRights-of-WayNothinginthisAgreementshallpreventGrantororpublicutilitiesfromconstructinganypublicworkorimprovement.Allsuchworkshallbedoneinsofaraspracticablesoasnottoobstruct,injure,orpreventtheuseandoperationofGrantee’sCableSystem(A)MovementofSystemForandByGrantor.TheGrantorshallhavetherighttorequireGranteetorelocate,remove,replace,modi1’ordisconnectGrantee’sfacilitiesandequipmentlocatedintheRights-of-WayoronotherpropertyoftheGrantorintheeventofanemergencyorwhennecessarytoprotectorfUrtherthehealth,safetyorwelfareofthegeneralpublicandsuchworkshallbeperformedatGrantee’sexpenseconsistentwithapplicablelaw.Exceptduringanemergency,GrantorshallprovidereasonablenoticetoGrantee,nottobelessthanfifteen(15)businessdaysandallowGranteetheopportunitytoperformsuchwork.FollowingnoticebytheGrantor,Granteeshallremove,replace,relocate,modi&ordisconnectanyofitsfacilitiesorequipmentwithinanyRight-of-Way,oronanyotherpropertyoftheGrantor,exceptthattheGrantorshallprovideatleastninety(90)days’writtennoticeofanymajorcapitalimprovementprojectthatwouldrequiretheremoval,relocation,replacement,modificationordisconnectionofGrantee’sfacilitiesorequipment.IftheGranteefailstocompletethisworkwithinthetimeprescribedandtotheGrantor’sreasonablesatisfaction,theGrantormaycausesuchworktobedoneandbillthecostoftheworktotheGrantee.GranteeshaltremitpaymenttoGrantorwithinthirty(30)daysofreceiptofanitemizedlistofthosecosts.IftheTownrequiresGranteetorelocateitsfacilitieslocatedwithintheRights-of-Way,theTownshallmakeareasonableefforttoprovideGranteewithanalternatelocationintheRights-of-Way.IffUndsaregenerallymadeavailabletousersoftheRights-of-Wayforsuchrelocation,GranteeshallbeentitledtoseekitsproratashareofsuchfUnds.(B)MovementforOtherPennittees.AttherequestofanyPersonholdingavalidpermitanduponreasonableadvancenotice,Granteeshalltemporarilyraise,lowerorremoveitswiresasnecessarytopermitthemovingofabuilding,vehicle,equipmentorotheritem.Thecostofsuchtemporarychangemustbepaidbythepennitholder,andGranteemayrequiretheestimatedpaymentinadvance.10.7Rights-of-WayVacationIfanyRights-of-WayorportionthereofusedbyGranteeisvacatedbyGrantorduringthetermofthisAgreement,unlessGrantorspecificallyreservestoGranteetherighttocontinuetheuseofvacatedRights-of-Way,Granteeshall,withoutdelayorexpensetoGrantor,removeitsfacilitiesfromsuchRights-of-Way,andrestore,repairorreconstructtheRights-of-Waywheresuchremovalhasoccurred.GrantorshallmakeareasonableefforttoprovideGranteewithanalternatelocationwithintheRights-of-Way.Intheeventoffailure,neglectorrefUsalofGrantee,afterthirty(30)days’writtennoticeby29 00Grantor,torestore,repairorreconstructsuchRights-of-Way,Grantormaydosuchworkorcauseittobedone,andthereasonablecostthereofshallbepaidbyGranteewithinthirty(30)daysofreceiptofaninvoiceanddocumentation.IfifindsareavailabletoanyPersonusingtheRights-of-Wayforthepurposeofdeferringthecostofanyoftheforegoing,theGrantorshallreimbursetheGranteeinthesamemannerinwhichotherPersonsaffectedbytherequirementarereimbursed.10.8RemovalofDiscontinuedFacilitiesWheneverGranteeintendstodiscontinueusinganyfacilitywithintheRights-of-Way,GranteeshallsubmitforGrantoracompletedescriptionofthefacilityandthedateonwhichGranteeintendstodiscontinueusingthefacility.GranteemayremovethefacilityorrequestthatGrantorallowittoremaininplace.NotwithstandingGrantee’srequestthatanysuchfacilityremaininplace,GrantormayrequireGranteetoremovethefacilityfromtheRightsofWayormodifythefacilitytoprotectthepublichealth,welfare,safetyandconvenience,orotherwiseservethepublicinterest.GrantormayrequireGranteetoperformacombinationofmodificationandremovalofthefacility.GranteeshallcompletesuchremovalormodificationinaccordancewithaschedulereasonablysetbyGrantor.UntilsuchtimeasGranteeremovesormodifiesthefacilityasreasonablydirectedbyGrantor,oruntiltherightstoandresponsibilityforthefacilityareacceptedbyanotherPersonhavingauthoritytoconstructandmaintainsuchfacility,Granteeshallberesponsibleforallnecessaryrepairsandrelocationsofthefacility,aswellasmaintenanceoftheRights-of-Way,andshallretainallliabilityforsuchfacilitiesinthesamemanneranddegreeasifthefacilitywereinactiveuse.IfGranteeabandonsitsfacilities,Grantormaychoosetousesuchfacilitiesforanypurposewhatsoeverincluding,butnotlimitedto,AccessChannelpurposes.IfGrantorchoosestoutilizeanysuchabandonedfacilities,Grantee’sliabilityforthosefacilitiesshallcease.10.9HazardousSubstances(A)GranteeshallcomplywithallapplicableStateandfederallaws,statutes,regulationsandordersconcerninghazardoussubstanceswithintheRights-of-Way.(B)GrantormayinspectGrantee’sfacilitiesinRights-of-Waytodetermineifanyreleaseofhazardoussubstanceshasoccurred,ormayoccur,fromorrelatedtoGrantee’sSystem.InremovingormodifyingGrantee’sfacilitiesasprovidedinthisAgreement,Granteeshallalsoremoveallresidueofhazardoussubstancesrelatedthereto.10.10UndergroundingofCable(A)Wiring.(I)WhereelectricandtelephoneutilitywiringareinstalledundergroundatthetimeofSystemconstructionandwhenallsuchwiringissubsequentlyplacedunderground,allSystemlines,wiringandequipmentshallalsobeplacedundergroundbyGranteewithotherwirelineserviceconcurrentlyunlessitisnotfeasibletoundergroundduetorockysoil(whichshallbeintheTown’sreasonabledetermination)orwithinareasonabletimethereafteratnoexpensetotheGrantorunlessotherwiseallowedbyapplicablelawand/orfundingisgenerallyavailableforsuchrelocationtoallusersoftheRights-of-Way.Related30 0Systemequipment,suchaspedestals,powersuppliesandotherground-mountedappurtenancesmustbeplacedinaccordancewithapplicableTownCoderequirementsandrules.Inareaswhereeitherelectricortelephoneutilitywiringareaerial,theGranteemayinstallaerialcable,exceptwhenapropertyownerorresidentrequestsundergroundinstallationandagreestobeartheadditionalcostinexcessofaerialinstallation.NothingcontainedinthissubsectionshallrequireGranteetoconstruct,operateandmaintainundergroundanyground-mountedappurtenancesincluding,butnotlimitedtopedestals,powersupplies,etc.(2)TheGranteeshallutilizeexistingpolesandconduitwherevercommerciallyreasonable.(3)ThisAgreementdoesnotgrant,giveorconveytotheGranteetherightorprivilegetoinstallitsfacilitiesinanymanneronspecificutilitypolesorequipmentoftheGrantororanyotherPerson.Terms,compensationforanduseofTownPolesshallbegovernedbyaseparatePoleAttachmentAgreementbetweentheTownandGrantee.(4)TheGranteeandtheGrantorrecognizethatsituationsmayoccurinthefuturewheretheGrantormaydesiretoplaceitsowncableorconduitforFiberOpticcableintrenchesorboresopenedbytheGranteeforpurposeswhicharenotincompetitionwithGrantee.Inaddition,theGranteeagreestocooperatewiththeGrantorinanyotherconstructionbytheGranteethatinvolvestrenchingorboringprovidedthatGrantor’suseisforNoncommercialpurposesandGrantorhasfirstprovidedreasonablenoticetoGranteethatitisinterestedinsharingthetrenchesorboresintheareawhereGrantee’sconstructionisoccurring.Ifsufficientspaceisreasonablyavailable,theGranteeshallallowtheGrantortolayitscable,conduitandFiberOpticcableintheGrantee’strenchesandbores,providedtheGrantorsharesinthecostofthetrenchingandboringonthesametermsandconditionsastheGranteeatthattimesharesthetotalcostoftrenchesandboresandtheGrantorcertifiesinwritingthatitshallnotuseanyfacilitiesforpurposeswhichareincompetitionwithGrantee.TheGrantorshallberesponsibleformaintainingitsrespectivecable,conduitandFiberOpticcableburiedintheGrantee’strenchesandboresunderthisparagraph.(5)TheGrantorshallnotberequiredtoobtaineasementsfortheGrantee.(6)TheGranteeshallparticipatewithotherprovidersinjointtrenchprojectstorelocateitsoverheadfacilitiesundergroundandremoveitsoverheadfacilitiesinareaswhereallutilitiesarebeingconvertedtoundergroundfacilities.Totheextenttechnicallyfeasible,relocationofoverheadfacilitiesundergroundshallbecompletedwithinninety(90)days(orsuchotherperiodoftimeprovidedbyTownCode)inareaswhereelectricortelephoneutilitiesarebeingconvertedtoundergroundfacilities.(B)RepairandRestorationofProperty.TheGranteeshallprotectpublicandprivatepropertywithintheRights-of-Wayfromdamage.31 0010.11CodesGranteeshallstrictlyadheretoallGenerallyApplicablebuildingandzoningcodescurrentlyorhereafterineffectaslongastheydonotmateriallyaffectGrantee’srightsunderthisAgreement.10.12ConstructionandUseofPolesWheneverfeasible,Granteeshalluseexistingpoleswhentheinstallationoffacilitiesabove-groundispermitted.IntheeventGranteecannotobtainthenecessarypolesandrelatedfacilitiespursuanttoapoleattachmentagreement,andonlyinsuchevent,thenitshallbelawfulforGranteetomakeallneededexcavationsinthestreetsforthepurposeofplacing,erecting,laying,maintaining,repairingandremovingpoles,conduits,supportsforwiresandconductors,andanyotherfacilityneededforthemaintenanceorextensionofGrantee’sSystem.AllpolesofGranteeshallbeerectedinlocationsapprovedbytheGrantor,andeachpoleshallbesetwheneverpracticableatanextensionlotline.GrantorshallhavetherighttorequireGranteetochangethelocationofanypolewithinRights-of-Waywhen,intheopinionofGrantor,thepublichealth,safetyorwelfarerequiressuchchange,andtheexpensethereofshallbepaidbyGrantee.Terms,compensationforanduseofTownPolesshallbegovernedbyaseparatePoleAttachmentAgreementbetweentheTownandGrantee.MydisputebetweenaprivatepropertyownerandtheGranteeregardingtheproposedlocationofapoleshallberesolvedbetweensuchprivatepropertyownerandGranteeandshallnotinvolvetheGrantor.10.13TreeTrimmingUponobtainingawrittenpermitfromGrantor,ifsuchapermitisrequired,Granteemaypruneorcausetobcpruned,usingproperpruningpracticesinaccordancewithsuchpermit,anytreeorothernaturalgrowthintheRights-of-WaythatinterfereswiththeSystem.10.14Standards(A)Allworkauthorizedandrequiredhereundershallbedoneinasafe,thoroughandworkmanlikemanner.TheGranteemustcomplywithallfederal,Stateandlocalsafetyrequirements,rules,regulations,lawsandpractices,andemployallnecessarydevicesasrequiredbyapplicablelawduringconstruction,operationandrepairofitsSystem.Bywayofillustrationandnotlimitation,theGranteemustcomplywiththeNationalElectricCode,NationalElectricalSafetyCodeandOccupationalSafetyandHealthAdministration(OSHA)Standards.(B)Granteeshallensurethatallcabledropsareproperlybondedandgroundedatthehome,consistentwithapplicablecoderequirements.Allnon-conformingornon-performingcabledropsshallbereplacedbyGranteeasnecessary.(C)Allinstallationsofequipmentshallbepermanentinnature,durableandinstalledinaccordancewithgoodengineeringpracticesandofsufficientheighttocomplywithallfederal,Stateandlocalregulations,ordinancesandlawssoasnottointerfereinanymannerwiththerightofthepublicorindividualpropertyowner,andshallnotinterferewiththetravelanduseofpublicplacesbythepublicduringtheconstruction,repair,operationorremovalthereof,andshallnotobstructorimpedetraffic.32 C0(D)InthemaintenanceandoperationofitsSysteminRights-of-Wayandotherpublicplaces,andinthecourseofanynewconstructionoradditiontoitsfacilities,theGranteeshallproceedsoastocauseminimalinconveniencetothegeneralpublic;anyopeningorobstructionintheRights-of-WayorotherpublicplacesmadebytheGranteeinthecourseofitsoperationsshallbeguardedandprotectedatalltimesbytheplacementofadequatebathers,fencesorboarding,theboundsofwhich,duringperiodsofduskanddarkness,shallbeclearlymarked.10.15StopWorkOnnoticefromGrantorthatanyworkisbeingconductedcontrarytotheprovisionsofthisAgreement,orinanunsafeordangerousmannerasdeterminedbyGrantor,orinviolationofthetermsofanyapplicablepermit,laws,regulations,ordinancesorstandards,theworkmayimmediatelybestoppedbyGrantor.Thestopworkordershall:(A)Beinwriting;(B)BesenttoGranteebymailattheaddressgivenherein;(C)Indicatethenatureoftheallegedviolationorunsafecondition;and(D)Establishconditionsunderwhichworkmayberesumed.10.16WorkofContractorsandSubcontractorsGrantee’scontractorsandsubcontractorsshallbelicensedandbondedinaccordancewithlocalordinances,regulationsandrequirements.Workbycontractorsandsubcontractorsshallbesubjecttothesamerestrictions,limitationsandconditionsasiftheworkwereperformedbyGrantee.Granteeshallberesponsibleforallworkperformedbyitscontractorsandsubcontractorsandothersperformingworkonitsbehalf,andshallensurethatallsuchworkisperformedincompliancewiththisAgreementandotherapplicablelaw,andshallbejointlyandseverallyliableforalldamagescausedbythem.ItisGrantee’sresponsibilitytoensurethatcontractors,subcontractorsorotherpersonsperformingworkonGrantee’sbehalfarefamiliarwiththerequirementsofthisAgreementandotherapplicablelawsgoverningtheworkperformedbythem.10.17SafetyUnderanycircumstancesregardingoperationoruseoftheSystemthatposesorinvolvespublichealth,safetyorwelfarehazards,perilordangerorpropertyhazards,Granteeshalltakestepsandactexpeditiouslytorecti&suchsituationsuntilconclusion.10.18JointTrenching/BoringTotheextentitistechnicallyandeconomicallyfeasible,Granteeshalljointtrenchorshareboresorcutsandworkwithotherproviders(suchas,butnotlimitedto,telecommunications,gas,sewer,waterandelectriccompanies),licensees,permitteessoastoreducethenumberofright-of-waycutswithintheTown.10.19GISMappingGranteeshallwithinareasonabletimeframecomplywithanyGenerallyApplicable33 00ordinances,rulesandregulationsoftheTownregardinggeographicinformationsystemsmappingforusersoftherights-of-wayanduponthirty(30)dayswrittenrequest,provideelectroniccopiesofroutelocationsfromAssessor’sMapsshowingthelocationofSystemlinesandfacilitiesintheRights-of-Way,butexcludingdetailonproprietaryelectronicsorotherproprietaryinformationrelatedtoGrantee’sspecificdesignoftheSystem.ItisunderstoodthatthisrequirementisforGranteetoprovideinformationwhichisalreadyavailabletoitandnotnewinformationwhichwouldbeotherwisenecessarytobegeneratedbyGrantee.SECTION11.SYSTEMDESIGN(A)TheCableSystemiscapableofdeliveringsignalsthatmeetFCCtechnicalqualitystandardsregardlessofaparticularmannerinwhichthesignalistransmitted.GranteeagreestomaintaintheCableSysteminamannerconsistentwith,orinexcessofthesespecificationsthroughoutthetermoftheAgreement.(B)SubscriberNetwork.MIorpartoftheCableSystemmaybecapableofdeliveringatleasttwohundred(200)ChannelsofVideoProgrammingservicestoSubscribers,andmaybetwo-waycapableprovidedthattheGranteereservestherighttousethebandwidthinthefutureforotherusesbasedonmarketfactors.TheTownandGranteeacknowledgethatGranteeiscurrentlyundertakinganupgradeoftheCableSystemandwhensuchupgradeiscompletedinthefirstquarterof2013,suchCableSystemwillbean860MHzsystemcapableofdeliveringatleast1156MhzChannelsincludingChannelsinhighdefinition.(C)EquipmentmustbeinstalledsothatallclosedcaptionedprogrammingreceivedbytheCableSystemshallincludetheclosedcaptionsignalsolongastheclosedcaptionsignalisprovidedconsistentwithFCCstandards.(13)GranteeacknowledgesthattheminimumCableSystemdesignandperformancerequirementssetforthinthisAgreementareenforceable,totheextentallowedbylaw.SECTION12.TECHNICALSTANDARDS12.1TechnicalPerformanceThetechnicalperformanceoftheCableSystemshallmeetallapplicabletechnicalstandardsauthorizedorrequiredbylaw,including,withoutlimitation,FCCtechnicalstandards,astheymaybeamendedfromtimetotime,regardlessofthetransmissiontechnologyutilized.TheTownshallhavethefullauthoritypermittedbyapplicablelawtoenforcecompliancewiththesetechnicalstandards.12.2InspectionofConstructionGrantorshallhavetherighttoinspectanyconstructionorinstallationworkperformedunderthisAgreementandtochargeGenerallyApplicableinspectionfeestherefor.Ifanunsafeconditionisfoundtoexist,theGrantor,inadditiontotakinganyotheractionpermittedunderapplicablelaw,mayorderGrantee,inwriting,tomakethenecessaryrepairsandalterationsspecifiedthereinforthwithtocorrecttheunsafeconditionwithinthetimespecifiedbyGrantor.TheGrantorhastherighttocorrect,inspect,administerandrepairtheunsafeconditionifGranteefailstodosowithinthetimespecified,andto34 00chargeGranteethereasonablecosttherefore.Insuchevent,theGrantorshallnotbeliableforanydamagetoanyportionofGrantee’sCableSystemunlesstheGrantoractedinanegligentmannerandGrantor’sliabilityisonlytotheextentpermittedbyStatelaw.12.3CableSystemPerformanceTesting(A)Granteeshall,atitsexpense,performalltestsonitsCableSystemrequiredbytheFCCandshallmaintainwrittenrecordsofitstestresultsinaccordancewithapplicablelaw.Uponadvancerequest,allFCCrequiredtechnicalperformancetestsmaybewitnessedbyrepresentativesoftheTown.TheexpenseoftheTownprovidingitsrepresentativestowitnessthetestshallbebornebytheTown.CopiesofsuchtestresultswillbeprovidedtotheTownuponrequest.(B)Uponrequest,Granteewillnoti&theTownbeforeanyrequiredtechnicalproof-of-performanceorothertestingoccurs.(C)Granteeshallpromptlytakesuchmeasuresasarenecessaryanddiligentlycontinuethesameuntilcompletioninordertocorrectanyperformancedeficienciesflatlyandtopreventtheirrecurrence.Grantee’sfailuretocorrectdeficienciesidentifiedthroughthistestingprocessshallbeaviolationofthisAgreement.Sitesshallbere-testedfollowingcorrectionuntilcorrectionhasbeenconfirmedandsatisfactoryresultsareobtained.12.4AdditionalTests(A)WherethereexistsanongoingpatternofpoortechnicalperformanceorqualityontheCableSystem,thenuponthirty(30)dayspriorwrittennotice,theTownmayrequireGranteetoconductproofofperformancetestsontestpointslocatedwithintheTownandprovideresultsofsuchtestswithinthirty(30)daysaftercompletionthereofThistestingrequirementmayonlybetriggeredbytheTownonceduringeachtwelve(12)monthperiod.(B)GranteeshallcooperatewiththeTowninperformingthetestingdescribedinSubsection(A)andshallpreparetheresultsandareportifrequested,withinthirty(30)daysaftertesting.Suchreportshallincludethefollowinginformation:(1)thenatureofthecomplaintorproblemthatprecipitatedthespecialtests;(2)theCableSystemcomponenttested;(3)theequipmentusedandproceduresemployedintesting;(4)themethod,ifany,inwhichsuchcomplaintorproblemwasresolved;and(5)anyotherinformationpertinenttosaidtestsandanalysisthatmaybereasonablyrequired.SECTION13.SERVICEEXTENSION35 0013.1ServiceAvailability(A)Ingeneral,exceptasotherwiseprovidedhereinandsubjecttoreceivingpermitsfromtheTown,GranteeshallprovideastandardinstallationofCableServicewithinseven(7)daysofarequestbyanyPersonwithinitsAgreementArea.ForpurposesofthisSection,arequestshallbedeemedmadeonthedateofsigningaserviceagreement,receiptofflrndsbyGrantee,receiptofawrittenrequestbyGranteeorreceiptbyGranteeofaverifiedverbalrequest.Granteeshallprovidesuchservice:(1)WithnolineextensionchargeexceptasspecificallyauthorizedelsewhereinthisAgreement.(2)Atanon-discriminatoryinstallationchargeforastandardinstallation,consistingofaonehundredtwentyfive(125)footaerialdroporsixty(60)feetforanundergrounddrop(providedthatthisdoesnotrequireextensiveboringortheuseofcostlyconstructionequipment)connectingtotheexteriordemarcationpointforSubscribers,withadditionalchargesfornon-standardinstallationscomputedaccordingtoanon-discriminatorymethodologyforsuchinstallations,adoptedbyGranteeandprovideduponrequestinwritingtotheTown.(3)Atnon-discriminatorymonthlyratesforallResidentialSubscribers,exceptingcommercialCustomers,MDUBulkCustomersandotherlawifilexceptionstouniformpricing.(4)NotwithstandinganyotherprovisionofthisAgreement,theGranteeshallhavetheright,butshallhavenoobligationtoextendtheCableSystemintoanyportionoftheAgreementAreawhereGranteeisnotprovidingCableServiceontheeffectivedateofthisAgreement,orwhereanothercableoperatorisprovidingCableService,orintoanyareathatisnotcontiguoustothepresentserviceareaoftheGrantee.Additionally,GranteeshallnotbeobligatedtoprovideCableServicetoanyareathatiscommerciallyunreasonable.(B)NoCustomershallbereffisedservicearbitrarily.However,forunusualcircumstances,suchasaCustomer’srequesttolocatethecabledropundergroundwithadistanceofmorethansixty(60)feet(andalsoprovidedthatthisdoesnotrequireextensiveboringortheuseofcostlyconstructionequipment)ortheexistenceofmorethanonehundredtwentyfive(125)aerialfeetofdistancefromdistributioncabletoconnectionofservicetoCustomers,oradensityoflessthanfifteen(15)residences(excludingthoseresidencesthathavedirectbroadcastsatellitevideoserviceandthosewhereaccesseasementscannotbeobtainedonareasonablebasisfromthirdparties)per5280cable-bearingstrandfeetoftrunkordistributioncable,servicemaybemadeavailableonthebasisofacapitalcontributioninaidofconstruction,includingcostofmaterial,laborandeasements.ForthepurposeofdeterminingtheamountofcapitalcontributioninaidofconstructiontobebornebytheGranteeandCustomersintheareainwhichservicemaybeexpanded,theGranteewillcontributeanamountequaltotheconstructionandothercostspermile,multipliedbyafractionwhosenumeratorequalstheactualnumberofresidencesper5280cable-bearingstrandfeetofitstrunkordistributioncableandwhosedenominatorequalsfifteen(15).Customerswhorequestservicehereunderwillbeartheremainderoftheconstructionandothercostsonaprorata36 00basis.TheGranteemayrequirethatthepaymentofthecapitalcontributioninaidofconstructionbornebysuchpotentialCustomersbepaidinadvance.ThedensityrequirementcontainedhereinshallalsoapplytoannexedandnewlydevelopedareaswithintheTownaswell.(C)TheGranteeshallprovideCableServicetoMultipleDwellingUnitsinaccordancewithanagreementwiththepropertyownerorowners,thisAgreementandallapplicablelaws.SECTION14.STANDBYPOWERANDEMERGENCYALERTSYSTEM14.1StandbyPowerGranteeshallprovidestandbypowergeneratingcapacityattheSystemHeadendcapableofprovidingatleasttwelve(12)hoursofemergencyoperation.GranteeshallmaintainstandbypowersystemsuppliesthroughouttheSystemratedforatleastfour(4)hoursduration.14.2EmergencyAlertCapability(A)GranteeshallprovideanoperatingEmergencyAlertSystem(“EAS”)incompliancewithFCCstandardsthroughoutthetermofthisAgreement.Giventhepossibilityoffire,floodorothernaturaldisaster,theTownshallhavetheabilitytoremotelyphoneintoexerciseoverridecapability(usingapasscodeorpassword)andsendemergencymessagesoverandontheEASSystemsinceitwouldimpactonlytheEstesParkareaandLarimerCountynearEstesParkandnototherjurisdictions.TheGranteeshallpayforthecostoftheEASequipmentintheHeadendandtheGrantorshallpayforthemonthlycostofonestandardphoneline.(B)GranteeshallensurethattheEASsystemisthnctioningproperlyatalltimes.ItwilltesttheEASsystemperiodically,inaccordancewithFCCregulations.Uponrequest,GranteewilladvisetheTownofthetestingschedulesothattheTownmaybepresentforthetests.SECTION15.AGREEMENTBREACHES;TERMINATIONOFAGREEMENT15.1ProcedureforRemedyingAgreementViolations(A)IfGrantorbelievesthatGranteehasfailedtoperformanymaterialobligationunderthisAgreementorhasfailedtoperforminatimelymanner,GrantorshallfirstinformallydiscussthematterwithGrantee.Ifthisdiscussiondoesnotleadtoresolutionoftheproblem,theGrantorshallnoti’Granteeinwriting,statingwithreasonablespecificity,thenatureoftheallegeddefault.Granteeshallhavethirty(30)daysfromthereceiptofsuchnoticeto:(1)RespondtoGrantor,contestingGrantor’sassertionthatadefaulthasoccurred;(2)Curethedefault;or(3)NotifyGrantorthatGranteecannotcurethedefaultwithinthethirty(30)days,becauseofthenatureofthedefault.Intheeventthedefaultcannotbecuredwithinthirty(30)days,Granteeshallpromptlytakeallreasonablestepstocurethe37 00defaultandnotify’Grantorinwritingandindetailastotheexactstepsthatwillbetakenandtheprojectedcompletiondate.Uponfive(5)businessdays’priorwrittennotice,eitherGrantororGranteemaycallaninformalmeetingtodiscusstheallegeddefault.Insuchcase,ifmattersarenotresolvedatsuchmeeting,Grantormaysetahearinginaccordancewithsubsection(B)belowtodeterminewhetheradditionaltimebeyondthethirty(30)daysspecifiedaboveisindeedneeded,andwhetherGrantee’sproposedcompletionscheduleandstepsarereasonable.(B)IfGranteedoesnotcuretheallegeddefaultwithinthecureperiodstatedabove,orbytheprojectedcompletiondateundersubsection(A)(3),ordeniesthedefault,orGrantorordersahearinginaccordancewithsubsection(A)(3),Grantorshallsetapublichearingtoinvestigatesaidissuesortheexistenceoftheallegeddefault.Grantorshallnotify’Granteeofthehearinginwritingandsuchhearingshalltakeplacenolessthanthirty(30)daysafterGrantee’sreceiptofnoticeofthehearingwhichnoticeshallspecify’thetime,placeandpurposeofsuchhearing.Atthehearing,Granteeshallbeprovidedanopportunitytobeheard,topresentandquestionwitnesses,andtopresentevidenceinitsdefense.Atanysuchhearing,GrantorshallnotunreasonablylimitGrantee’sopportunitytomakearecordthatmaybereviewedshouldanyfinaldecisionofGrantorbeappealedtoacourtofcompetentjurisdiction.ThedeterminationastowhetheradefaultoramaterialbreachofthisAgreementhasoccurredshallbewithinGrantor’ssolediscretion,butanysuchdeterminationshallbesubjecttodenovoreviewbyappealtoacourtofcompetentjurisdiction.(C)If.afterthepublichearing,Grantordeterminesthatadefaultstillexists,GrantorshallorderGranteetocorrectorremedythedefaultorbreachwithinfourteen(14)daysofTownnotificationorwithinsuchotherreasonabletimeframeasGrantorshalldetermine.Grantor’sdecisionshallbeprovidedtotheGranteeinwriting,settingforththereasonssupportingtheTown’sactions.IntheeventGranteedoesnotcurewithinsuchtimetoGrantor’sreasonablesatisfaction,Grantormay:(I)AssessandcollectmonetarydamagesinaccordancewiththisAgreement;and(2)CommencerevocationproceduresconsistentwithSubsection15.4herein;and(3)PursueanyotherlegalorequitableremedyavailableunderthisAgreementorapplicablelaw.(D)GranteereservestherighttoappealanydeterminationmadepursuanttoSection15.1(C)toacourtofcompetentjurisdictionwhichshallhavetheauthoritytoconductdenovoreviewoftheGrantor’sdecision.Atthehearing,theGranteeshallbeprovidedanopportunitytobeheardandacompletetranscriptshallbemadeofsuchproceeding.ThedeterminationastowhetheraviolationofthisAgreementhasoccurredpursuanttothisSectionhereinshallbewithinthesolediscretionoftheGrantorinaccordancewithlaw.AnysuchdeterminationbyGrantorshallbeaccompaniedbyarecord,towhichGrantee’scontributionshallnotbelimitedbyGrantor(i.e.,Grantorshall38 00hearanyinterestedPersonsandshallallowGranteeanopportunitytobeheard,tocrossexaminewitnesses,topresentevidenceandtomakeadditionstothehearingrecord).MysuchfinaldeterminationshallbesubjecttoappealtotheTownBoardorreviewbyacourtofcompetentjurisdiction.SuchappealtotheappropriateCourtshallbetakenwithinsixty(60)daysoftheissuanceofthedeterminationoftheGrantor.GrantorshallreceivenoticefromGranteeofanyappealconcurrentwithanyfilingtoacourtofcompetentjurisdiction.15.2AlternativeRemediesNoprovisionofthisAgreementshallbedeemedtobartherightofeitherpartytoseekorobtainjudicialrelieffromaviolationofanyprovisionoftheAgreementoranyrule,regulation,requirementordirectivepromulgatedthereunder.NeithertheexistenceofotherremediesidentifiedinthisAgreementnortheexercisethereofshallbedeemedtobarorotherwiselimittherightofeitherpartytorecovermonetarydamages,asallowedunderapplicablelaw,ortoseekandobtainjudicialenforcementofobligationsbymeansofspecificperformance,injunctiverelieformandate,oranyotherremedyatlaworinequity.TheGrantorspecificallydoesnot,byanyprovisionofthisAgreement,waiveanyright,immunity,limitationorprotection(includingcompletedamageimmunity)otherwiseavailabletotheGrantor,itsofficers,officials,Boards,members,commissions,agents,oremployeesunderfederal,State,orlocallawincludingbyexampleSection635AoftheCableAct.TheGranteeshallnothaveanymonetaryrecourseagainsttheGrantor,oritsofficers,officials,Board,members,commissions,agentsoremployeesforanyloss,costs,expensesordamagesarisingoutofanyprovision,requirementofthisAgreementortheenforcementthereof,subjecttoapplicablelaw.15.3AssessmentofMonetaryDamagesandLetterofCreditSubjecttoSection5.3:(A)GranteeshalldelivertotheTownanirrevocableandunconditionalLetterofCredit,inaformandsubstanceacceptabletotheTown,fromaNationalorStatebanksubjecttoreasonableapprovalbytheTown,intheamountof52,500.(B)TheLetterofCreditshallprovidethatffindswillbepaidtotheTown,inanamountforliquidateddamageschargedpursuanttothisSection,inpaymentforanymoniesowedbytheGranteetotheTownoranyPersonasaresultofanymaterialactsormaterialomissionsbytheGranteepursuanttothisAgreementorduetoapatternofrepeatedviolationofanyprovisionsofthisAgreement.GranteeshallhavetheopportunitytocureasprovidedinSection15.1ofthisAgreement.(C)InadditiontotherecoveryofanymoniesowedbytheGranteetotheTownoranyPersonordamagestotheTownoranyPersonasaresultofanymaterialactsormaterialomissionsbytheGranteepursuanttotheAgreement,theTowninitssolediscretionmay,afternoticeandopportunitytocureasprovidedinSection15.1,chargetoandcollectfromtheLetterofCreditthefollowingliquidateddamages:(1)ForfailuretocooperatewiththeTownduringanapplicationprocessorSystemrevieworasotherwiseprovidedherein,theLiquidatedDamagesshallbe$J00.0039 00perdayforeachday,orpartthereof,suchfailureoccursorcontinues.(2)ForfailuretoprovidethefollowingservicesandpaymentsrequiredbythisAgreement;theimplementationandtheutilizationoftheAccessChannel;thepaymentsrequiredbySection9.7;andtheAgreementFeesasrequiredbySection3.1-theLiquidatedDamagesshallbe$200.00perdayforeachday,orpartthereof,suchfailureoccursorcontinues.(3)ForfailuretocomplywiththeCustomerServiceStandardsinExhibitI,theliquidateddamagesshallbe$100.00perdayforeachdaysuchfailureoccursorcontinues.(D)EachviolationofanymaterialprovisionreferencedaboveinSection15.3(C)ofthisAgreementshallbeconsideredaseparateviolationforwhichseparateliquidateddamagescanbeimposed,provided,however,itisagreedthatLiquidatedDamagesmaynotbeassessedfortimeperiodexceedingsixty(60)daysandfurtheriftherearemultipleviolations,themaximumamountperdayforLiquidatedDamagesonacumulativebasismaynotbemorethan$300perday.IfafterassessingLiquidatedDamagesforsixty(60)days,GranteestillhasnotcuredorcommencedtocuretheallegedbreachtothesatisfactionoftheGrantor,theGrantormaypursueallotherremedies.(E)IfsaidLetterofCreditoranysubsequentLetterofCreditdeliveredpursuanttheretoexpirespriortotwelve(12)monthsaftertheexpirationofthetermofthisAgreement,itshallberenewedorreplacedduringthetermofthisAgreementtoprovidethatitwillnotexpireearlierthantwelve(12)monthsaftertheexpirationofthisAgreement.TherenewedorreplacedLetterofCreditshallbeofthesameformandwithabankauthorizedhereinandforthe11111amountstatedinparagraph(A)ofthisSection.(F)BecauseitmaybedifficulttocalculatetheharmtotheTownintheeventofabreachofthisAgreementbyGrantee,thepartiesagreetoliquidateddamagesasareasonableestimationoftheactualdamages.TotheextentthattheTownassessesliquidateddamagesasprovidedinthisAgreementandsuchliquidateddamageshavebeenpaid,suchdamagesshallbetheTown’ssoleandexclusiveremedy.NothinginthisSectionisintendedtoprecludetheTownfromexercisinganyotherrightorremedywithrespecttoabreachthatcontinuespastthetimetheTownstopsassessingliquidateddamagesforsuchbreach.(G)Thebond(s)andLetterofCreditreferredtoinSection5.3(A)maybedrawnorcollecteduponbytheTownforbreachofamaterialprovisionafternoticeandopportunitytocure.TheTownshallgiveGranteewrittennoticeofanyintenttowithdrawunderthissubsection.Withinfifteen(15)daysfollowingreceiptofsuchnotice,Granteeshallrestorethebond(s)andLetterofCredittotheamountrequiredunderthisAgreement.Grantee’smaintenanceofthebond(s)andLetterofCreditshallnotbeconstruedtoexcuseunfaithfulperformancebyGranteeortolimittheliabilityofGranteetotheamountofthebond(s)andLetterofCreditorotherwisetolimittheTown’srecoursetoanyotherremedyavailableatlaworinequity.40 00GranteeshallhavetherighttoappealtotheTownBoardforreimbursementintheeventGranteebelievesthatabondorLetterofCreditwasdrawnuponimproperly.GranteeshallalsohavetherightofjudicialappealifGranteebelievesabondorLetterofCredithasnotbeenproperlydrawnuponinaccordancewiththisAgreement.AnyfundstheTownerroneouslyorwrongfullywithdrawsfromthebond(s)orLetterofCreditshallbereturnedtoGranteewithinterestfromthedateofwithdrawal.TheassessmentdoesnotconstituteawaiverbytheTownofanyotherrightorremedyitmayhaveundertheAgreementorapplicablelaw,includingitsrighttorecoverfromGranteeanyadditionaldamages,losses,costsandexpensesthatareincurredbyTownbyreasonofthebreachofthisAgreement.Grantee’smaintenanceofthesecurityrequiredhereinorbyapplicablecodeshallnotbeconstruedtoexcuseunfaithfulperformancebytheGranteeofthisAgreement;tolimitliabilityoftheGranteetotheamountofthesecurity;ortootherwiselimittheGrantor’srecoursetoanyotherremedyavailableatlaworequity.15.4Revocation(A)ThisAgreementmayberevokedandallrightsandprivilegesrescindedifamaterialbreachoftheAgreementisnotcuredpursuanttoSection15.1,orintheeventthatthefollowingarenotcuredpursuanttoSection15.1:(I)GranteefailstoperformanymaterialobligationunderthisAgreement;(2)GranteeattemptstoevadeanymaterialprovisionofthisAgreementortopracticeanyfraudordeceitupontheGrantororSubscribers;(3)GranteemakesamaterialmisrepresentationoffactinthenegotiationofthisAgreement;(4)GranteefailstomaintaintherequiredCustomerservicelocation;(5)GranteeabandonstheSystem,orterminatestheSystem’soperations;(6)GranteefailstorestoreservicetotheSystemafterthreeconsecutivedaysofanoutageorinterruptioninservice;exceptinthecaseofanemergencyorduringaforcemajeureoccurrence,orwhenapprovalofsuchoutageorinterruptionisobtainedfromtheGrantor,itbeingtheintentthatthereshallbecontinuousoperationoftheSystem;or(7)Granteebecomesinsolvent,unableorunwillingtopayitsdebts,orisadjudgedbankrupt,thereisanassignmentforthebenefitofGrantee’screditors,orallorpartoftheGrantee’sSystemissoldunderaninstrumenttosecureadebtandisnotredeemedbyGranteewithinthirty(30)daysfromsaidsale.(B)Additionally,thisAgreementmayberevokedonehundredtwenty(120)daysaftertheappointmentofareceiverortrusteetotakeoverandconductthebusiness4’ 00oftheGranteewhetherinareceivership,reorganization,bankruptcyorotheractionorproceeding,unless:(1)Thereceivershiportrusteeshipisvacatedwithinonehundredtwenty(120)daysofappointment;or(2)Thereceiversortrusteeshave,withinonehundredtwenty(120)daysaftertheirelectionorappointment,fullycompliedwithallthematerialtermsandprovisionsofthisAgreement,andhaveremediedallmaterialdefaultsundertheAgreement.Additionally,thereceiversortrusteesshallhaveexecutedanagreementdulyapprovedbythecourthavingjurisdiction,bywhichthereceiversortrusteesassumeandagreetobeboundbyeachandeverytermandprovisionofthisAgreement.(C)IfthereisaforeclosureorotherinvoluntarysaleofthewholeoranypartofthepJant,propertyandequipmentofGrantee,GrantormayservenoticeofrevocationonGranteeandtothepurchaseratthesale,andtherightsandprivilegesofGranteeunderthisAgreementshallberevokedthirty(30)daysafterserviceofsuchnotice,unless:(1)GrantorhasapprovedthetransferoftheAgreement,inaccordancewiththeproceduressetforthinthisAgreementandasprovidedbylaw;and(2)ThepurchaserhascovenantedandagreedwithGrantortoassumeandbeboundbyallofthetermsandprovisionsofthisAgreement.(D)FollowingtheproceduressetforthinthisAgreement,andpriortoforfeitureorterminationoftheAgreement,theTownshallgivewrittennoticetotheGranteeofitsintenttorevoketheAgreement.Thenoticeshallsetforththenatureofthenoncompliance.(E)MyproceedingundertheSubsection(D)aboveshallbeconductedbytheTownBoardandopentothepublic.Granteeshallbeaffordedatleastthirty(30)dayspriorwrittennoticeofsuchproceeding.(1)Atsuchproceeding,GranteeshallbeprovidedafairopportunityforMlparticipation,includingtherighttoberepresentedbylegalcounsel,tointroduceevidence,andtocallandquestionwitnesses.AcompleteverbatimrecordandtranscriptshallbemadeofsuchproceedingandthecostoftherecordandtranscriptshallbebornebyGrantee.TheTownBoardoritsdesigneeshallhearanyPersonsinterestedintherevocation,andshallallowGrantee,inparticular,anopportunitytostateitspositiononthematter.(2)Withinninetydaysafterthehearing,theTownBoardshalldeterminewhethertorevoketheAgreementanddeclarethattheAgreementisrevoked;orifthebreachatissueiscapableofbeingcuredbyGrantee,directGranteetotakeappropriateremedialactionwithinthetimeandinthemannerandonthetermsandconditionsthattheTownBoardoritsdesigneedeterminesarereasonableunderthecircumstances.IftheTowndeterminesthattheAgreementistoberevoked,theTownshallsetforththereasonsfor42 00suchadecisionandshalltransmitacopyofthedecisiontotheGrantee.GranteeshallbeboundbytheTown’sdecisiontorevoketheAgreementunlessGranteeappealsthedecisiontoaCourtofcompetentjurisdictionwithinsixty(60)daysofthedateofthedecision.(3)GranteeshallbeentitledtosuchreliefastheCourtmaydeemappropriate.NothingcontainedinthisSectionshallbedeemedawaiverofGrantee’sorGrantor’srightsorprotectionsexistingunderStateorFederallaw.(4)TheTownBoardmayinitssolediscretiontakeanylawfulactionwhichitdeemsappropriatetoenforcetheTown’srightsundertheAgreementinadditiontorevocationoftheAgreement.15.5Removal(A)Intheeventoflawfultermination,expiration,revocationorlawfulnonrenewalofthisAgreement.andafterallappealsfromanyjudicialdeterminationareexhaustedandfinal,GrantormayordertheremovaloftheSystemfacilitiesfromtheAgreementAreaatGrantee’ssoleexpensewithinareasonableperiodoftime(nottoexceed180days)asdeterminedbyGrantor.Inremovingitsplant,structuresandequipment,Granteeshallrefill,atitsownexpense,anyexcavationthatismadebyitandshallleaveallRights-of-Way,publicplacesandprivatepropertyinaconditionreasonablycomparabletotheconditionasthatprevailingimmediatelypriortoGrantee’sremovalofitsequipment.(B)IfGranteefailstocompleteanyrequiredremovaltothesatisfactionofGrantor,GrantormayafterwrittennoticetoGranteecausetheworktobedone,andGranteeshallreimburseGrantorforthereasonablecostsincurredwithinthirty(30)daysafterreceiptofanitemizedlistofGrantor’sexpensesandcosts,orGrantormayrecoveritsexpensesandcostsfromthesecurity,orpursueanyotherjudicialremediesforthecollectionthereof.SECTION16.ABANDONMENTIftheGranteeabandonsitsSystemduringtheAgreementterm,orfailstooperateitsSysteminaccordancewithanydutytoprovidecontinuousservicetoSubscribersortheTownorSchoolsasrequiredherein,theprovisionsofthisAgreementandtheTownCodeshallapplyandtheGrantor,atitsoption,mayoperatetheSystemor;designateanotherentitytooperatetheSystemtemporarilyuntiltheGranteerestoresserviceunderconditionsacceptabletotheGrantor,oruntiltheAgreementisrevokedandanewcableoperatorisselectedbytheGrantor.IftheGrantordesignatesanotherentitytooperatetheSystem,theGranteeshallreimbursetheGrantorforallreasonablecosts,expensesanddamagesincurred,includingreasonableattorneyfees,courtexpensesandattributedexpensesforworkconductedbyGrantor’sstafforauthorizedagents.SECTJON17.AGREEMENTRENEWAL(A)TheGrantorandGranteeagreethatanyproceedingsundertakenbyGrantorthatrelatetotherenewaloftheAgreementshallbegovernedbyandcomplywiththe43 00provisionsofSection626oftheCableAct,unlesstheproceduresorsubstantiveprotectionssetforththereinshallbedeemedtobepreemptedand/orsupersededbytheprovisionsofanysubsequentprovisionofFederallaw.(B)InadditiontotheproceduressetforthinsaidSection626(a),Grantoragreestonoti&Granteeofthecompletionofitsassessmentsregardingtheidentificationofffiturecable-relatedcommunityneedsandinterests,aswellasthepastperformanceofGranteeunderthethencurrentAgreementterm.Notwithstandinganythingtothecontrarysetforthherein,GranteeandGrantoragreethatatanytimeduringthetermofthethencurrentAgreement,whileaffordingthepublicadequatenoticeandopportunityforcomment,GrantorandGranteemayagreetoundertakeandfinalizenegotiationsregardingrenewalofthethencurrentAgreementandGrantormaygrantarenewalthereofGranteeandGrantorconsiderthetermssetforthinthissubsectiontobeconsistentwiththeexpressprovisionsofSection626oftheCableAct.SECTION18.AGREEMENTTRANSFERTransferofOwnershiporControl(A)TheCableSystemandthisAgreementshallnotbesold,assigned,transferred,leasedordisposedof,eitherinwholeorinpart,eitherbyinvoluntarysaleorbyvoluntarysale,mergerorconsolidation;norshalltitlethereto,eitherlegalorequitable,oranyright,interestorpropertythereinpasstoorvestinanyPersonorentitywithoutthepriorwrittenconsentoftheGrantor,whichconsentshallbebytheTownBoard,actingbyordinanceorresolutionwhichconsentshallnotbeunreasonablywithheld.(B)TheGranteeshallpromptlynotii’theGrantorofanyactualorproposedchangein,ortransferof,oracquisitionbyanyotherpartyofcontroloftheGrantee.Theword“control”asusedhereinisnotlimitedtomajoritystockholdersbutincludesactualworkingcontrolinwhatevermannerexercised.Everychange,transferoracquisitionofcontroloftheGranteeshallmakethisAgreementsubjecttocancellationunlessanduntiltheGrantorshallhaveconsentedinwritingtheretoandGrantor’sconsentshallnotbeunreasonablywithheld.(C)ThepartiestothesaleortransfershallmakeawrittenrequesttotheGrantorforitsapprovalofasaleortransferorchangeincontrolandshallfinishallinformationrequiredbylawandthisAgreement.(D)InseekingtheGrantor’sconsenttoanychangeinownershiporcontrol,theproposedtransfereeorcontrollingentityshallindicatewhetherit:(1)Haseverbeenconvictedorheldliableforactsinvolvingdeceitincludinganyviolationoffederal,Stateorlocallaworregulations,oriscurrentlyunderanindictment,investigationorcomplaintchargingsuchacts;(2)Haseverhadajudgmentinanactionforfraud,deceit,ormisrepresentationenteredagainsttheproposedtransfereebyanycourtofcompetentjurisdiction;(3)Haspendinganymateriallegalclaim,lawsuit,oradministrativeproceedingarisingoutoforinvolvingaCableSystem;44 o0(4)Isfinanciallysolvent,bysubmittingfinancialdataincludingfinancialstatementsthatareauditedbyacertifiedpublicaccountantwhomayalsobeanofficerofthetransfereeorcontrollingentity;and(5)Hasthefinancial,legalandtechnicalcapabilitytoenableittomaintainandoperatetheCableSystemfortheremainingtermoftheAgreement.(E)TheGrantorshallactbyordinanceorresolutionontherequestwithinonehundredtwenty(120)daysoftherequestprovidedithasreceivedallinformationrequiredbylawsuchasacompleteFCCForm394application,providedithasreceivedacompleteapplication.Subjecttotheforegoing,iftheGrantorfailstorenderafinaldecisionontherequestwithinonehundredtwenty(120)days,suchrequestshallbedeemedgrantedunlessthereisamutuallyagreedtoextensionoftime.(F)Withinthirty(30)daysofanytransferorsaleorchangeincontrol,ifapprovedordeemedgrantedbytheGrantor,GranteeshallfilewiththeGrantoraredactedcopyofthedeed,agreement,leaseorotherwritteninstrumentevidencingsuchsaleortransferofownershiporcontrol,certifiedandsworntoascorrectbyGranteeandthetransfereeorcontrollingentity,andthetransfereeorcontrollingentityshallfileitsvfittenacceptanceagreeingtobeboundbyalloftheprovisionsofthisAgreement,subjecttoapplicablelaw.Intheeventofachangeincontrol,inwhichtheGranteeisnotreplacedbyanotherentity,theGranteewillcontinuetobeboundbyalloftheprovisionsoftheAgreement,subjecttoapplicablelaw,andwillnotberequiredtofileanadditionalwrittenacceptance.TheapprovalofanychangeincontrolshallnotbedeemedtowaiveanyrightsofGrantortosubsequentlyenforcenoncomplianceissuesrelatingtothisAgreement.ForpurposeshereintotheextentthatachangeofcontrolinvolvesanentitythatwasnotanAffiliatepriortothecontemplatedtransaction,theTown’sconsentshallberequiredforsuchchangeincontrol.(C)Inreviewingarequestforsaleortransferorchangeincontrol,theGrantormayinquireintothelegal,technicalandfinancialqualificationsoftheprospectivecontrollingpartyortransferee,andGranteeshallassisttheGrantorinsoinquiring.TheGrantormayconditionsaidsaleortransferorchangeincontroluponsuchtermsandconditionsasitdeemsreasonablyappropriateconsistentwithapplicablelaw,provided.however,anysuchtermsandconditionssoattachedshallberelatedtothelegal,technicalandfinancialqualificationsoftheprospectivecontrollingpartyortransfereeandtotheresolutionofoutstandingandunresolvedissuesofnoncompliancewiththetermsandconditionsofthisAgreementbyGrantee.(H)Notwithstandinganythingtothecontraryinthissubsection,thepriorapprovaloftheGrantorshallnotberequiredforanysale,assignmentortransferorchangeincontroloftheAgreementorCableSystemtoanAffiliateprovidedthattheproposedassigneeortransfereeornewcontrollingentitymustshowfinancialresponsibilityasmaybedeterminednecessarybytheGrantorandmustagreeinwritingtocomplywithalloftheprovisionsoftheAgreement.Further,GranteemaypledgetheassetsoftheCableSystemforthepurposeoffinancingwithouttheconsentoftheGrantor;providedthatsuchpledgeofassetsshallnotimpairormitigateGrantee’s45 00shallnotbeexclusive,buteachandeveryrightandremedyspecificallygivenbythisAgreementorotherwiseexistingorgivenmaybeexercisedfromtimetotimeandasoftenandinsuchorderasmaybedeemedexpedientbytheTownandtheexerciseofoneormorerightsorremediesshallnotbedeemedawaiveroftherighttoexerciseatthesametimeorthereafteranyotherrightorremedy.20.2CoststobeBornebyGranteeGranteeshallpayforcostsofpublicationofthisAgreementandallNoticespriortoanypublicmeetingorhearingprovidedfororinconnectionwiththisAgreementifsuchpublicationornoticesarerequiredbyaGenerallyApplicableTownOrdinanceorapplicablelaw.20.3BindingEffectThisAgreementshallbebindinguponthepartieshereto,theirpermittedsuccessorsandassigns.20.4AuthoritytoAmendThisAgreementmaybeamendedatanytimebymutualwrittenagreementbetweentheparties.20.5VenueThevenueforanydisputerelatedtothisAgreementshallbeintheUnitedStatesDistrictCourtfortheDistrictofColoradoorintheDistrictCourtinLarimerCounty,Colorado.20.6GoverningLawsThisAgreementshallbegoverned,construedandenforcedinaccordancewiththelawsoftheStateofColorado(asamended),theCableActasamended,anyapplicablerules,regulationsandordersoftheFCC,andanyotherapplicablelocal(consistentwiththetermsofthisAgreement),Stateandfederallaws,rules,regulations,legislationororders(assuchnowexist,arelateramendedorsubsequentlyadopted).NothingcontainedhereinshallbedeemedawaiverofanyrightsorprotectionsofGrantororGranteeexistingundersuchlawsorregulations.20.7CaptionsThecaptionsandheadingsofthisAgreementareforconvenienceandreferencepurposesonlyandshallnotaffectinanywaythemeaningorinterpretationofanyprovisionsofthisAgreement.20.8NoJointVentureNothinghereinshallbedeemedtocreateajointventureorprincipal-agentrelationshipbetweentheparties.andneitherpartyisauthorizedto,norshalleitherpartyacttowardthirdpersonsorthepublicinanymannerthatwouldindicateanysuchrelationshipwiththeother.20.9WaiverThefailureofeitherpartyatanytimetorequireperformancebytheotherofanyprovisionhereofshallinnowayaffecttherightoftheotherpartyhereaftertoenforcethesame.Norshallthewaiverbyeitherpartyofanybreachofanyprovisionhereofbetaken47 00orheldtobeawaiverofanysucceedingbreachofsuchprovision,orasawaiveroftheprovisionitselforanyotherprovision.20.10SeverabilityIfanySection,subsection,paragraph,sentence,clause,phrase,termorprovisionofthisAgreementisforanyreasondeterminedtobeillegal,invalidorunconstitutionalbyanyCourtoragencyofcompetentjurisdiction,suchshallbedeemedseparate,distinctandindependentandsuchdeterminationshallhavenoeffectonthevalidityofanyotherSection,subsection,paragraph,sentence,clause,phrase,termorprovisionofthisAgreement,allofwhichwillremaininhillforceandeffectforthetermoftheAgreement.20.11ForceMajeureTheGranteeshallnotbeheldindefaultunder,orinnoncompliancewith,theprovisionsofthisAgreement,norsufferanyenforcementorimpositionofdamagesrelatingtononcomplianceordefault,wheresuchnoncomplianceorallegeddefaultsoccurredorwerecausedbycircumstancesreasonablybeyondtheabilityoftheGranteetocontrol,including,butnotlimitedto,warorHots,civildisturbances,floodsorothersevereorunusualweatherconditionsornaturalcatastrophes,laborstoppages,slowdowns,poweroutagesexceedingback-uppowersuppliesorworkdelayscausedbywaitingforutilityproviderstoserviceormonitortheirutilitypolestowhichtheGrantee’sCableSystemisattached.20.12EntireAgreementExceptasprovidedinSection2.4(C),thePermitshallbeofnohirtherforceoreffectandthisAgreementandExhibitrepresenttheentireunderstandingandagreementbetweenthepartiesheretowithrespecttothesubjectmatterhereofandsupersedeallpriororalandwrittennegotiationsbetweentheparties.20.13Attorneys’FeesIfanyactionorsuitarisesinconnectionwiththisAgreement,theprevailingparty(eithertheTownorGrantee,asthecasemaybe)shallbeentitledtorecoverallofitsreasonableattorneys’fees,costsandexpensesinconnectiontherewith,inadditiontosuchotherreliefasthecourtmaydeemproper.20.14ActionoftheTownorGranteeInanyactionbytheTownorGranteemandatedorpermittedunderthetermshereof,itshallactinareasonable,expeditiousandtimelymanner.Furthermore,inanyinstancewhereapprovalorconsentisrequiredunderthetermshereof,suchapprovalorconsentshallnotbeunreasonablywithheldunlessotherwisespecifiedherein.20.15AuthorizationEachoftheundersignedrepresentsandwarrantsthatheorsheisdulyandproperlyauthorizedtosignonbehalfoftheirrespectiveentity.INWITNESSWHEREOFthisAgreementissignedinthenameofTheTownofEstesPark,ColoradothisI1thdayofDecember,2012.48 00EXHIBITICUSTOMERSERVICESTANDARDSSECTION1.POLICY.GranteeshouldbepermittedtheoptionandautonomytofirstresolvecitizencomplaintswithoutdelayandinterferencefromtheTown.WhereagivencomplaintisnotaddressedbyGranteetothecitizen’ssatisfaction,theTownmayintervene,ifrequestedtodosobythecitizen.TheseStandardsareintendedtobeofgeneralapplication;however,Granteeshallberelievedofanyobligationshereunderifitisunabletoperformduetocircumstancesbeyonditsreasonablecontrol,suchasaregion-widenaturalemergencyorintheeventofforcemajeure(asdefinedinSection20.11oftheAgreement)affectingasignificantportionoftheTown.GranteeisfreetoexceedtheseStandardstothebenefitofitsCustomersandsuchshallbeconsideredperformanceforthepurposesoftheseStandards.GranteeisresponsibletotheTowntoinsurethatitsagents,contractorsandsubcontractorscomplywithallapplicableprovisionsoftheseStandards.SECTION2.DEFINITIONSWhenusedintheseCustomerServiceStandards(the“Standards”),thefollowingwords,phrases,andtermsshallhavethemeaningsgivenbelow.2.1“CableService”shallmeantheone-waytransmissiontoCustomersofvideoprogrammingorotherprogrammingservice,andCustomerinteraction,ifany,whichisrequiredfortheselectionoruseofsuchvideoprogrammingorotherprogrammingservice.2.2“CableSystem”shallmeananyfacilityincludingthatofGranteeconsistingofasetofclosedtransmissionpathsandassociatedsignalgeneration,receptionandcontrolequipmentthatisdesignedtoprovideCableServicewhichincludesvideoprogrammingandwhichisprovidedtomultipleCustomerswithinacommunity,butsuchtermdoesnotinclude(A)afacilitythatservesonlytoretransmitthetelevisionsignalsofoneormoretelevisionbroadcaststations;(B)afacilitythatservesCustomerswithoutusinganyright-of-way;(C)afacilityofacommoncarrierwhichissubjectinwholeorinparttotheprovisionsofTitleIIoftheFederalCommunicationsAct(47U.S.C.201,et.seq.),exceptthatsuchfacilityshallbeconsideredaCableSystem(otherthanforpurposesofSection621(c)(47U.S.C.541(c))totheextentsuchfacilityisusedinthetransmissionofvideoprogrammingdirectlytoCustomers,unlesstheextentofsuchuseissolelytoprovideinteractiveon-demandservices;(D)anopenvideosystemthatcomplieswithfederalstatutes,or(E)anyfacilitiesofanyelectricutilityusedsolelyforoperatingitselectricutilitysystems.2.3“Customer”shallmeananypersonwholawfullyreceiveswithintheTown,CableServicefromGranteewithGrantee’sexpresspermission.50 CC2.4“CustomerServiceRepresentative”(or“CSR”)shallmeananypersonemployedbyGranteetoassist,orprovideserviceto,Customers,whetherbyansweringpublictelephonelines,writingserviceorinstallationorders,answeringCustomers’questions,receivingandprocessingpayments,orpeffonningotherCustomerservice-relatedtasks.2.5“Town”shallmeanEstesPark,ColoradoactingbyandthroughtheTownBoardoritsdesignee.TheTownreferstotheincorporatedportionsoftheTown.2.6“Grantee”shallmeanBajaBroadbandOperatingCompany,LLCanditslawfulsuccessorsandassignsandanyPerson,whoprovidesCableServicesanddirectlyorthroughoneormoreaffiliatesownsasignificantinterestinsuchCableSystemorwhootherwisecontrolsorisotherwiseresponsibleforthroughanyarrangement,themanagementandoperationofsuchaCableSystem.2.7“Person”shallmeananyindividual,soleproprietorship,partnership,associationorcorporation,oranyotherformofentityororganization.2.8“Serviceinterruption”meansthelossofpictureorsoundononeormorecablechannels.SECTION3.CUSTOMERSERVICE.3.1.CourtesyMIemployeesofGranteeshallprovideeffectiveandsatisfactoTyserviceinallcontactswithCustomers.3.2.Accessibility;CableSystemofficehoursandtelephoneavailability(A)Granteeshallmaintainalocal,toll-freeorcollectcalltelephoneaccesslinewhichwillbeavailabletoitsCustomers24hoursaday,sevendaysaweek.(1)TrainedcompanyrepresentativeswillbeavailabletorespondtoCustomertelephoneinquiriesduringNormalBusinessHours.(2)AfterNormalBusinessHours,theaccesslinemaybeansweredbyaserviceoranautomatedresponsesystem,includinganansweringmachine.InquiriesreceivedafterNormalBusinessHoursmustberespondedtobyatrainedcompanyrepresentaliveonthenextbusinessday.(B)UnderNormalOperatingConditions,ifaCustomerservicetelephonecallisansweredwitharecordedmessageprovidingtheCustomerwithvariousmenuoptionstoaddresstheCustomer’sconcern,therecordedmessagemustprovidetheCustomerwiththeoptiontoconnecttoandspeakwithaCustomerServiceRepresentative(CSR)withinninety(90)secondsofthecommencementoftherecording.FromthetimeaCustomerchoosesamenuoptiontospeakdirectlywithaCSR,theanswertimebyaCSR,includingwaittime,shallnotexceedthirty(30)secondswhentheconnectionismade.Ifthecallneedstobetransferred,transfertimeshallnotexceedthirty(30)seconds.Thesestandardsshallbemetnolessthanseventyfive(75)percentofthetimeunderNormalOperatingConditions,measuredonaquarterlybasis.51 00(C)Granteewillnotberequiredtoacquireequipmentorperformsurveystomeasurecompliancewiththetelephoneansweringstandardssetforthabove,unlessahistoricalrecordofcomplaintsindicatesaclearfailuretocomply.(D)UnderNormalOperatingConditions,theCustomerwillreceiveabusysignallessthanthree(3)percentofthetime.Thisstandardshallbemetseventyfivepercent(75%)ormoreofthetimemeasuredquarterly.(E)ACustomerservicecentershallbeprovidedandbeopenforbusinessassetforthintheAgreement.3.3.Responsiveness;installations,outagesandservicecalls(A)Undernormaloperatingconditions,eachofthefollowingfivestandardswillbemetnolessthanseventy-five(75)percentofthetimemeasuredonaquarterlybasis:(1)Standardinstallationwillbeperformedwithinseven(7)businessdaysafteranorderhasbeenplacedunlesstheCustomeragreestoalaterdateforinstallation.“Standard”installationsarethosethatarelocatedupto125aerialfeetorsixty(60)undergroundfeetfromtheexistingdistributionsystemprovidedthatthisdoesnotrequireextensiveboringortheuseofcostlyconstructionequipment.(2)ExcludingconditionsbeyondthecontrolofaGrantee,Granteewillbeginworkingon“serviceinterruptions”promptlyandinnoeventlaterthan24hoursaftertheinterruptionbecomesknown.Granteemustbeginactionstocorrectotherserviceproblemsthenextbusinessdayafternotificationoftheserviceproblem.(3)The“appointmentwindow”alternativesforinstallations,servicecalls,andotherinstallationactivitieswillbeeitheraspecifictimeor,atmaximum,afour-hourtimeblockduringNormalBusinessHours.Forpurposesherein,“NormalBusinessHours”shallbebetween8:00A.M.to5:00P.M..MondaythroughFriday.GranteemayscheduleservicecallsandotherinstallationactivitiesoutsideofNormalBusinessHoursfortheexpressconvenienceoftheCustomer.(4)GranteemaynotcancelanappointmentwithaCustomerafterthecloseofbusinessonthebusinessdaypriortothescheduledappointmentunlessanemergencyexists.(5)IfGrantee’srepresentativeisrunninglateforanappointmentwithaCustomerandwillnotbeabletokeeptheappointmentasscheduled.theCustomerwillbecontacted.Theappointmentwillberescheduled,asnecessary,atatimemutuallyagreeduponbytheCustomerandtheGranteefortheconvenienceoftheCustomer.(B)GranteeshallprovidecleartelevisionreceptionthatmeetstechnicalstandardsestablishedbytheUnitedStatesFederalCommunicationsCommission(the“FCC”).Granteeshallrenderefficientservice,makerepairspromptly,andinterruptserviceonlyforgoodcauseandfortheshortesttimepossible.Scheduledinterruptionsshallbe52 00precededbynotice,andtotheextentreasonablypossible,andshalloccurduringperiodsofminimumuseoftheSystem,preferablybetweenmidnightandsixa.m.(6:00a.m.).(C)Grantee’sCustomerServiceRepresentativeshallhavetheauthoritytoprovidecreditforinterruptedservice,towaivefees,andtoscheduleserviceappointmentswhereappropriate.(D)Billings,refimdsandcredits.(1)Billswillbeclear,conciseandunderstandable.Billsmustbefillyitemized,withitemizationsincluding,butnotlimitedto,basicandpremiumservicechargesandequipmentcharges.Billswillalsoclearlydelineateallactivityduringthebillingperiod,includingoptionalcharges,rebatesandcredits.Incaseofabillingdispute,GranteemustrespondtoawrittencomplaintfromaCustomerwithinthirty(30)days.(2)Rethndchecksorcreditswillbeissuedpromptly,butnolaterthaneithertheCustomer’snextbillingcyclefollowingresolutionoftherequestorthirty(30)days,oruponthereturnoftheequipmentsuppliedbyGranteeifserviceisterminated.(E)TreatmentofPrivateProperty.(1)Granteeshallkeeptreetrimmingtoaminimum;treesandshrubsorotherlandscapingthataredamagedbyGrantee,anyemployeeoragentofGranteeduringinslallationorconstructionshallberestoredtotheirpriorconditionorreplaced.Treesandshrubsshallnotberemovedwithoutthepriorpermissionoftheownerorlegaltenantofthepropertyonwhichtheyarelocated.(2)Granteeshall,atitsowncostandexpense,andinamannerapprovedbythepropertyowner,restoreanypropertytoasgoodconditionasbeforetheworkcausingsuchdisturbancewasinitiated.Granteeshallrepair,replaceorcompensateaproperty’ownerforanydamageresultingfromGrantee’sinstallation,construction,serviceorrepairactivities.(3)ExceptinthecaseofanemergencyinvolvingpublicsafetyorserviceinterruptiontoalargenumberofCustomers,Granteeshallgivereasonablenoticetopropertyownersorlegaltenantspriortoenteringuponprivatepremises.Nothinghereinshallbeconstruedasauthorizingaccessorentrytoprivateproperty,oranyotherproperty,wheresuchrighttoaccessorentryisnototherwiseprovidedbylaw,easement,and/oranagreementwiththeTown.Fortheinstallationofpedestalsorothermajorconstructionorinstallationprojectsonprivateproperty,Granteewillusereasonableeffortstoprovideadvancenoticeofworkonoruseofsuchprivateproperty.Inthecaseofanemergency,Granteeshallattempttocontactthepropertyownerorlegaltenantinperson,andshallleaveadoorhangernoticeintheeventpersonalcontactisnotmade.Notwithstandingtheforegoing,ifanotherPerson’spropertywillbeaffectedbyworkrequestedbyaCustomerorpotentialCustomer,GranteeshallendeavortoprovidenoticetothatPersonaswell.(4)Granteepersonnelshallcleanallareassurroundinganyworksiteandensurethatallcablematerialshavebeendisposedofproperly.53 003.4ServicesforCustomerswithDisabilitiesGranteewillusereasonablegoodfaitheffortstomeetthespecialneedsofCustomerswithdisabilities.3.5NotificationtoCustomers(A)Granteeshallprovidewritteninformationoneachofthefollowingareasatthetimeofinstallationofservice,atleastannuallytoallCustomers,andatanytimeuponrequest.(I)Productsandservicesoffered;(2)Pricesandoptionsforprogrammingservicesandconditionsofsubscriptiontoprogrammingandotherservices;(3)Installationandservicemaintenancepolicies;(4)InstructionsonhowtousetheCableService;(5)ChannelpositionsprogrammingcarriedontheCableSystem;and,(6)Billingandcomplaintprocedures.(B)Customerswillbenotifiedofanychangesinrates,programmingservicesorchannelpositionsassoonaspossibleinwritingconsistentwithapplicablelaw.NoticemustbemailedtoCustomersaminimumofthirty(30)daysinadvanceofsuchchangesifthechangeiswithinthecontrolofGrantee.Inaddition,Granteeshallnoti&Customersbymailthirty(30)daysinadvanceofanysignificantchangesintheotherinformationrequiredbySection3.5(A).Notwithstandinganyotherprovisionherein,Granteeshallnotberequiredtoprovidepriornoticeofanyratechangethatistheresultofaregulatoryfeeoranyotherfee,tax,assessment,orchargeofanykindimposedbyanyFederalorStateagency,onthetransactionbetweenGranteeandtheCustomer.(C)MIofficers,agents,andemployeesofGranteeoritscontractorsorsubcontractorswhoareinpersona]contactwithCustomersshallhaveidentificationcardsbearingtheirnameandphotograph.Granteeshallaccountforallidentificationcardsatalltimes.EveryvehicleofGranteeshallbeclearlyvisuallyidentifiedtothepublicasworkingforGrantee.MICRSsshallidentify’themselvesorallytocallersimmediatelyfollowingthegreetingduringeachtelephonecontactwiththepublic.3.6CustomerPrivacy(A)GranteeshallnotmonitorcabletelevisionsignalstodeterminetheindividualviewingpatternsorpracticesofanyCustomerwithoutpriorwrittenconsentfromthatCustomer,exceptasneededtomaintainSystemintegrityorasotherwisepermittedbyFederalLaw.(B)GranteeshallnotsellorotherwisemakeavailableCustomerlistsorotherpersonallyidentifiableCustomerinformationwithoutpriorwrittenCustomerconsent,54 C)0exceptasotherwisepermittedbyFederalLaw.Granteeispermittedtodisclosesuchinformationifsuchdisclosureisnecessarytorender,orconduct,alegitimatebusinessactivityrelatedtoaCableServiceorotherserviceprovidedbyGranteetoitsCustomers.3.7SafetyGranteeshallinstallandlocateitsfacilities,CableSystem,andequipmentincompliancewithallfederal,state,local,andcompanysafetystandards,andinsuchmannerasshallnotundulyinterferewithorendangerpersonsorproperty.WheneveraGranteereceivesnoticethatanunsafeconditionexistswithrespecttoitsequipment,Granteeshallinvestigatesuchconditionimmediately,andshalltakesuchmeasuresasarenecessarytoremoveoreliminateanyunsafecondition.SECTION4.COMPLAINTPROCEDURE4.1ComplaintstoGrantee(A)Granteeshallestablishwrittenproceduresforreceiving,actingupon,andresolvingCustomercomplaints,andcreditingCustomeraccountsandshallpublicizesuchproceduresthroughprinteddocumentsatGrantee’ssoleexpenseconsistentwithSection3.5(A)oftheseStandards.(B)SaidwrittenproceduresshallprescribeasimplemannerinwhichanyCustomermaysubmitacomplaintbytelephoneorinwritingtoGranteethatithasviolatedanyprovisionoftheseCustomerServiceStandards,anytermsorconditionsoftheCustomer’scontractwithGrantee,orreasonablebusinesspractices.(C)AttheconclusionofGrantee’sinvestigationofaCustomercomplaint,butinnomorethanthirty(30)calendardaysafterreceivingthecomplaint,GranteeshallnotifytheCustomeroftheresultsofitsinvestigationanditsproposedactionorcredit.(0)GranteeshallalsonotifytheCustomeroftheCustomer’srighttofileacomplaintwiththeTownintheeventtheCustomerisdissatisfiedwithGrantee’sdecision,andshallthoroughlyexplainthenecessaryproceduresforfilingsuchcomplaintwiththeTown.(E)Grantee’scomplaintproceduresshallbefiledwiththeTownpriortoimplementation.4.2ComplaintstotheTown(A)MyCustomerwhoisdissatisfiedwithanyproposeddecisionofGranteeorwhohasnotreceivedadecisionwithinthethirty(30)dayperiodasrequiredwithrespecttoanunresolvedcomplaintshallbeentitledtohaveawrittencomplaintreviewedbytheTownoritsdesignee.(B)TheCustomermayinitiatethereviewbyfilingawrittencomplainttogetherwithGrantee’swrittendecision,ifany,withtheTown.(C)TheCustomershallmakesuchfilingandnotificationwithinthirty(30)daysofreceiptofGrantee’sdecisionor,ifnodecisionhasbeenprovided,withinforty(40)days55 00afterfilingtheoriginalcomplaintwithGrantee.TheCustomershallnotifyGranteethatacomplainthasbeenfiledwiththeTownbymailingacopyofthecomplainttoGranteebycertifiedmail,returnreceiptrequested.(D)GranteeshallfileawrittenresponsetothecomplaintwiththeTownwithinfifteen(15)daysofreceiptofacopyofthecomplaintfromtheCustomer.(E)IftheTownoritsdesigneedecidesthatThrtherevidenceiswarranted,theTownoritsdesigneemayrequireGranteeandtheCustomertosubmit,withinten(10)daysofnoticethereof,awrittenstatementofthefactsandargumentsinsupportoftheirrespectivepositions.(F)GranteeandtheCustomershallproduceanyadditionalevidence,includinganyreportsfromGrantee,whichtheTownoritsdesigneemaydeemnecessarytoanunderstandinganddeterminationofthecomplaint.(G)TheTownoritsdesigneeshallissueadeterminationwithinfifteen(15)daysafterexaminingthematerialssubmitted,settingforthitsbasisforthedetermination.(H)TheTownoritsdesigneemayextendthesetimelimitsforreasonablecauseandmayintercedeandattempttonegotiateaninformalresolution.(1)IftheTowndeterminesthattheCustomer’swrittencomplaintisvalidandthatGranteedidnotprovidethecomplainingCustomerwiththepropersolutionand/orcredit,theTownmayrequireGranteetograntaspecificsolutioninaccordancewiththeGrantee’scredit/reffindpolicyorresolvethematterasotherwisemutuallyagreeduponbytheGranteeandtheTown.IftheTownfindsthattheCustomer’swrittencomplainthasnovalidity,thecomplaintshallbedismissedwithnofurtheractionbeingtaken.4.3OverallQualityofServiceTheTownmayevaluatetheoverallqualityofCustomerserviceprovidedbyGranteetoCustomers:(A)InconjunctionwithanyperformancereviewprovidedforintheAgreementwiththeTown;and,(B)Atanyothertime,atitssolediscretionbasedonthenumberofwrittenCustomercomplaintsreceivedbyGranteeandtheTown,andGrantee’sresponsetothosecomplaints.(C)IfthereisanuncuredbreachofamaterialprovisionoftheseCustomerServiceStandardsorpatternofrepeatedviolationsofanyprovisionoftheseCustomerServiceStandards,thentheTownmayrequiretheGranteetohire,atitsexpense,aqualifiedconsultanttomakeanindependentreviewoftheCableSystemtoconfirmthattheGranteeandtheCableSystemareinsubstantialcompliancewiththetermsandconditionsoftheseCustomerServiceStandardsaswellasallFCCTechnicalStandards.Priortocommencementofthisreview,theconsultantshallcontacttheTownandconfirmanyspecificareasofinterestbytheTownwhichshouldbereviewed.Uponcompletion56
