MaintenancePRIVATEROADANDDRAINAGEMAINTENANCEAGREEMENTAnAgreementmadethisoriginaldateof.]iz7,,’,;-il,20/7,applicabletotheundersignedparcelownersandusers,RECITALSWHEREAS,thedriveforFergusonOneTownhomeandFergusonTwoTownhomeisaprivateroadsituatedinCountyofLarimer,StateofColorado,andWHEREAS,thedrainagefacilitiesforFergusonOneTownhomeandFergusonTwoTownhomearesituatedinCountyofLarimer,StateofColorado,andWHEREAS,theundersignedparcelownersaretheownersorusersoftheRoadwayandDrainageFacilitessituatedinCountyofLarimer,StateofColorado,commonlyknownasFergusonOneTowithomeandFergusonTwoTownhome,anddescribedasfollows:Lot1andLot2,FergusonOneTownhomeandLotIandLot2,FergusonTwoTownhomeWHEREAS,thepartiesdesiretoenterintoanAgreementregardingthecostsofmaintenanceandimprovementstotheRoadwayandDrainageFacilities;andWHEREAS,itisagreedthatfutureparcelownersoruserswilladdtheirsignaturestothisdocument;NOWTHEREFORE,ITISHEREBYAGREEDASFOLLOWS:1.VehicleandPedestrianAccessEasement.TheRoadwayandDrainagePropertyshallbesubjecttoaperpetual,nonexciusiveeasementforingressandegressgrantingaccesstoalltheparcelownersandtheiroccupants,agents,employees,guests,servicesandemergencyvehicles,andthoseindividualsappointedtoconductsemi-annualroadanddrainagereviews.2.UtilityEasement.TheRoadwayPropertyshallbesubjecttoaperpetual,nonexclusivepublicutilityeasementforthepurposeofpermittingaboveandbelowgroundpublicutilitiestobeinstalledandmaintained.3.RoadandDrainageCommissionAgent.ARoadandDrainageCommissionAgentshallbeelectedbyamajorityofthepropertyowners,willserveatermasagreedtobythepropertyowners,andcanbereplacedorrenewedatanytimebyasimplemajority(51%)voteoftheparcelowners.TheRoadandDrainageCommissionAgentshallberesponsibleformonitoringtheconditionoftheroadsurfaceanddrainagefacilitiesandinitiatingmaintenanceactivitiesasneededtomaintaintheminimumroadsurfaceanddrainagefacilitystandards.4.RoadandDrainageMaintenance.Roadmaintenancearidroadimprovementswillbeundertakenandmadewhenevernecessarytomaintaintheroadingoodoperatingconditionatalltimesandtoinsuretheprovisionofsafeaccessbyemergencyvehicles.Drainagefacilitieswillbeundertakenandmadewhenevernecessarytomaintainthedrainagefacilitesingoodoperatingconditionatalltimesandtoinsuretheproperflowofdrainagethroughtheproperty.Asimplemajority(51%)voteofparcelownersisrequiredforanyroadimprovementsandtoaccepttheRECEPTION#20180003360,1/17/201811:41:02AM,1of4,$28.00Page1of4AngelaMyers,Clerk&Recorder,LarimerCountyCOj bidforanyroadordrainageimprovementcontract.Beforeauthorizingexpendituresforfutureroadordrainageimprovements,parcelownerswillbenotifiedbytheRoadandDrainageCommissionAgent,costestimateswillbeprovided,andamajorityagreementwillberequired.Ifanyparcelownerperformsimprovements,maintenance,repairsorreplacementswithouttheapprovaloftheotherlotownerspriortoperformingsuchwork,thelotownerperformingsuchworkshallbecomeliablefortheentirecostthereof,unlesssuchworkisdeemedanemergency.However,whereemergencyrepairsarenecessary.neithermajorityvotenorpriorapprovalisnecessarybeforemakingsuchimprovementsorundertakingsuchmaintenance.5.Parking.Forthesafetyoftheresidents,nomachinery,trailers,vehiclesorotherpropertymaybestoredorparkeduponthePrivateRoadexceptparkingofvehiclesforlimitedperiodsoftime(nottoexceedtwelvehours).6.CostSharing.Roadanddrainagemaintenance,snowplowingandroadanddrainageimprovementcostsshallbesharedonapro-ratabasisbetweentheparcelownerssharingaccesstotheabovementionedroad.Eachparcelowner’sshareofcoststhcurredshallbedeterminedasfollows:Pro-ratedRoadwaycostsharewillbebaseduponthepercentageofroadwayextendingfromthestartofthePrivateRoadtotheintersectionofeachdrivewaywherearesidenceexists,ortothemidpoiniofapropertyfrontagethatisadjacenttotheroadwaywhenaresidencedoesnotexist.Pro-raledDrainageFacilitycostsharewillbebaseduponthepercentageofshareddrainagechanneisextendingfromthestartofthedetentionpondtotheintersectionofeachdrainagechannelfromwhicharesidencedrains.TheRoadandDrainageCommissionAgentshallprovidetheusersanupdatedcopyofthecostallocationsatanypointthatchangesaremadetothecostallocations.7.Prepayment.Prepaymentofmaintenance,snowplowingandimprovementcostswillbemadetotheroadanddrainagefacilitymaintenanceaccountbyeachpropertyowner.Annually,onorbeforeadateasspecifiedbytheRoadandDrainageCommissionAgent,eachparcelownerwillcontributetheirpro-ratedshareoftheestimatedannualcostforroadanddrainagemaintenance,roadanddrainageimprovements,andannualsnowremoval.TheRoadandDrainageCommissionAgentshallsendeachparcelowneratwoweeknoticeoftheannualpaymentsdue.8.DefinitionofaParcel.Aparcelisdefinedasalandentityhavingaplattedsubdivisionlotnumber,oraparcelidentificationnumberinthecaseofunplattedlands.Eachparcelisassessedandgranted(I)voteregardlessofthenumberofowners.Ifaparcelisownedbymorethanoneperson,alloftheownersoftheparcelwillcollectivelybereferredtoasthe“parcelowner”forpurposesofthisAgreement,andwillbeentitledtoonecollectivevote(i.e.eachparcelrepresentsonevoteinthematterscoveredbythisAgreement).9.FutureParcels.AnyadditionalparcelsgainingaccesstothePrivateRoadbywayofsplittingexistingparcelswillbeboundbyalltermsandconditionsofthisagreement,andwillberequiredtopaythatportionofthemaintenance,snowplowingandimprovementcostsincurredafterthesplitasdeterminedusingtheformulacontainedinParagraphNo.6above.IfanyadditionalparcelsarecreatedaftertheoriginalPrivateRoadMaintenanceAgreementissigned,PageZof4 thenewparcelownersmustalsosigntheagreement.Whenaparcelisbeingsoldonalandcontract,thelandcontractvendeeshallbedeemedtheownerofrecord.10.SnowPlowing.ThePrivateRoadshallbesnowplowedsoastopermityearroundaccess.ThecostshallbesharedbytheparcelownersasindicatedinParagraphNo.6above.Individualdrivewaysnowplowing,ifdesired,willbeinvoicedtotheparcelownersdirectlybythesnowplowcontractor.11.CheckingAccount.TheRoadandDrainageCommissionAgentshallestablishandmaintainabankcheckingaccountwithalocalbank,andwillprepareanddistributetothehereinaffectedparcelownersanannualincomeandexpensereportandayearendbalancesheet,accountingforallfundsreceivedanddisbursed,12.EffectiveTerm.ThisAgreementshallbeperpetual,andshallencumberandrunwiththelandaslongastheroadremainsprivate.13.BindingAgreement.ThisAgreementshahbebindinguponthepartieshereto,theirrespectiveheirs,executors,administratorsandassigns.14.Amendment.ThisAgreementmaybeamendedonlybyathree-fourthsmajorityconsentofallparcelowners.15.Enforcement.ThisAgreementmaybeenforcedbyasimplemajority(51%)ofparcelowners.IfacourtactionorlawsuitisnecessarytoenforcethisAgreement,thepartycommencingsuchactionorlawsuitshallbeentitledtoreasonableattorneyfeesandcosts,ifthepartyprevails.16.Disputes.Ifadisputearisesoveranyaspectoftheimprovements,maintenance,repairorreplacement,athirdpartyarbitratorshallbeappointedtoresolvethedispute.Thedecisionofthearbitratorshallbefinalandbindingonallofthelotowners-ContactinformationforlocalarbitratorscanbeobtainedthroughtheAmericanArbitrationAssocation.Inselectingathirdpartyarbitrator,eachlotshallbeentitledtoonevote,andthenomineereceivingamajorityofthevotesshallbethearbitrator.Allpartiesshallshareinthecostofanyarbitration.17.Notices.ParcelownersundertheAgreementshallbenotifiedbymailorinperson.Ifanaddressofaparcelownerisnotknown,acertifiednoticewillbemailedtotheaddresstowhichtheparcelowner’spropertytaxbillsaresent.18.Invalidity.ShouldanyprovisioninthisAgreementbedeemedinvalidorunenforceable,theremainderoftheAgreementshallnotbeaffectedandeachtermandconditionshallbevalidandenforceabletotheextentpermittedbylaw.19.OtherAgreements.ThisPrivateRoadandDrainageMaintenanceAgreementreplacesallpreviousPrivateRoadandDrainageMaintenanceAgreementsregardingthedescribedPrivateRoadandDrainageFacilities.Page3of4
