HomeMy WebLinkAboutF&R Ferguson I and II Dev AgreementRECEPTION#20180003359.1/17/201811:41:02AM!1of25,$133.00AngelaMyers,Clerk&Recorder,LanrnerCountyCO(SpaceabovethislineusedforRecordingData)DEVELOPMENTAGREEMENTFOR(FergusonONEandFergusonTWOTownhomeSubdivisions)ThisAgreementismadethis/(/kyofJ3Lf’JL’(flJ’}q.-c2OjjbetweentheBoardofCountyCommissionersofLarimerCounty,Coloradø3I’County”);(EstesDuplex,LLC)(“Developer”).WHEREAS,DeveloperistheownerofcertainrealpropertysituatedinLarimerCounty,Colorado,describedonExhibitA&Battachedheretoandincorporatedherein(“Property”);WHEREAS.Countyhasapprovedthe(FinalTownhornePlats)of(FergusonONE(ExhibitA)andFei;gusonTWO(ExhibitB)TownhorneSubdivisions)byFindingsandResolutiondated___________andrecorded__________(date)atReceptionNo.-c/1’g’335t-5.’oftheLari’merCountyrecords;and/WHEREAS,DeveloperhassubmittedtoCountyforapproval,executionandrecordationafinalplatfor(FergusonONEandFergusonTWOTownhomeSubdivisions);andWHEREAS.DeveloperintendstodevelopthePropertyin(Vphase(s)usingadefinedsetofimprovements;andWHEREAS,Countyhasconsideredthefinalplat,theproposeddevelopmentandimprovementstotheProperty,andtherequirementstobeimposeduponthePropertybyreasonoftheproposeddevelopmentandimprovementofthePropertyincludedinthefinalplat;andWHEREAS,Countyiswillingtoapprove,executeandacceptforrecordationthefinalplatupontheagreementofDeveloperandAssociationtothemattersdescribedinthisAgreement;andWHEREAS,County,DeveloperandAssociationmutuallyacknowledgeandagreethatthemattersdescribedinthisAgreementarereasonableconditionsandrequirementstobeimposedbyCountyinconnectionwithitsapproval,executionandacceptanceforrecordationofthefinalplat,andthatsuchmattersarenecessarytoprotect,promoteandenhancethegeneralwelfare.12/18/2017PageI
NOW,THEREFORE,inconsiderationofthepremises,themutualcovenantshereincontainedandtheapproval,executionandacceptanceofthefinalplatforrecordationbytheCounty,thepartiesagreeasfollows.1.TitleoftheDevelopment.ThetitleofthedevelopmentforpurposesofinfrastructureandconstructionplansisFergusonONEandFergusonTWOTownhomeSubdivisions.2.DescriptionofDevelopmentandUses.(TheFergusonOneDevelopmentisasubdivisionof’—’0.5acresintotwolotsof0.10acresand0.09acreswitheachlotbeingallowedoneresidentialunit,andone0.31acreoutlotspace.Useoftheoutlotspaceisactiveforthebenefitsoftheresidentsandmayincludesuchactivitiesasaccess,parking,drainage,andutilities.heFergusonTwoDevelopmentisasubdivisionof0.5acresintotwolotsof0.14acresand0.13acreseachlotbeingallowedonresidentialunit,andone0.23acreoutlotspace.Useoftheoutlotspaceisactiveforthebenefitsoftheresidentsandmayincludesuchactivitiesasaccess,parking,drainage,andutilities.3.ResidualLandRestrictions.Noresidualland4.ConditionsofApproval.ThereshallbeaprivateroadanddrainagemaintenancecovenantrecordedwiththeFinalFlatmapsforFergusonONEandFergusonflVOFinalSubdivisions.5.MineralInterests.N/A6.WaterRightsandWaterInterests.N/A7.Improvements.Developershalldesign,constructandinstallatitsownexpenseallinfrastructureimprovementsdescribedinExhibitCincludingbutnotlimitedtostreets,curbs,gutters,sidewalks,utilities,drainagefacilities,waterandsewerfacilities,floodprotectiondevicesandotherimprovementsshownonthefinalplatorinthesupportingdocumentsinaccordancewiththeplansandspecifications,aspreparedbyDeveloper’slicensedengineersandprofessionals,andapprovedbyCounty.Developershallalsoconstructandinstallatitsownexpensealloff-siteimprovementsdescribedinExhibitCattachedheretoinaccordancewiththeplansandspecifications,aspreparedbyDeveloper’slicensedengineersandprofessionals,andapprovedbyCounty.12/18/2017Page2
AllconstructionshallbeperformedinagoodandworkmanlikemannerandinaccordancewithapplicableCountystandards,rulesandregulationsgoverningsuchconstruction.8.CompletionDate.AllimprovementsrequiredtobeconstructedorinstalledfordevelopmentoftheProperty,andallothermattersagreedtobeperformedshallbeinstalled,constructedorperformedbyDeveloperonorbefore(December18,2019).9.WaterSupply.Developershallobtainwaterservicefrom(TownofEstesPark).DevelopershallinstallthewatersystemimprovementsnecessarytoservicethePropertyinthemannerprovidedontheapprovedutilityplans.Thewatersupplysystemshallbesubjecttoinspectionby(TownofEstesParkjduringconstruction.Developershallsubmitaletterofacceptancefromthe(TownofEs/esPak)forthemaintenanceandresponsibilityofallwatersupplyimprovementspriortothecompletiondateasstatedinSection8ofthisAgreement.10.Sewage.Forpublicsewersystems:Developershallobtainsewerservicefrom(UpperTho,ppypnSanitation_Distrjcf).AllsewerlinesrequiredforthePropertyshallbeconstructedinaccordancewiththerequirementsof(UpperThompsonSanitationDistrcj)andasreflectedonapprovedutilityplans.Thesewermainsandsupplyservicelinesshallbesubjecttoinspectionby(UpperThompsonSanitationDistrict,duringconstruction.Developershallsubmitaletterofacceptancefromthe(UpperThompsonSanitationDistrict)formaintenanceandresponsibilityofallsewerimprovementspriortothecompletiondateasstatedinSection8ofthisAgreement.11.Trenches.Trenchesforsanitarysewerandwater,stormsewerlines,andutilitiesshallbecompactedinaccordancewithspecificationsdefinedbyCountyorthewater,sewer,andutilityserviceprovider.Developerwilltesttrenchcompactionwhileworkisinprogress.Asufficientnumberoftestsshallbemadetoinsureadequatecompaction.ThetestresultsshallbecertifiedbythesoilslaboratoryandmaintainedonfileatthesitebyDeveloperforreviewbyCountypersonnel.Intheeventadequatecompactiontestingisnotprovided,CountymayordersuchtestingandDevelopershallreimburseCountyforallsuchcostsoftesting.Noreleaseofthefinalconstructioncollateralorreleaseofcompletedimprovementsshallbemadeuntilsuccessfulcompactiontestsarereceived.CompactiontestsmustbereceivedandapprovedbytheEngineeringDepartmentbeforethecompletiondate.12/18/2017Page3
12.Roads.DevelopershallconstructallroadimprovementsandinstallalltrafficsafetydevicesasshownonthefinalplanandinthesupportingdocumentsfortheDevelopmentinaccordancewiththeplansandspecifications,aspreparedbyDeveloper’slicensedengineersandprofessionals,andapprovedbytheCountyEngineer.AllstreetlayoutandgeometricdesignshallbeinaccordancewithapplicableCountystandardsandasportrayedontheapprovedconstructiondrawings.DevelopershallobtainaDevelopmentConstructionPermitandanyrequiredaccessorutilitypermitspriortothestartofconstructionofanyroadimprovements,eitherpublicorprivate.Developershallsubmitthefollowingitemstorequestthefinalreleaseofcompletedroadimprovements:a.AsignedandstampedstatementmustbesubmittedfromaprofessionalcivilengineerregisteredinColoradothattheroadimprovementshavebeencompletedinsubstantialcompliancewithapprovedplansandtheLarimerCountyRoadManualortheUrbanAreaStreetStandards(whicheverisapplicable),andthatthedocumentingengineerorhisrepresentativehavemaderegularoutsideon-siteinspectionsduringthecourseofconstructionandthefieldplansusedarethesameasthoseapprovedbytheCounty.Copiesofallon-siteinspectionreportsperformedbythedocumentingengineerorhisrepresentativemustbesubmittedaswell.b.TestresultsmustbesubmittedforallphasesofthedevelopmentaspertheLarimerCountyRoadManualortheUrbanAreaStreetStandards(whicheverisapplicable)forminimummaterialssampling,testingandinspectionandasrequiredbytheCountyEngineer.c.One(I)copyofthe“asbuilt”roadimprovementsplansmustbesubmittedatthetimeDeveloperrequestsareleaseofcollateral.Alldeviationsfromapprovedplansmustbelistedandshownonthe“asbuilt”plans.Noreleaseofthefmalconstructioncollateralshallbemadeuntiltheabovelisteditemshavebeensubmitted.AllitemslistedabovemustbereceivedandapprovedbytheEngineeringDepartmentbeforethecompletiondate.13.StormDrainageImprovementsDevelopershallconstructallstormdrainageimprovementsasshownontheFinalPlanandinthesupportingdocumentsforthedevelopment,inaccordancewiththeplansandspecifications,aspreparedbyDeveloper’slicensedengineersandprofessionals,andapprovedbytheCountyEngineer.AlldesignshallbeinaccordancewithapplicableCountystandardsandasportrayedontheapprovedconstructiondrawings.DevelopershallobtainaDevelopmentConstructionJ2/18/2017Page4
Permitandanyrequiredaccessorutilitypermitspriortothestartofconstructionofanyimprovements,eitherpublicorprivate.Developershallsubmitthefollowingitemstorequestthefinalreleaseofcompletedstormdrainageimprovements:a.AsignedandstampedstatementmustbesubmittedfromaprofessionalcivilengineerregisteredinColoradothatthestormdrainageimprovementshavebeencompletedinsubstantialcompliancewithapprovedplansandtheLarimerCountyRoadManualortheUrbanAreaStreetStandards(whicheverisapplicable),aswellastheLarimerCountyStormwaterDesignStandards,andthatthedocumentingengineerorhisrepresentativehavemaderegularoutsideon-siteinspectionsduringthecourseofconstructionandthefieldplansusedarethesameasthoseapprovedbytheCounty.Copiesofallon-siteinspectionreportsperformedbythedocumentingengineerorhisrepresentativemustbesubmittedaswell.b.TestresultsmustbesubmittedforallphasesofthedevelopmentaspertheLarimerCountyRoadManualortheUrbanAreaStreetStandards(whicheverisapplicable)andtheLarimerCountyStormwaterDesignStandardsforminimummaterialssampling,testingandinspectionandasrequiredbytheCountyEngineer.c.One(I)copiesofthe“asbuilt”stormdrainageimprovementsplansmustbesubmittedatthetimeDeveloperrequestsareleaseofcollateral.Alldeviationsfromapprovedplansmustbelistedandshownonthe“asbuilt”plans.AllitemslistedabovemustbereceivedandapprovedbytheEngineeringDepartmentbeforethecompletiondate.DeveloperandallsubsequentownersshallbeprohibitedfromconstructingorstoringanythinginanydrainageeasementorinanywaydisruptingorchangingthedrainagepatternasinitiallydesignedandinstalledonthePropertypertheCountyapprovedstormwaterdrainageplan.ThereisaLarimerCountyapproveddrainageplanforthisdevelopmentonfilewiththeLarimerCountyEngineeringDepartment.Thisplandetailsinformationcontaininghorizontalandverticalplacementofthestructure,culvertsizeandlocationandoverallsitegrading(ifapplicable).Histheresponsibilityofthelotowner/buildertoensurethedrainageofthelotisconsistentwiththisplan.Thisincludesensuringthattheminimumopeningelevation/topoffoundationiswithin2inchesofdesignelevation.ItisalsotheresponsibilityofthelotownertoensurethattheinstallationandmaintenanceoflandscapingandfencesonthelotscomplieswiththeCountyapproveddrainageplan.14.PublicService—NaturalGasN/A12/18/2017Page5
15.Electric.Developershallobtainelectricservicefrom(TownofEsresParkj.Developershallconstructimprovementsasrequiredby(TownofEstesParkjtosupplythePropertywithelectricutilityservice.ImprovementsshallbeinaccordancewithTownofEstesPark’sspecifications.Innoevent,however,shallCountyberesponsiblefortheinspectionand/oracceptanceofelectricutilityimprovementstotheProperty.16,TelephoneandCable.N/A17.“AsBuilt”Plans,DevelopershallprovidetoCountyone(1)copyof”asbuilt”planspreparedbyaprofessionalengineerforalldrainagestructuresandfacilities,roadimprovements,erosioncontrolfacilities,andothersiteimprovementsconstructedinconnectionwiththedevelopmentoftheProperty.AlltestingandqualitycontrolreportsshallalsobeprovidedtoCountyandmustbesubmittedpriortofinalCountyapproval.Developershallprovidetotheparticularserviceprovider“asbuilt”plansforallwaterfacilities,sewerfacilities,andutilities.Allas-bulbsmustbereceivedandapprovedbytheEngineeringDepartmentand/ortheparticularserviceproviderbeforethecompletiondate.18.LandscapingImprovements.N/A19.ErosionControl.Inordertoprotectthesoilresource,Developershallconstructerosioncontrolfacilitiesatthecommencementofconstruction.TheconstructionandestablishmentofacceptableerosioncontrolfacilitiesshallbeassuredandinstalledbyDeveloperandshallbeincludedinthePublicImprovementsOpinionofCostsattachedheretoasExhibitD.Erosioncontrolfacilitiesmustbeinstalledandapprovedandtheas-builtsmustbesubmittedandapprovedbytheCountybeforethecompletiondate.20.FireProtection.N/A(adequatehydrantinplace)21.Addressing.Developeragreesthatindividualaddressingofthelotsinthedevelopmentisanimportantfactorforidentificationandsafetyduringconstruction.Developeragreestoobtainaddresses,includingstreetnameandhousenumbers,foreachlotandtoinstalltemporaryidentifyingstreetandaddresssignagepriortotheissuanceofanybuildingpermit.DeveloperandallfuturelotownersagreetheCounty,orthegoverningbodyhavingjurisdictionovertheProperty,shallhavetherightatanytimetoinstallorrequireDeveloperorlotownerstoinstall!2/18/2017Page6
permanentstreetsignsontheProperty,tochangeorrequireDeveloperorlotownerstochangethelocationofanypermanentstreetsignsontheProperty,andtochangeanystreetnameoraddress.22.PublicImprovementsOpinionofCostsandGuaranteeofImprovements.ConstructionCollateral.ThePublicImprovementsOpinionofCosts,aspreparedbyaprofessionalcivilengineerlicensedintheStateofColorado,detailingthecostsofcompletingtheimprovementsrequiredinthisAgreementareshownonExhibitD.DevelopershallfurnishconstructioncollateraltotheCountyforthecompletionoftheimprovementsintheformof(irrevocableletterofcreditfromastateorfederallylicensedfinancialinstitutiononaformapprovedbytheCounty).ThepurposeoftheconstructioncollateralprovidedbyDeveloperistoguaranteethatsufficientfundsareavailableforthecompletionoftheimprovementsdescribed.AlthoughthePublicImprovementsOpinionofCostsallocatesadollaramounttovariousimprovements,DeveloperacknowledgesandagreesthattheCountymayapplytheconstructioncollateralallocatedtoaparticularimprovementtoanyotherimprovementorcategoryofimprovements.OPTION:IRREVOCABLELETTEROFCREDITTheirrevocableletterofcreditshallprovideforatleastthefollowing:a.Theamountoftheletterofcreditisequaltoatleast115%oftheestimatedcostoftheimprovements;b.TheletterofcreditispayabletoCountyupondemandifDeveloperfailstoperformtheobligationsspecifiedinthisAgreementandCountyhasnotifiedtheissueroftheletterofcreditofthefailuretoperform;c.Atalltimestheunreleasedportionoftheletterofcreditisequaltoatleast115%oftheestimatedcostsoftheuncompletedportionsoftherequiredimprovements.InnoeventshallanyamountoftheletterofcreditbereleasedorreducedwithouttheexpresswrittenconsentofLarimerCounty;d.FifteenpercentofthetotalamountwillremainavailabletoCountyuntilreleasedbyCounty;ande.Thedateofexpirationoftheletterofcreditmustbenoearlierthan60daysafterthedateforcompletionoftheimprovementsspecifiedinthisAgreement,butinnoeventmaytheletterofcreditexpireuntilCountyhasreceived60dayswrittennoticeofthependingexpiration.SaidnoticemustbesentbycertifiedmailtotheCommunityDevelopmentDirector.23.DeveloperGuaranteesandWarrantyCollateral.12/18/2017Page7
DeveloperwarrantsandguaranteesthatALLimprovementsrequiredtobeconstructedpursuanttothisAgreementshallbefreefromdefectsinmaterialsandlorworkmanshipandshallproperlyfunctionforthepurposeintendedforaperiodoftwoyears(thewarrantyperiod).Thetwo-yearwarrantyperiodforallimprovementsshallcommenceonthedateoffinalcountyapprovalofthelastimprovementconstructed.Withinthirty(30)daysfollowingCounty’sapprovalofthelastimprovementconstructed:a.CountyandDevelopershaLlexecuteaWarrantyMemorandum.TheWarrantyMemorandumshallspecify(i)thedateonwhichthetwo-yearwarrantyperiodcommences,(ii)thetypeofwarrantycollateraltobepostedbyDeveloper,and(iii)theimprovementswhicharesubjecttothewarrantycollateral.TheWarrantyMemorandummayallocateadollaramounttoeachimprovement.Developeracknowledgesandagrees,however,thattheCountymayapplythewarrantycollateralallocatedtoaparticularimprovementtoanyotherimprovementorcategoryofimprovements.b.DevelopershallpostwarrantycollateralwiththeCountyinaformacceptabletotheCounty.Thewarrantycollateralshallbenolessthan15%ofthecostsoftheimprovementsforwhichcollateralmustbepostedandshallremainineffectduringtheentiretwo-yearwarrantycollateralperiod.Developershallcorrect,replaceorrepairanyimprovementdiscoveredtobedefectiveorfaultyduringthewarrantyperiod.Anyrequiredcorrection,repairorreplacementshallbecommencedwithinthirty(30)daysofCounty’swTittennoticeadvisingDeveloperofthenecessarywork.IntheeventDeveloperfailstomakethenecessarycorrections,repairs,orreplacements:a.Countymayusethewarrantycollateraltodotheworktotheextentofavailablefunds.NothinghereinshallbeconstruedtorequireCountytocompletetheworkintheeventthewarrantycollateralhindsareinsufficienttofmancethework.b.Countyand/oranyPropertyownermaycommenceanactionagainstDeveloperforspecificperformanceorformoneydamagesforcostsofthenecessarywork;and/orpursueanyotherlegalorequitableactionagainstDeveloper.c.Countymaywithholdbuildingpermitsandcertificatesofoccupancy.d.Countymayimposeandrecordalotsaleprohibition.12/18/2017Page8
Theaboveremediesshallbecumulativeandtheelectiontopursueoneshallnotprecludetheuseofanother.24.Inspections.NoconstructionshallcommencewithoutwrittenapprovaloftheCountyDevelopmentReviewConstructionInspectorintheformofaDevelopmentConstructionPermit.Theissuanceofthispermitshallfollowapre-constnactionmeetingscheduledbytheCountyDevelopmentReviewConstructionInspector.DevelopershallsupplytoCountyDevelopmentReviewConstructionInspectorascheduleofconstructionandshallnoti&theCountyDevelopmentReviewConstructionInspectorofcommencementofconstruction.TheDeveloperagreestopaythefeesassociatedwiththeDevelopmentConstructionPermit.FieldinspectionsofinstallationsofimprovementsshallbeperformedbyDeveloper’slicensedprofessionalengineers.InspectionreportsshallbeavailableforreviewbyCountyuponrequest.Countyshallhavetheauthoritytohaltconstructionofanyportionoftheconstructionthatmaybefoundtobeoutofcompliancewiththeapprovedplansandspecificationsforthedevelopment.DevelopershallcausesuchworktobecorrectedandbroughtintocompliancewithinthetimeframesetbytheCountyEngineer,andifnotsocorrected,theCountyEngineermaydeclareDeveloperindefaultofthisAgreement.25.AcccptanceofBuildingPermits.N/A(existingbuildings)26.FeesDevelopershallpaytoCountyatbuildingpermitissuanceCountyandRegionalTransportationCapitalExpansionFees,CommunityandRegionalParkFeesInLieuofDedication,SchoolFees,andDrainageFees.Thefeesshallbetheamountineffectatthetimeofbuildingpermitissuance.Developeracknowledgesandagreesthatsuchfeesareroughlyproportionaltoimpactscreatedbythisdevelopment.Developershallalsopayanyotherapplicablelegislativelyformulatedanddulyadoptedfeeswhichareineffectandrequiredtobepaidatthetimeofbuildingpermitissuanceprovidedsuchfeesareimposedonabroadclassofpropertyowners.27.MaintenanceofImprovements,CommonAreas,andResidualLanda.Duringthetwo-yearwarrantyperiod,Developershallbesolelyresponsibletomaintain,repairandreplaceanyandallimprovementsinthedevelopment(includingbutnotlimitedtoroads,bridges,curbs,gutters,sidewalks,drainagefacilities,sewersystems,utilities,landscaping)andcommonareas.Uponexpirationofthetwo-yearwarrantyperiod,thepropertyowners,eitherindividuallyorthroughtheAssociation,shallbesolelyresponsibleforsuchmaintenance,repairsandreplacements.Countyshallhavenoliabilityorobligationforsuchmaintenance,repairsorreplacements.12/18/2017Page9
b.Ifahomeowner’sassociationisformed,theassociationshallsetandcollectduesandassessmentsfromPropertyownersinanamountsufficienttocarryoutitsmaintenanceresponsibilities.c.IntheeventtheCountydeterminesthattheresponsibleentity/person(s)hasfailedtoadequatelymaintaintheimprovementsand/orcommonareas,Countyshallsonotif3itheresponsibleentity/person(s)inwriting.Suchnoticeshallspecificallystatethemannerinwhichtheentity/person(s)hasfailedtomaintaintheimprovementsandlorcommonareasandthestepsthatmustbetakentocomeintocompliance.Thenoticeshallincludeademandthatsuchdeficienciesinmaintenancebecuredwithinthirty(30)daysofthedateofthenoticeandshallalsostatethetimeandplaceofahearingbeforetheBoardofCountyCommissioners,whichshallbeheldwithinfifteen(15)daysofthenotice.Atsuchhearing,theCountymaymodifythetermsofitsoriginalnoticeastothedeficiencies,andmaygiveanextensionoftimewithinwhichtheyshallbecured.Ifthedeficienciessetforthintheoriginalnotice,orinthemodificationsthereof,arenotcuredwithinsaidthirtydaysoranyextensionthereof,theCounty,inordertopreservethetaxablevaluesofthepropertycontainedwithinthedevelopment,andtopreventtheimprovementsandcommonareasfrombecomingapublicnuisanceandpublicliability,mayundertaketomaintainthesameforaperiodofatleastoneyear.Beforeexpirationofthemaintenanceperiod,theCounty.uponitsinitiativeoruponthewrittenrequestoftheresponsibleentity/person(s)maycallapublichearingbeforetheBoardofCountyCommissionersuponnoticetosuchresponsibleentity/person(s)andtothePropertyowiiers.Atthehearing,theresponsibleentity/person(s)shallshowcausewhymaintenancebytheCountyshallnot,attheelectionoftheCountycontinueforanadditionalsetperiod.IftheBoarddeterminesthattheresponsibleentity/person(s)isreadyandabletomaintaintheimprovementsorcommonareas,theCountyshallceasetomaintaintheimprovementsandlorcommonareas.IftheBoarddeterminestheresponsibleentity/person(s)isnotreadyandabletomaintaintheimprovementsand/orcommonareas,theCountymay,initsdiscretion,continuesuchmaintenanceforasucceedingsetperiodsubjecttoasimilarhearinganddeterminationpriortotheexpirationofsuchperiod.ThecostofsuchmaintenancebytheCountyandthecostsofenforcementincurredbytheCounty,includingbutnotlimitedtomonitoring,inspections,andlegalfees,shallbepaidtheownersofthePropertythathavearighttoenjoymentoruseoftheimprovementsand/orcommonareasinvolved.Anyunpaidcostsshallbecomealienuponsaidproperties.TheCountyshallfileanoticeofsuchlienintheofficeoftheCountyClerkandrecorderuponthepropertiesaffectedbysuchlienandshallcertif’suchunpaidcoststotheCountyTreasurerforcollection,enforcementandremittanceinthemannerandwiththesamepriority12/18/2017Page10
asprovidedbylawforthecollection,enforcementandremittanceofgeneralpropertytaxes.28.DeclarationofCovenants.N/A29.Liability/Indemnity.County’sreviewandapprovalofanyplans,reports,ordrawingsorCounty’sinspectionandapprovalofanyimprovementsconstructedbyDeveloperunderthisAgreementdoesnotconstitutearepresentation,warranty,orguaranteebyCountythatsuchimprovementsarefreefromdefectsorwilloperateadequatelyforthepurposeintended.CurrentandsuccessorownersofthePropertyassumeresponsibilityforallmaintenance,repairs,orreplacementsofimprovements,including,butnotlimitedtoroads,bridges,curbs,gutters,sidewalks,drainagefacilities,sewersystems,utilities,landscaping.commonareasandResidualLand.DeveloperagreestoindemnifS’andholdCounty,itsofficers,employeesandassignsharmlessfromandagainstallclaims,costsandliabilitiesofeverykindandnature,forinjuryordamagereceivedorsustainedbyanypersonorentItyincoimectionwith,oronaccountoftheperformance,conditionorqualityofworkatthedevelopmentofthePropertypursuanttothisAgreement.DeveloperfurtheragreestoaidanddefendCountyintheeventCountyisnamedasadefendantinanactionconcerningtheperformance,conditionorqualityofworkpursuanttothisAgreement,exceptwheresuchsuitisbroughtbyDeveloperagainstCounty.DeveloperacknowledgesitisnotanagentoremployeeofCounty.NothinginthisAgreementshallbeconstruedasawaiver,eitherexpressorimplied,oftheimmunities,rights,benefits,andprotectionsaffordedCountyundertheColoradoGovernmentalImmunityAct.30.DefaultlRemediesfEnforcement.UpondefaultoftheprovisionsofthisAgreement,thepartiesagreethatthisAgreementmaybespecificallyenforcedbyanypartyoranypartymayproceedinanyothermaimerauthorizedbylawforabreachofcontract.Inaddition,theCountymay:a.Demandpaymentunderthe(letterofcredit)andusetheproceedstocompletetheimprovementsspecifiedhereinwithorwithoutpubliclettingasitmaydeemadvisable.Intheeventthecollateralisinsufficienttocompletetheimprovements,Countyshallbeentitledtopaymentofsuchexcessinanywaypermittedbylaw.NothinghereinshallbeconstruedasrequiringCountytocompletealloftheimprovementsspecifiedhereinintheeventtheproceedsofsuchaetterofcredit)areinsufficienttofinancealltheimprovements.b.IssueawrittennoticetoDevelopertoappearandshowcausewhythesubdivisionshallnotbevacated.GivingnoticeshallbedeemedcompleteJ2/18/2017Page11
uponmailingsamecertifiedmailtotheaddressstatedherein.Thenoticeshalldesignatethedate,timeandplacetheBoardofCountyCommissionerswillconductahearingtoconsidervacationoftheplat.Thehearingshallbenotlessthanthirty(30)normorethansixty(60)daysfromthedateofthenotice.c.ProceedinthemannerdescribedintheLarimerCountyLandUseCodeorStateStatutesforaviolationoftheStateorlocalsubdivisionregulations.d.Withholdbuildingpermitsandcertificatesofoccupancy.Theremediessetforthhereinarecumulativeandtheelectiontouseoneshallnotprecludeuseofanother.IntheeventofdefaultbyDeveloper,DeveloperagreestopayallexpensesincurredbyCountyoccasionedbysaiddefault,including,butnotlimitedto,areasonableattorney’sfeesinenforcingthisAgreement.31.ApplicabilityofOtherRegulationsandConditions.ThisAgreementandtheterms,conditionsandcovenantscontainedhereinshallbedeemedtocomplementandshallbeinadditiontotheconditionsandrequirementsoftheEstesValleyDevelopmentCodeandotherapplicablelaws,rulesandregulations,notwithstandinganythingcontainedorreferredtothecontrary.32.PeriodicReviews.CountymayconductperiodicreviewsofthestatusofthedevelopmentasappropriatetomonitorandenforcethetermsofthisAgreement.33.BindingEffectofAgreement.ThisAgreementisintendedtoprovidefortheorderlyconstructionandmaintenanceofstructuresandotherimprovementsontheProperty.ThisAgreementshallbeaservituderunningwiththeProperty.ThoseownersofthePropertyoranyportionofthePropertywhoobtaintitlesubsequenttothedateofthisAgreement,theirheirs,successors,assignsortransferees,andpersonsholdingunderDevelopershallcomplywiththetermshereof.IfthePropertybecomesincludedwithintheboundariesofanycityortown,theCounty’srightsunderthisAgreementshallautomaticallypasstothegoverningbodyofthecityortownandthesuccessortownorcitymayenforcethisAgreementagainstsuchsubsequentownersandthoseholdingunderthem.IntheeventDevelopertransferstitletothePropertyandistherebydivestedofallequitableandlegalinterestintheProperty,DevelopershallbereleasedfromliabilityunderthisAgreementwithrespecttoanybreachofthetermsandconditionsofthisAgreementoccurringafterthedateofanysuchtransferof12/18/2017Page12
interest.Insuchevent,thesucceedingPropertyowner(s)shallbeboundbythetermsofthisAgreement.34.NotationsandRecordation.Developershallnoteonthefinalsubdivisionplat,asaplatnote,andinadisclosurestatementtheexistenceofthisAgreementasrecordedbytheLarimerCountyClerkandRecorder.Developershallnoteonthefinalsubdivisionplatandinthedisclosurenoticetheentity/person(s)responsibleformaintenanceoftheimprovements,landscaping,andcommonareas.DevelopershallfileforrecordingwiththeLarimerCountyClerkandRecorder,thisAgreementandanydeedsand/orotherdocumentsrequiredaspartofthefinalplatapprovalofthisdevelopmentbytheBoardofCountyCommissioners.35.Subordination.Developershallcausealllenders,lienholdersorotherpersonsorentitieswhohaveanyinterestinthePropertytosubordinatetheirinteresttothisAgreement.36.ConflictwithOtherDocuments.IntheeventofaconflictbetweenthetermsorconditionsofthisAgreementandanyDeclarationofCovenants,PlatNotes,DisclosureNotice,orFindingsandResolution,thisAgreementshallcontrol.37.Severability.Ifanypart,terms,orprovisionofthisAgreementisheldbyacourttobeillegalorotherwiseunenforceable,suchillegalityorunenforceabilitywillnotaffectthevalidityofanyotherpart,terms,orprovisionandtherightsofthepartieswillbeconstruedasifthepart,terms,orprovisionwasneverpartofthisAgreement.38.Amendment.ThisAgreementmaybeamendedbymutualconsentoftheCountyand75%ofthePropertyownersbasedonone(I)voteperresidence(i.e.,2duplexesequalingfourtotalresidences),providedsuchamendmentisinwriting.39.ControllingLaw.ThisAgreementshallbegovernedbythelawsoftheStateofColorado.12/18/2017Page13
