03-93QORDINANCENO.3-93ANORDINANCELEASINGAPORTIONOFTHETOWNOFESTESPARK’SREALPROPERTYWHEREAS,theTownofEstesPark,ColoradoownscertainrealpropertylocatedintheSoutheastportionoftheproperty,commonlyknownasParkingLotNo.2;andIJHEREAS,SurreyRestaurant,Inc.,hasprovidedtheTownofEstesParkandtheEstesParkUrbanRenewalAuthoritywithcertaineasementrightsfortheconstruction,maintenanceandlocationoftheRiverwalkProject;andWHEREAS,inreturnforthoseeasementrights,theTownofEstesParkhasagreedtoleaseacertainportionofitsrealpropertytoSurreyRestaurant,Inc.;andWHEREAS,theboardofTrusteesoftheTownofEstesParkhasdeterminedthatitisinthebestinterestoftheTowntoleasesaidproperty.NOW,THEREFORE,BEITORDAINEDBYTHETOWNOFESTESPARK,COLORADO.Section1.TheBoardofTrusteesoftheTownofEstesParkherebyauthorizestheleasingoftherealproperty,morefullysetforthonExhibit“A”andunderthetermsandconditionsasmorefullysetforthonEzhibit“A”.Section2.TheMayorandTownClerkareherebyauthorizedtoexecutetheLeaseAgreement.Section3.ThisOrdinanceshalltakeeffectandbeenforcedthirty(30)daysafteritsadoptionandpublication.PASSEDANDADOPTEDBYTHEBOARDOFTRUSTEESOFTHETOWNOFESTESPARK,COLORADOTHIS/,5’DAYOF1993.TOWNOFESTESPARKBy:___14yörATTEST:TownClerk C2.Topayrentforpremisesashereinafterprovidedpromptlywhendueandpayableandpayallutilityservicestothepremises.3.Tomaintainsaidpremisesandkeepsameingoodrepairandattheexpirationofthislease,tosurrenderupsaidpremisesinasgoodorderandconditionaswhenthesameareenteredupon,lessordinarywearandtearexcepted.4.Tokeepthepremisescleanandorderlyandtoobeyallordinances,regulationsandstatutes.5.Tokeepthepremisesfreeandclearofice,snow,anddebris.6.Toberesponsibleforandtopayfortheremedyingofanyandalldamagedonetothepremisesofwhatsoevernature.Intheeventthepremisesarenotleftinacleanandorderlyconditionordamagehasoccurred,theexpenseofcleaningand/orrepairordamageshallbethatofTenant.7.Tousethepremisesonlyfortheserviceoffoodandbeverage,notincludinganyliquor,beer,wineoranyotheralcoholicbeverage.ITISMUTUALLYCOVENANTEDANDAGREED:1.Noassent,expressedorimplied,toanybreachofanyoneormoreofthecovenantshereinshallbedeemedtobetakenasawaiverofanyproceedingorotherbreach.2.ItisfurthermutuallyunderstoodandagreedthatshouldTenantfailorrefusetopaytherentalwhenthesamebecomesdueorfailtoperformanycovenanthereinagreedupon,thenLandlordmay,withoutbeingobligatedtodoso,terminatethisleaseupongivingten(10)dayswrittennoticetoTenantspecifyingsaiddefault,andifattheendofsaidten(10)dayperiod,Tenantisstillindefault,theleaseshallterminateandLandlordshallbeentitledtoimmediatepossessionofthepremisesandtobringanactionasmayotherwisebeauthorizedbylawtocollectanyamountsduefromTenant.3.IntheeventTenantabandonsorvacatesthepremisesbeforetheexpirationofthetermofthislease,Landlordmay,withoutobligationtodoso,declarethisleaseforfeitedforthwithandmayremovefromthepremisesanyandallpersonalpropertyleftbehindbyTenantandmayplacesuchpersonalpropertyinstorageatTenant’sexpense.4.Intheeventofdefaultbyeitherparty,thenon-defaultingpartyshallbeentitledtoallreasonableattorneys’feesandcourtcostsincurredbyreasonofsaiddefault,includingallreasonableattorneys’feesandcourtcostsincurredinregainingpossessionofthepremises.—2—
